On February 21,2018,Northwest Natural Water Company applied to the
Commission requesting approval of their proposed acquisition of Falls Water Company.
Northwest Natural Water is a wholly-ownedsubsidiary of Northwest Natural Gas Company,a
publicly-traded gas company located in Portland,Oregon.Falls Water is a privately held Idaho
water company serving approximately 5,500 customers near Idaho Falls,Idaho.
The Commission issued notice of the application and set an intervention deadline of
March 30,2018.No intervenors appeared.After reviewing the application and gathering
additional information,Staff has agreed that the Company's proposal to process this case by
modified procedure is appropriate.Staff requested that the Commission set a May 31,2018,
comment deadline,and a June 7,2018,reply deadline.Additionally,Staff requested that the
Commission order a public workshop to be conducted by Staff on May 21,2018.
With this Order the Commission authorizes the use of Modified Procedure,
establishes deadlines for the filing of written comments,and orders that Staff conduct a public
workshop.

YOU ARE HEREBY NOTIFIED that the Commission has reviewed the filing in this
action,and has determined that the public interest may not require a formal hearing in this matter
and will proceed under Modified Procedure pursuant to Rules 201 through 204 of the Idaho
Public Utilities Commission's Rules of Procedure,IDAPA 31.01.01.201 through .204.The

YOU ARE FURTHER NOTIFIED that any person or party desiring to state a
position on this Application may file a written comment in support or opposition with the
Commission no later than May 31,2018.The comment must contain a statement of reasons
supporting the comment.Persons desiring a hearing must specifically request a hearing in their
written comments.Written comments concerning this Application shall be mailed to the

workshop in this matter,as follows:

The public workshop will offer Staff and interested persons an opportunity to meet,
ask questions,receive information,and give Falls Water customers an opportunityto hear from
Commission Staff regarding the Application.
YOU ARE FURTHER NOTIFIED that all workshops and hearings in this matter will
be held in facilities meeting the accessibility requirements of the Americans with Disabilities Act
(ADA).Persons needing the help of a sign language interpreter or other assistance in order to
participate in or to understand testimony and argument at a public hearing may ask the
Commission to provide a sign language interpreter or other assistance at the hearing.The request
for assistance must be received at least five working days before the hearing by contacting the

FINDINGS/CONCLUSIONS
The Idaho Public Utilities Commission has jurisdiction over this Application,and the
issues involved in this case by virtue of Title 61,and the Commission's Rules of Procedure,
IDAPA 31.01.01.000 et seq.We have determined that the public interest may not require a
hearing to consider the issues presented in this case,and that issues raised by the filing may be
processed under Modified Procedure.
