On February 21,2018,Northwest Natural Water Company,LLC,filed an Application
requesting that the Commission approve their proposed acquisition of Falls Water Company.
NOTICE OF APPLICATION
YOU ARE HEREBY NOTIFIED that Northwest Natural Water is a wholly-owned
subsidiary of Northwest Natural Gas Company,a publicly-traded gas company located in
Portland,Oregon.Application at 2.The gas company serves approximately 730,000 customers in
western Oregon and Washington.Id.
YOU ARE FURTHER NOTIFIED that Falls Water is a privately held Idaho water
company serving approximately 5,500 customers near Idaho Falls,Idaho.Id.at 2-3.Falls Water
holds Certificate of Public Convenienceand Necessity No.236.Id.
YOU ARE FURTHER NOTIFIED that Northwest Natural states that,if approved by
the Commission,Falls Water would continue to operate in its current corporate form.Id.This
includes no changes in Falls'CPCN,employees,customers base,and service area.Id.Further,
Northwest Natural state that Falls'current owner will remain president of the water company for
at least one year,and manage the water company through the transition period.Id.
YOU ARE FURTHER NOTIFIED that Northwest Natural further reports that the
transaction will not cause an increase in rates.Id.The Company claims that the current Falls
Water staff will all remain in place,and that the company will continue to "have the business
experience,financial ability,and water system expertise to continue to operate and maintain
Falls Water's system."Id.at 4.Notably,Northwest states that it plans to make capital
improvements in the future,including construction of well facilities,and possibly storage
facilities.Id.

YOU ARE FURTHER NOTIFIED that the applicants request that this Application be
processed by modified procedure,and that the Commission issue a final order in this matter by
May 1,2018.Id.at 6.
YOU ARE FURTHER NOTIFIED that the Application and supporting workpapers,
testimonies and exhibits have been filed with the Commission and are available for public
inspection during regular business hours at the Commission offices.The Application and
testimonies are also available on the Commission's web site at www.puc.idaho.gov.Click on the
"File Room"tab at the top of the page,scroll down to "Water Cases,"and then click on the case
number as shown on the front of this document.
YOU ARE FURTHER NOTIFIED that all proceedings in this case will be held
pursuant to the Commission's jurisdiction under Title 61 of the Idaho Code.The Commission
may enter any final Order consistent with its authority under Title 61.
YOU ARE FURTHER NOTIFIED that all proceedings in this matter will be
conducted pursuant to the Commission's Rules of Procedure,IDAPA 31.01.01.000et seq.

YOU ARE FURTHER NOTIFIED that persons desiring to intervene in this matter
for the purpose of presenting evidence or cross-examining witnesses at hearing must file a
Petition to Intervene with the Commission pursuant to this Commission's Rules of Procedure
72 and 73,IDAPA 31.01.01.072 and -.073.Persons intending to participate at the hearing must
file a Petition to Intervene no later than March 30,2018.Persons desiring to present their
views without parties'rights of participation and cross-examination are not required to intervene
and may present their comments without prior notification to the Commission or the parties.
YOU ARE FURTHER NOTIFIED that the Commission Secretary shall issue a
Notice of Parties after the deadline for intervention has passed.The Notice of Parties shall
assign exhibit numbers to each party in this proceeding.
YOU ARE FURTHER NOTIFIED that once the Notice of Parties is issued,the
Commission's Staff will convene an informal prehearing conference at the Commission's offices
for the parties to discuss a schedule to process this case and other issues as may be raised by the
parties.
