SECURITY.It matters not that the country is Canadian.The ONLY entity that should be responsible for running power to
OUR GRID should be a company that is whollyowned and operated by Americans!To even consider such a sale isinsanitylIcannotbelievethatanystateutilitywouldbeconsideredforsale.What kind of greed has brought this tofruition?Our Country has an electric grid that powers all our businesses and that power should ONLY be in the care,custody and control of an American corporation or an American Co-operative.No other nation will have the bestinterestoftheAmericanpeopleatheart.The bottomline will always prevail and that is not going to be in the bestinterestofourpeople.I have read a bit about the company that wants to purchase Avista and they are not even treatingtheirownCanadiancitizensverywell.How do you think they will be treating Americans?I would imagine with less carethantheirownpeople,who I understand have had HUGE increases in the cost of electricityl This deal MUST be stopped!

Comment:I submit these comments on behalf of myself and as the Chairman of The North Idaho Water Rights Alliance
which represents over 250 households,the vast majority of them are Avista customers in Northern Idaho.This
proposed merger will significantly impact all of the customers in Northern Idaho and in neighboring States.Some of the
impacts that are of great concern include but are not limited to;increased power rates,decreasesin power reliability,fluctuations on the lake and river levelsfrom the operation of the Post Falls dam,infringement upon existing private
water rights and the 1927 water right to Lake Coeur d'Alene held by the State of Idaho for the benefit of all the peopleofIdaho.The economies of the region and the satisfaction derived from living in northern Idaho are at great risk of
being diminished significantly from policies and decisions made by a company that has no vested interest in serving U.S.
citizens.BC Hydro is a foreign government backed entity which has a sordid history of significantly causing harm to the
customers that they have acquired through past mergers.
Credible concerns for the impacts from loss of ownership and control of the assets of the Avista Corporation such as;significant increased costs to residential and commercial customers,the potential problems that could arise duringnegotiationsoftheColumbiaRiverTreatycurrentlyintalksbetweentheU.S and Canada,and the risks of losing
significant Avista assets to a foreign government,which could have national security consequencesshould cause
significant alarm to the Idaho PUC Commissioner's.It is imperative that the Idaho PUC denies the application for theproposedmergerofAvistaCorp.and BC Hydro One.To date none of these concerns have been addressed and no
detailed information regarding the issues mentioned above has been disclosed by Avista or BC Hydro One.Ifthe IPUCCommissioner's does not deny the merger outright they should at a minimum stop the transfer of the ownership andcontrolofAvistaassetstoanyentityotherthananotherU.S.owned corporation that will operate the facilities in the
best interests of the American People and in particular the citizen's that live in and rely upon the economies that areservedbytheAvistaCorporation.

I am respectfully requesting that you do your duty and prohibit the sale of a vital piece of American infrastructure to a
foreign company.Not only will it subject American ratepayers such as myself to outrageous increases in cost,it will allow
persons unknown to have a stake in America's power grid,a vital component of our infrastructure.
I do not believe I need to remind you that the Avista executives stand to profit personally and scandalouslyfrom thisdealbutthoseunderthecompany's clutches will not.In fact,from the articles I have read about Hydro-One,they are aCanadianversionofEnron,just there to gouge little old ladies and laugh about it.
It is my understanding that you are placed in this position to look out for the ratepayers since this is a legalized
monopoly and the ratepayers cannot look for another electric/gas company.We are,effectively,trapped by this merger
and it is your responsibility to stop this before it begins.

Comment:I am writing to express my concerns over the purchase of Avista Corp.by Hydro One.
Idaho PUC is required to do its due diligence on the cost allocation."Cost allocation is the process of identifying,
aggregating,and assigningcosts to cost objects.A cost object is any activity or item for which you want to separately
measure costs."
I do not believe the Idaho PUC has adequately addressed claims that that there will be no increased costs to current
Avista customers.Cost methodology is different from rate setting and I do not believe the Idaho PUC has shown the
relationship between the cost allocation and rate formulas.If we as Idahoans can't see or be shown a simple factual
cost allocation methodology prior to the merger,then the Idaho PUC has done citizens a great disservice.
Citizens are being told that there will be "benefits of scale".I am requesting what exactly these benefits of scale are and
how the fit in to the cost methodology formula.
The foreign corporation Hydro One is regulated by the Canadian Government,which is compliant with the Paris Climate
Treaty.Hydro One intends to implement their renewable energy polices through Avista,and costs will likely be passed
on to Idaho citizens who are ultimately and unknowingly paying the rates.Hydro One currently chargesalmost three
times the rates that Idaho rate payers currently pay.It also chargesa 70%surcharge (known as the global adjustment
fee)to pay its suppliers for its outrageously expensive green energy.The US is not a signatory to the Paris Climate
Treaty and thus its citizens shown are to be bound by;penalized for it;or taxed through it as a result.It is the Idaho
PUC's duty protect Idaho citizens from this.
I am requesting the methodology details of how the cost allocation is tied to the rates,in relationship with the Paris
Treaty,the current operation under Canadian law,and how the new company would be governed by the Green Energy
Act and other international energy policies here in Idaho.I do not believe that the Idaho PUC has shown any substantial
data insuring these policies would not increase costs to Idaho citizens through the cost allocation.
Another concern is Idaho citizens have repeatedly been told that the parent company would absorb costs ("spreading
costs")and there will be credits applied so there would be no increase.What happens to rates and Idaho citizens'
abilities to fight future rate increases after these credits are gone or expired?
Hydro One is currently charging three times the rates in Canada that we are paying here in Idaho.If Canadian law
requires the new Avista to operate under Paris Treaty (which is more expensive)how will the new Avista avoid passing
that cost on to Idahoans?How can the new Avista spread costs one direction and after the merger,not spread costs for
Paris Treaty compliance in another direction?

Comment:My family is against the merger/acquisition of Avista by Hydro One.No one can predict what rates Hydro
One would charge in the future.Judging by past performance,the IPUC usually grants rate increases that are
outrageously high if the utilityasks for the moon.We do not want outrageous increasesin our bills.It is unconscionable
that a state commission would ascent to this open ended,theft of our infrastructure with unknown "GOLDEN SHARE
HOLDERS",unknown formulas for balancing debts between the companies,loss of control of 13 dams and the water
flows and water rights,when the US is sitting across the table from Canadarenegotiating the Columbia RiverTreaty.
Who is minding the store?Surely any agencythat approves this pack of smoke,mirrors &manipulations does not truly
protect the citizens from harm .Do the tight thing and disallow this theft by payoffs and outright lies.
