Power and the following paries of record in the above captioned matter: Sta for the Idao
Public Utilties Commssion, Monsanto Company ("Monsanto"); PacifCorp Idao Industral
Customers ("PILC"); and the Idaho Irrgation Pumper Association Inc. ("IlPA") collectively
referred to as the "Paries". Communty Action Parership Association of Idaho ("CAPAI")
paricipated in the settlement negotiations however they have chosen not to be a par to the
Stipulation.
Testimony in support the Stipulation will be fied on November 2,2011, which was previously
ordered (Order No. 32309) as Commssion Sta and intervenor prefie date for direct testimony.

STIPULATION
Ths stipulation ("Stipulation") is entered into by and among Rocky Mounta Power, a
division of PacifiCorp ("Rocky Mountan Power" or the "Company"); Sta forthe Idaho Public
Utilities Commssion ("Sta'); Monsato Company ("Monsanto"); PacifiCorp Idaho Industral
Customers ("PILC"); and the Idao Irgation Pumper Association Inc. ("LIP A") collectively
referred to as the "Pares". Communty Action Parership Association of Idaho ("CAPAI")
paricipated in the settement negotiations however they have chosen not to be a par to the
Stipulation.
I. INTRODUCTION
1. The terms and conditions of this Stipulation are set fort herein. The Paries
agree that this Stipulation represents a fai, just and reasonable compromise of the issues in ths
proceeding and that ths Stipulation is in the public interest. The Paries recommend tht the
Idaho Public Utilities Commssion ("Commission"), pursuat to its authonty under Commssion

Rules 271, 272 and 274, approve the Stipulation and all of its terms and conditions. See IDAPA
31.01.01.271,272, and 274.
II. BACKGROUND
2. On May 27,2011, Rocky Mounta Power fied an Application seekig authority
to increase the Company's base rates for electrc service by $32.7 millon anualy, an overall
average increase of approximately 15.0%. The increae in rates vares by customer class and
actu usage. Rocky Mounta Power sought an increase in rates effective December 27, 2011.
3. With a view toward resolvig the issues rased in Rocky Mounta Power's
Application in ths proceedig, representatives of the Paries met on Augut 23, 2011 and
September 22, 2011, pursuat to IDAPA 31.01.01.271 and 272, to engage in settlement
discussions.
Based upon the settlement discussions between the Paries, as a compromise of the
positions in ths proceeding, and for other consideration as set fort below, the Pares stipulate
and agree to the following:
III. TERMS OF THE STIPULATION
Revenue Requirement
4. The Paries agree to support a two-yea rate plan with anua rate increases of
$17.0 millon per year, which results in overall average anual revenue increases of
approximately 7.8 percent in 2012 and 7.2 percent in 2013. The fit increase to base rates will
occur Janua 1,2012, and will be compnsed of $6.0 millon of non-net power cost components
(capita, operations and matenance, and other) and $11.0 millon of net power costs. The
second increase to base rates will occur Janua 1,2013, and will be compnsed of $6.0 millon
of non-net power cost components and $11.0 milion of net power costs. The Company will
make a compliance filing November 1, 2012 to implement the second year increase of $17.0
millon effective Janua 1,2013 tht will include revised taffs.
5. Unless explicitly specified with the Stipulation, the Paries agree that
determnig the anual increases of $17.0 millon per year for two year is a "black box"

settlement, with no agreement or acceptace by the Paries of any specific revenue requirement,
cost allocation or cost of service methodology. However, the Paries agee that the staing point
of the Stipulation was to accept all Commssion ordered adjustments from Case PAC-E-1O-07,
Order No. 32196. All Paries agee tht ths Stipulation represents a fair, just and reasonable
compromise of the issues in ths proceeding and that ths Stipulation is in the public interest.
Power Costs
6. The Paries agree that based on the revenue requiement split specified in
paragraph 4, net power costs in base rates will increase from the curent level of $1.025 billon to
$1.205 bilion in 2012 and from $1.205 billon to $1.385 bilion in 2013. These amounts will
become the tota Company bas net power costs for trackig in the Company's energy cost
adjustment mechansm e'ECAM").
7. The Pares agree that $78.8 milion, on a tota Company basis or $6,526,622
allocated to Idaho (R Exhbit 2 page 3.5) of renewable energy certificate ("REC") revenue is
included in rates in 2012 and 2013. The Idaho allocated amount will become the base for
puroses of trackig at 1 00 percent in the Company's ECAM mechasm.
8. The Paries agee to update the Idao load in the 2012 ECAM load chage
adjustment revenue ("LCAR") calculation to the 2010 actu load included in PAC-E-l1-12 for
the 2012 ECAM deferral calculation and use 2011 actu load reported in the Anua Results of
Operations Report for the 2013 ECAM deferal calculation. The LCAR unt value would be
frozen over the rate plan penod at the curent rate of $5.47 per MWh (Case No. PAC-E-1O-07).
9. The Paries agree tht the Company shall amortze and collect Agrum and
Monsato's shae of Commssion approved ECAM balances, which includes deferrd net power
costs, deferd REC's, LCAR adjusents and other ECAM components, including the irrgation
load control credit as specified in paragrph 10, over the followig penods:
a) The 2012 ECAM balance (2011 deferrals) over a penod of thee years;
b) The 2013 ECAM balance (20 12 deferrals) over a penod of thee years;
c) The 2014 ECAM balance (20 13 deferrals) over a penod of two years.

d) Beginng with the 2015 ECAM balance (2014 deferrals), Monsato and
Agrum will pay new ECAM costs based on a 12-month collection penod.
Any over-collection or under-collection at the end of the amortization penods identified in
pargraphs 9( a) though 9( c) above will be tred up for each contrct cusomer and refuded or
collected as par of a subsequent ECAM collection penod frm these contract cusomers and not
from other retal customers. All other customers will continue to pay ECAM chages on the 12-
month collection penod as they curently do durng the rate plan.
10. The Paries agee that, due to the uncertty of the jursdictional treatment of the
dispatchable irrgation load control program curently being discussed by the MSP Stading
Commttee, Idao's share of the customer load contrl servce credit will be tracked in the
ECAM. The Pares fuer agree that $1,045,423 (R Exhbit 2 page 4.4.1) is Idao's base
amount to be trcked in the ECAM for 2012 and 2013.
Rate Spread and Rate Design
11. The Paries agree to a rate spread based upon $17.0 millon in anua increases for
2012 and 2013 as set fort in more detal in Atthment 1 to ths Stipulation.
12. The Pares agree that the design of rates by rate schedule (rate design) shal be
consistent with the Company's proposas filed in its Application and adjusted for the revenue
requiment specified in this Stipulation. Detals of the rate design are included in Atthment 2
to ths Stipulation.
13. The Paries agree that the Company's residential customer servce charge for
Schedule 1 and 36 will remain at $5.00 per month and $14.00 per month, respectively, durg the
time penod covered by ths Stipulation.
Other Items
14. The Paries agree that the value of Monsanto's curlment products will be
increased from. millon in 2011, to . milion in 2012, and . millon in 2013.
Monsanto and the Company will execute a new energy service agreement for 2012 and 2013 in
order to reflect the term of the Stipulation. Monsanto and the Company agree to work

collaboratively and in good faith durg the rate plan penod to address the terms, conditions and
valuation of Monsanto's curlment products in an effort to maximze value to the Company and
Monsanto and also to discuss cost of service methodologies as applied to the Monsanto load and
how said methodologies wil be utilzed in the next general rate case. Monsanto and the
Company will report to the Sta and Commssion as appropnate on the progress made.
15. The Paries agree tht ths Stipulation does not chage or alter the irgation load
control servce credit in 2012 or pnor agreements governg the irgation load control program
that require the irgation load control servce credit to be renegotiated for the 2013 season and
beyond. The Company and IIPA will work collaboratively durg calenda year 2012 to
renegotiate the irrgation load control program for the 2013 season and beyond. The Company
and IlP A will work collaboratively durng the rate plan penod to discuss cost of service
methodologies as applied to the irrgation class and how sad methodologies will be utilzed in
the next general rate case.
16. The Paries agree tht the portion of the Populus to Termal tranmission line
determed by the Commission in Case No. P AC-E-l 0-07 to be plant held for futue use (PHFU)
is now used and usefu. The paries fuher agree that the Commssion should make a specific
finding that the entire Populus to Termal transmission line is now used and usefu. Although
the Paries agree that the Populus to Termin transmission line is used and usefu, they fuher
agree that the portion of the trsmission line deemed PHFU in Case No. PAC-E-IO-07 shall not
be included in rates until on or aftr Janua 1,2014. Followig the filing of ths Stipulation,
Sta and the Company agree to file a Motion to Suspend the Appeal now pendig in the Idaho
Supreme Cour, docketed as Case No. 38930-2011. Upon receipt of a final Order from the
Commssion approving the Stipulation, the Company agrees that it will with 10 days thereof
file a stipulation for Dismissa of the appeal with each par to bear its own costs.
17. The Paries agree that the Company will contiue to defer the depreciation
expense associated with the Populus to Termal transmission line, puruat to Order No. 32224,

until it is included in rates on Janua 1,2014 and that the accumulated deferr balance will be
amortized over thee years from the date the costs are included in rates.
18. The Paries agree tht the Company will work with the Pares to establish
hedgig limits consistent with workgroup processes established in Uta and Oregon for costs
beging Janua 1,2013, and forward.
19. The Paries agree tht, in recogntion of the two-year rate plan covered by this
Stipulation, Rocky Mountain Power will not file another general rate case before May 31,2013,
with new rates not effective pnor to Janua 1, 2014. Rocky Mountain Power will continue to
fie anua Results of Operations Reports with the Commission to enable the Commission to
ensure that rates durg the two-year rate plan continue to be just and reasonable. Ths
Stipulation does not prohibit the Company from revising rates due to the ECAM, which will stil
occur Apnl 1 each year.
iv. GENERA PROVISIONS
20. The Paries agree that this Stipulation represents a compromise of the disputed
claims and positions of the Paries on all issues in ths proceedig. Other than the above
referenced positions and any testiony filed in support of the approval of ths Stipulation, and
except to the extent necessar for a Par to explai before the Commssion its own sttements
and positions with respect to the Stipulation, all negotiations relating to ths Stipulation shal not
be admissible as evidence in ths or any other proceeding regarding ths subject matter.
21. The Paries submit ths Stipulation to the Commission and recommend approval
of the Stipulation in its entirety pursuat to Commssion Rule 274, IDAPA 31.01.01.274. The
Paries shal support ths Stipulation before the Commssion, and no Par shall appeal any
portion of ths Stipulation or any subsequent Order approving the sae. If ths Stipulation is
challenged by any person not a par to the Stipulation, the Paries to ths Stipulation reserve the
right to cross-examine witnesses and put on such case as they deem appropnate to respond fuly
to the issues presented, including the nght to raise issues that are incorporated in the settlement
embodied in ths Stipulation. Notwthstading ths reservation of nghts, the Paries to ths

Stipulation agree th they will contiue to support the Commssion's adoption of the terms of
ths Stipulation.
22. In the event the Commssion rejects any par or all of ths Stipulation, or imposes
any additional matenal conditions on approval of ths Stipulation, each Par reserves the nght,
upon wntten notice to the Commssion and the other Paries to ths proceeding, within 15 days of
the date of such action by the Commission, to withdraw from ths Stipulation. In such case, no
Par shall be bound or prejudiced by the terms of ths Stipulation, and eah Par shal be
entitled to seek reconsideration of the Commssion's order, fie testimony as it chooses, cross-
examne witnesses, or otherwse present its case in a maner consistent with the Commssion's
Rules and Procedures.
23. The Paries agree that ths Stipulation is in the public interest and that all of its
terms and conditions are fair, just and reasonable.
24. No Par shal be bound, benefited or prejudced by any position asserted in the
negotiation of ths Stipulation, except to the extent expressly stated herein, nor shall ths
Stipulation be constred as a waiver of the nghts of any Par uness such nghts ar expressly
waived herein. This is a "black box" settlement and execution of ths Stipulation shall not be
deemed to constitute an acknowledgment by any Pary of the validity or invalidity of any
paricular method, theory or pnnciple of reguation or cost recovery. No Par shal be deemed
to have aged tht any method, theory or pnnciple of reguation or cost recovery employed in
arving at ths Stipulation is appropnate for resolving any issues in any other proceedig in the
futue. No fidings of fact or conclusions of law other than those stated herein shal be deemed
to be implicit in ths Stipulation.
25. The obligations of the Pares under ths Stipulation are subject to the
Commssion's approval of ths Stipulation in accordance with its ters and conditions and, if
judicial review is sought, upon such approval being upheld on appeal by a cour of competent
jursdiction.
