On June 29,2011,Ronald Williams,on behalf of Cedar Creek Wind,LLC caused to
be filed with the Idaho Public Utilities Commission (Commission)a Motion for Pro Hac Vice

Admission of Larry F.Eisenstat,Esq.,and Michael R.Engleman,Esq.,in Case Nos.PAC-E-l 1-
01,PAC-E-1l-02,PAC-E-11-03,PAC-E-11-04 and PAC-E-11-05 (reference Idaho Bar
Commission Rule 222;IPUC Rules of Procedure 19 and 43.05).The local Idaho counsel filing
the Motion is Ronald Williams,Williams Bradbury,Attorneys at Law,1015 W.Hays Street,
Boise,Idaho 83702.
Larry F.Eisenstat certifies that he is an active member in good standing with the Bar
of the District of Columbia and that he maintains a regular practice of law at Dickstein Shapiro,
LLP,1825 Eye Street,NW,Washington,DC 20006-5403.Mr.Eisenstat further certifies that he
is not a resident of the State of Idaho or licensed to practice in Idaho.Mr.Eisenstat certifies that
he has never before been admitted under I.B.C.R.227 before the Idaho Public Utilities
Commission;he further certifies that he has not been denied admission under I.B.C.R.in this
jurisdiction or under any similar rule in any other jurisdiction.
Both Mr.Eisenstat and local counsel,Mr.Williams,certify that a copy of the
Motion,accompanied by a $200 fee,has been provided to the Idaho State Bar.Mr.Williams
acknowledges that as local counsel,his attendance shall be required at all proceedings before the
Commission in which Mr.Eisenstat appears,unless specifically excused by the Commission.
Michael R.Engleman certifies that he is an active member in good standing with the
Bar of the District of Columbia and that he maintains a regular practice of law at Dickstein

Commission Findings
The Commission has reviewed and considered the Motion for Limited Admission
filed in Case Nos.PAC-E-l 1-01 through PAC-E-l1-05 and the related practice rules and Rules

of Procedure,i.e.,Idaho Bar Commission Rule 222 (Limited Admission —Pro Rae Vice)and
Commission Rules of Procedure 19 and 43.05,IDAPA 31.01.01.019 and 043.05.
Based on the filings of record and certified representations of Mr.Williams,Mr.
Eisenstat and Mr.Engleman,we find that reasonable grounds have been demonstrated to justify
the granting of limited admission of Mr.Eisenstat and Mr.Engleman as legal counsel for Cedar
Creek Wind,LLC in Case Nos.PAC-E-1 1-01 through PAC-E-1 1-05.We further find good
reason to excuse the appearance of Mr.Williams in further proceedings in this docket unless
needed by Cedar Creek Wind,LLC.
CONCLUSIONS OF LAW
The Commission has jurisdiction in Case Nos.PAC-E-11-01,PAC-E-11-02,PAC-E
11-03,PAC-E-1 1-04 and PAC-E-1 1-05 and the Motion for Limited Admission filed by Ronald
Williams,local counsel,and both Larry F.Eisenstat and Michael R.Engleman,applying
counsel,pursuant to Idaho Code,Title 61,and the Commission’s Rules of Procedure,
31.01.01.000 etseq.
ORDER
IT IS HEREBY ORDERED and Larry F.Eisenstat is hereby granted limited
admission in Case Nos.PAC-E-11-01 through PAC-E-l1-05 as legal counsel for the applicant,
Cedar Creek Wind,LLC.
IT IS FURTHER ORDERED and Michael R.Engleman is hereby granted limited
admission in Case Nos.PAC-E-1 1-01 through PAC-E-1 1-05 as legal counsel for the applicant,
Cedar Creek Wind,LLC.
IT IS FURTHER ORDERED that the attendance of Ronald Williams is excused
from all further proceedings in Case No.PAC-E-11-01 through PAC-E-1 1-05 unless needed by
Cedar Creek Wind,LLC.
