Dear Ms. Jewell:
Enclosed for filing in the above captioned matter, pleas find the origin and seven (7) copies of
the First Revised and Restated Power Puchase agreements between Power County Wind Park,
LLC, and PacifiCorp, executed on June 2, 2011. Ths agreement amends the purchae power
agreement entered into by the paries on Augut 18,2010 and approved October 6,2010 by the
Idaho Public Utilties Commission, Order No. 32084, for the Nort and South Power County
Wind Parks.
The purse of the amendments are to revise the original contrcts for both the Power County
Wind Park Nort and South projects to replace twelve (12) Vesta V100, 1.8 megawatt, wind
tubines with nie (9) Nordex N100, 2.5 megawatt, wid tubines. Ths change will revise the
expected capacity rating from 21,780 kilowatt to 22,500 kilowatt. The average monthy output
for each facilty is stil expected to be below 10 average megawatt
The average anual net output of each of the facilties is also amended. The Power County Wind
Park Nort PPA average anual net output of 67,311,441 kWh is amended to 60,039,952 kWh.
The Power County Wind Park South PPA average anual net output of 60,523,733 kWh is
amended to 57,129,471 kWh.
Rocky Mountan Power respectfly requests that these revised and restate purchae power
agreements be approved in a miute-order by the Commssion.
However, if the Commssion feels ths matter deserves a more thorough examination the
Company has enclosed an application requesting tht these revisions to the purchae power
agreements be processed under Modified Procedure as Case No. P AC-E-11-16.

PacifiCorp, dba Rocky Mounta Power ("Rocky Mounta Power"), in
accordance with RP 52 and the applicable provisions of the Public Utilty Reguatory
Policies Act of 1978 ("PUR A"), hereby respetflly applies to the Idao Public Utilties
Commission (the "Commssion") for an Order approving amendments to two Power
Purchae Agreements ("PP As") entered into between Rocky Mounta Power and Power
County Wind Park Nort, LLC and Power County Wind Park South, LLC, respectively,
each dated June 2, 2011. In support of ths Application Rocky Mounta Power
represents as follows:
I. BACKGROUN
1. PacifiCorp, an Oregon corporation, is an electrcal corporation and public
utilty doing business as Rocky Mounta Power in the state of Idaho and is subject to the
jursdiction of the Commssion with regard to its public utilty operations. PacifiCorp

also provides retal electrc service in the states of Uta Oregon, Wyoming, Washigton,
and Californa.
2. Power County Wind Park, LLC is a Delaware limted liabilty company
("Power County Wind") and manager and sole member of the LLC. On October 6, 2010,
the Commission's Order No. 32084 approved purchaed power agreements between
Rocky Mountai Power, Windland, and the LLC entered into Augu 16, 2010. The
Commssion found tht the agreements submitted in ths case contained acceptable
contract provisions and included the non-Ievelized published rates approved by the
Commission in Order No. 31025.
II. FIRST AMNDMENT
3. Submitted herein is the firs amendment to the two PP As between
PacifiCorp and Power County Wind for the purhae by PacifiCorp of all of the output
from two wid generating facilities owned by Power County Wind.
4. The origi contracts for both Power County Wind Nort and South ar
being amended to replace the twelve (12) Vesta V100, 1.8 megawatt, wind tubines with
nie (9) Nordex N100 2.5 megawatt wid tubines. Ths revision changed the expected
capacity rating from 21,780 kilowatt to 22,500 kilowatts. The average monthy output
for each wind park is stil expected to be below 10 average megawatts
5. Due to the tubine change the average anua net output of each of the
facilties chaged. The Power County Wind, Nort PP A average anua net output of
67,311,441 kWh chaged to 60,039,952 kWh. The Power County Wind, South PPA
average anual net output of 60,523,733 kWh chaged to 57,129,471 kWh.

provided in the attched First Amendment to the PP As.
III. MODIFD PROCEDURE
7. Rocky Mounta Power believes that a hearng is not necessar to
consider the issues presented herein and respectfuly requests that ths Application be
processed under Modified Procedur, Le., by wrttn submissions rather th by hearng.
RP 201 et seq. If, however, the Commssion determes tht a techncal hearg is
requied, the Company stads ready to prepare and present its testimony in such hearg.

Recital
On August 18,2010, Power County Wind Park Nort, LLC, a Delawa limte liabilty
cOl'pany ("Seller") and PacifiCorp, an Oregon corporation, entered into their Power Purchae
Agreement Between Power County Wind Park North, LLC and PacifCorp. ("Power Purchase
Agreement") concerning the sale and purchase of net output from Seller's planed 21,780 kW
wid Qulifyg Facilty, to be located in Power County, Idao. On October 6, 2010, the Idao
Public Utilities Commssion, in Order No. 32084, approved the Power Puchase Agreement and
found payments made under the Power Puchase Agreement to be pruently incured expenses
for ratemag puroses.
The Power Puchae Agreement contemplates tht Seller's Facilty will include 12 Vestas
VLOO 1.8 MW tubines. However Seller desires to intead intal 9 Nordex NI00 2.5 MW
tubines. The proposed substitution wil result in chages to the Facilty's energy production
parete. PacifiCorp does not object to the substitution.
Seller also desires to amend the PP A to reflect its restrctug of ownersip of the
Interconnection Facilties used by Seller and Power County Wind Park South LLC and a change
in ownershp of Seller.
THREFORE, PACIFCORP AN SELLER HEREBY AGREE AS FOLLOWS:
Ths First Amendment to Power Puchae Agreement (Renewable Energy) between
Pow~r Gounty W~d Park Nort, LLC and PacifiCorp (ths "First Amendment") is entered into
ths'~dayof ~'C , 2011, by and between Seller and PacifiCorp, and amends their
August 18, 2010 . er Puchae Agreement. Capitaized te used and not otherise defined
herin are defied in the Power Puchase Agreement In consideration of the mutu covenants
herein cotained, Seller and PacifiCoip amend the Power Puchase Agreement as follows:
i. Amendment to Facility Capacity Ratig. Recita A of the Power Puhae
Agreement is hereby revised by replacing "an expected Facility Capacity Ratig of 21,780
kiowatt" with "an expete Facilty Capacity Ratig of 22,500 kilowatts."
2. Amendment to Recita B. Inteconnection Facilities. Recita B of the Power
Puhae Agreement is hereby amended to read in its entiety:
B. Seller has secured rights to deliver output from its Facilty to
PacifiCoip across interconnection facilities owned by Power County Wind Parks,
LLC; Seller, Power County Wind Park South, LLC, and Power County Wind
Parks, LLC have agreed to allocate comigled line losses on those interconnection
facilities as set fort in Addendum L.

Turbines" .

shall become effective afr execution by both Pares and aftr approval by the Commssion;
provided, however, ths Firt Amendment shall not become effective until the Commssion fids
tht the payments made under the Power Purchase Agrement (with chages under the Firt
Amendment) are prdently incured for ratemakg puroses and which payments the
Commission will allow PacifiCorp to recover in rates in Idao in. the event other jursdictions
deny recover of their proportonate shar of said expenses. PacifiCorp shall seek such
Commission approval promptly upon execution of this Firt Amendment.
With 30 days afer ths First Amendment becomes effective, PacifiCorp shal prear a

First Amendment and transmit a copy thereof to Seller for its records.

On Augut 18, 2010, Power County Wind Par Sout, LLC, a Delaware limted liability
company ("Seller") and PacifiCorp, an Oregon corporation, ented into their Power Purchase
Agreement Between Power County Wind Park South, UC and PacifCorp. ("Power Purchase
Agreement") concerning the sale and purchase of net output from Seller's planed 21,780 kW
wid Quifyng Facilty, to be located in Power County, Idao. On October 6,2010, the Idao
Public Utilities Commssion, in Order No. 32084, approved the Power Puchase Agreement and
found payments made under the Power Puchase Agrement to be pruently incured expenses
for ratemag puroses.
The Power Puchase Agreement contemplates that Seller's Facilty wil include 12 Vestas
V100 1.8 MW tubines. However Seller desires to instead intal 9 Nordex Nl00 2.5 MW
tubines.' The proposed substitution will result in chages to the Facilty's energy production
pareters. PacifiCorp'does not object to the substitution.
Seller also desires to amend the PP A to reflect its restrctug of ownership of the
Interconnection Facilties used by Seller and Power County Wind Park Nort LLC and a change
in ownership of Seller.
THEREFORE, PACIFICORP AN SELLER HEREBY AGREE AS FOLLOWS:

herein contained, Seller and PacifCorp amend the Power Puchase Agreement as follows:
1. Amendment to Facility Capacity Ratig. Recita A of the Power Purhase
Agreeent is hereby revised by replacing "an . expecte Facility Capacity Ratig of 21,780
kilowatt" with "an expected Facilty Capacity Rating of 22,500 kilowatt."
2. Amendment to Recital B. Interconnection Facilities. Recital B of the Power
Purchase Agreement is hereby amended to read in its entirety:
B. Seller has secured rights to deliver output from its Facilty to
PacifiCorp across interconnection facilities owned by Power County Wind Parks,
LLC; Seller, Power County Wind Park Nort, LLC, and Power County Wind
Parks, LLC have agreed to allocate comingled line losses on those interconnection
facilties as set fort in Addendum L.

3. Amendment to Recital D, Average Anua Net Ou1¡ut. RecitalD of the Power
Puchse Agrement are hereby. amended to replace the Average Anual Net Output of
60,523,733 kWh with 57,129,471 kWh.
4. Amendment to Section 1.68, Wind Turbine. Section 1.68 of the Power Puhase
Agreement is hereby amended to relace "Vesta Vi 00, 1.8 megawatt wid tubine" with
"Nordex NI00, 2.5 megawatt wind tubine" and to replace "12 Wind Turbines" with "9 Wind
Turbines".
5. Amendment to Section 4.3.1. Intial Year Energy Deliveiy Schedule. Section
4.3.1 of the Power Puchae Agreement is herby amended to replace the Intial Year Energy
Deliver Schedule with the followig:

unchaged. Ths Firt Amendment may be executed in counterar. This First Amendment
shall become effective aftr execution by both Paries and after approval by the Commission;
provided, however, this First Amendment shall not become. effective until the Commission fids
tht the payments made under the Power Puchase Agreement (with changes under the Firt
Amendment) are prudently incued for ratemakg puroses and which payments the
Commission wil allow PacifiCorp to recover in rates in Idao in the event other jursdictions
deny recovery of their proportionate share of said expenses. PacifiCorp shall seek such
Commission approval promptly upon execution of ths Firt Amendment.
With 30 days after this First Amendment becomes effective, PacifCorp shall prepar a
conformg draft of the Power Puchase Agreement incorporating the changes set fort in ths
First Amendment and trsmit a copythereofto Seller for its records.
