Each of the Project Companies has an energy sales agreement with Idaho Power Company, approved by the Idaho Public Utilities Commission, for the sale of energy from a 20 MW solar project. CD Global Solar II ID Borrower, LLC indirectly owns 1000/o of the membership interests in the Project Companies through a parent company. For the purpose of financing, 100% of the membership interests in CD Global Solar II ID Borrower,LLC will transfer from CD Global Solar II ID Investor, LLC to CD Global Solar II Borrower, LLC, which is an affiliated company that is 10070 owned indirectly by the same entity that owns 100% of CD Global Solar II ID Investor, LLC. The terms of the energy sales agreements for each Project Company will not change as a result of this reorganization for financing occurring on or before the date hereof.
