Dear Ms. Jewell:
On December 16, 2010, in Order No. 32138, Case No. IPC-E-10-26, the Idaho
Public Utilities Commission approved the Firm Energy Sales Agreement ("FESA")
between Idaho Power Company ("Idaho Power") and AgPower Jerome, LLC
("AgPower") under which Idaho Power purchases electric energy generated by the
Double A Digester Project in Lincoln County, Idaho.
AgPower recently notified Idaho Power of a clerical error on page 14 of the
FESA. The signed and filed version of the FESA is missing a numerator in the formula
set forth at the top of that page. Idaho Power and AgPower seek to replace that page
with the enclosed page in order to correct that clerical error.
Enclosed please find a copy of the replacement page 14 for the FESA between
Idaho Power and AgPower. Please contact me should you have any comments,
questions, or concerns.

This Adjusted Net Energy Amount will be used in applicable Surplus Energy calculations for only the
specific month in which Idaho Power was excused from accepting the Seller's Net Energy or the Seller
declared a Suspension of Energy.
Unless excused by an event of Force Majeure, Seller's failure to deliver Net Energy in any Contract
Year in an amount equal to at least ten percent (10%) of the sum of the Initial Year Net Energy
Amounts as specified in paragraph 6.2 shall constitute an event of default.
ARTICLE VII: PURCHASE PRICE AND METHOD OF PAYMENT
Base Energy Heavy Load Purchase Price - For all Base Energy received during Heavy Load Hours,
Idaho Power will pay the non-levelized energy price in accordance with Commission Order 30744,
30738 and adjusted in accordance with Commission Order 30415 for Heavy Load Hour Energy
deliveries with seasonalization factors applied:
