(2)The Intervenor is a party with Idaho Power Company to the Agreement to Provide
Electric Transmission and Substation Facilities ("Agreeement") which has been presented to the
Commission for review and approval in this case.

(3)As a result, this Intervenor has a direct and substantial interest in this proceeding
and intends to participate in all respects herein as a party as may be required to represent its
interests. Intervenor s participation will also not unduly broaden the issues in this proceeding.
(4)Without the opportunity to intervene herein, this Intervenor would be without a
manner or means of participating in the lawful determination of issues which are raised in this
case, particularly those raised by the Commission Staff in its Comments concerning the
Agreement. Further, any decision made by the Commission in this case will directly affect
Intervenor s plans for its multi-use real estate development in the Boise Foothills.
WHEREFORE, this Intervenor requests that this Commission confirm this Intervenor
leave to intervene in these proceedings and to appear and participate in all matters as may be
necessary and appropriate; and to present evidence, call and examine witnesses, cross-examine
witnesses, present argument, and to otherwise fully participate in the proceedings.
