The Staff of the Idaho Public Utilities Commission ("Staff'), Idaho Power
Company ("Idaho Power" or "the Company"), and the Industrial Customers of Idaho
Power, pursuant to Rule of Procedure (RP) 274, hereby file this Motion respectfully
asking the Idaho Public Utilities Commission ("Commission") for an Order accepting
and approving without material change the Stipulation and Code of Conduct filed
herewith. This Motion is based on the following:
1. On Januar 18, 2001, Idaho Power filed an Application seeking approval
of a proposed Statement of Policy and Code of Conduct covering transactions between
Idaho Power Company and other subsidiares of IDACORP, Inc. The Paries have
reached agreement on the outstanding issues in this matter.
2. The terms and conditions of the Paries' agreement are set forth in the
Stipulation and Code of Conduct filed herewith. The Paries agree that this Stipulation

and its acceptance by the Commission represent a fair, just and reasonable resolution of
the issues raised in this proceeding and that this Stipulation is in the public interest.
3. The Paries ask that the Commission grant this Motion and approve the
Stipulation in its entirety, without material change or condition, pursuant to RP 274.
4. As noted in Paragraph 9 of the Stipulation, all of the Paries agree that the
Stipulation is in the public interest and that all of its terms and conditions are fair, just
and reasonable. The Paries stand ready to support the Stipulation, either through written
comments or in accordance with such other procedure as the Commission may prescribe.
NOW, THEREFORE, the Paries respectfully request that the Commission issue
its Order:
1. Granting this Motion and accepting the accompanying Stipulation in its
entirety without material change or condition; and
2. Approving and accepting the accompanying Code of Conduct agreed to by
the Paries Stipulation.
