AIVIENDMENT NO. I
This AMEIIDMENTNO. I ("Amenrlmsof') to thc PowerPwchase Agreement
('Agreement") between Avista Corporation ("Avista") and Idaho County Ught & Power
Cooporative Assooiation, Inc. ('ICLP'), is entored into by the Parties and this Anrendment shall
be effective on Septembcry 2022,or such othcr date as set by the Commissionc^<4a].r;3
RECTTALS
WHEREAS, the Parties entered into the Agreement, under which ICLP is to deliver and
sell" and Avisu will purcbase, electric energr from ICLP's Facility;
WI{EREAS, it has come to tbe Parties' attention thal the definition of "Operating Year"
in the Agreement is incorrecq and
WHEREAS, the Parties desire to amcnd the Agreemenl to correct the error in the
definition of "Operating Yes'.
NOW TI{EREFORE, it is agrced as follows:
AGREEMENT TO AMENI)
l. Section l.l9 of tIrc Agrcement (definition of "Operating Year") is deleted and
replaced in its cntirety with the following:
l.I9 'Onerttinq YGar'means each l2-month period from Octobcr 31 through
October 30.
2. Except as expressly amended by the provisions set fortb in ftis Amendment, all of
the terms and corditions of tre Agree,ment shall remain in full force and effect following
exe,eution of this Amendmcnt and each Party confirms, ratifies and approves the Agreement as
amended by this Amendment. All capitalizod ternrs usedherein and not otherwise defined shall
have the respective meanings given to such terms in the Agrwmeirt. For the avoidance of doubt,
this Amednent is hereby incorpomted in the Agreement and, as of thc cffective date of this
Amendment all rcferenccs to the fureement shall be deemsd to be referencos to the Agreement
as amended by this Amendment.
3. This Amendment may be executed in two (2) or more counterparts, each of which
shall be d€emed as an original and togerther shall constitute one and the same document.
