Supplement to Amendment No. 4 to City of Cove Power Purchase Agreernent

Dear Ms. Hanian:
Attached for filing with the Commission is an electronic copy of Avista Corporation,
doing business as Avista Utilities ("Avista" or "Company"), Amendment No. 4 to the power
purchase agreement ("PPA") with the City of Cove, Oregon ("City"). Amendment No. 4 deletes
and replaces Exhibit H to the PPA in its entirety.

AMIINDMENT NO. 4
This AMENDMENTNO. 4 ("Amendment 4") to the Power Purchase Agreement
("Agreement") between Avista Corporation ("Avista") and the City of Cove, Oregon ("City"), is
entsred into by tho Parties and this Amendment shall be effective on September 12,2018, or
such other date as set by the Commission,
RECTTALS
WI-IEREAS, the Pafiies entered into the Agreement, under which the City is to deliver
and sell, and Avista will purchase, electric eflergy generated from Seiler's Facility; and
WLIEREAS, it has come to the Partie.s attention that cerlain terms of the Agreement are
incorrect and need to be coffected:
NOW THEREFORE, it is agreed as fcllows:
AGREEMENT TO AMTND
l, Exhibit H to the Agreement is deleted in its entirety and is replaced by the Exhibil
H that is attached hereto as Attachment l,
2. Except as expressly amended by the provisions set forth in this Amendment 4, all
of the terms and conditions of the Ageement shall remain in full force and effect following
execution of this Amendment 4 and each Party confirms, ratifies and approves the Agreement as
amended by this Amendment 4. All capitalized terms used herein and not otherwise defined
shall have the respective meanings given to such tetms in the Agreement. For the avoidance of
doubt, this Amendment 4 is hereby incorporated in tire Agreement and, as of the effective date of
this Arnendment 4, allreferences to the Agreement shall be deemed to be references to the
Agreement as amendecl.
3. 'fhis Arnendment 4 may be executed in two (2) or more counterparts, each of
which shall be deemed as an odginal and together shall constitute one and the same document.
