RE:Avista merger with Hydro-One
I was in attendance at the Coeur d'Alene meeting on 06/14/2018,and concur with the people
who testified.NO!
One concern I have is that the general public in Idaho is unknowledgeable about this situation,
becausevery few people subscribe to newspapers and seldom read.Trust me on this.
No one mentioned Avista's 1.9 billion dollar debt.Of course,this would disappear with the
merger.
America is being bought out by foreign companies.See enclosed page for some examples.
It seems that Avista is overly concerned about its image with the public with contributions to
charity.I suggestthat Avista,amongst others,including the Idaho Public Utilities Commission,
read the book,TOXICCHARITY by Robert D.Lupton.See enclosure.Avista needs to focus on its
primary purpose.
Just last night,June16,2018,at the opening of the baseball season,AVISTA PARTNERED WITH
TOYOTA TO GIVE AWAY A BRAND NEW TOYOTA.
Enclosed is an approximate accounting of Avista's grand endeavors.The dates above refer to
the the dates this information was in the Spokesman Review.

Civic leadership would continue.Avista's contributions to charity average $2,000,000 /yr.
Hydro-One will double that amount,making a 4.9millio contribution.The FOUNDATIONfunds
community non-profit organizations.
4,500 back packs,(How many of you had 12,or 16 years of schooling and never owned a
backpack?),YWCA,Avista Stadium,United Way,Whitworth,Eastern Washington,Gonzaga,Providence
Health Care,Northwest Museum of Arts,$5,000 to The Christmas Fund ,$50,000 to create an endowed
scholarship fund for WSU medical students.And who knows what else.
Avista paid for studies about health care's role in the local economy.

Avista is planning a major bioscience hub with a 6 story 140,000 sq/ft multi-use building filled
with high-tech labs,offices,classrooms and study areas.
Avista is building a 1.6 million private corporate hangar at Spokane National Airport,8,000 sq.ft,

Avista has a 1.9 billion dollar debt.I suggest that Avista leaders read the book TOXic CHARITIES
by ROBERT LUPTON.The book is highly recommended in local churches and in some is required reading
for anyone interested in volunteeringor applying for employment.
Scott Morris has a $4.5 million lavish package,which includes salary,bonuses,pension benefits,
and stock.
In 10/17 he was the largest shareholder,owning 183,894 shares,worth $9.75 million dollars.
(Thus,he can easily afford to donate lavishly)

Amanda Maxwell-THE NET BENEFIT STANDARD-The merger wouldn't be allowed to proceed
unless the companies could show a benefit to ratepayers from the sale,either through credits on their
bills,investments in green energy or consumer protection provisions.Referto Nov.28th .AVISTA

$404 million annually on capital projects through 2021.

Comment:I am opposed to the proposed merger between Avista and the Hydro One.This merger will allow foreign
control over electric production facilities in Idaho land the Pacific Northwest.In addition ownership of Avista by Hydro
One will make it more difficult to balance the regional (including Idaho)interests in operation of the Columbia River
System in terms of hydro-power production,flood control,fish and wildlife interests and recreation benefits important
to the Pacific Northwest.Operation of Lake Pendoreille in terms of flood control and recreation concerns for lake levels
will be even more complex given the Canadian interests in operation of the Columbia Riverssystem not are not always
in concert with the needs of Idaho and the Pacific Northwest.Additionallyit is not in the best interest of the U.S.and
the Pacific Northwest for ratepayer dollars to flow across the border to benefit Canadianrate payers and the Canadian
economy.
I urge the Idaho PUC commissioners and commission to oppose this merger.

Comment:I wish to state my objection to Hydro One of Canada taking control of Avista power.Hydro One does not
share the same ideology as most Idahoans,and it's policies are sure to greatly increase the electric rates.We are very
happy with Avista and would like to see the same service continue,which we believe will not happen with Hydro One.

Comment:I have concerns over the proposed merger between Hydro One and Avista.The merger announcement
promises no cost cutting measures but promises "immediate"cost savings,without detailing how the cost savingswill be
achieved.
Generally merger agreements promote the synergistic savingsof combined administrative functions.In this case the
two entities are in different national regulatory,legal and financial environments.In fact,the companies primarily
generate power using different technology,reducing the opportunityfor knowledge transfer.It is difficult to envision
savingswhen functional requirements will not be reduced and may in fact be increased by having to combine the two
disparate systems.Without the abilityto share personnel,equipment or administrative functions due to physical
distance and regulatory requirements,I fail to understand how the savingswill be generated.
I believe the companies need to detail the cost savings &increasesthey envision,providing the PUC with ranges
anticipated.This information could be used to verifythe assumptions should the merger be approved and to impose
limits or penalties should the benefits not occur.This would prevent any future pass through costs impacting the rate
payers.
