Dear.lamie:
This is with reference to that certain Agreement and Plan of Merger, dated as of July 19.2017 (the
"MgIggt-Agteeme.ql"), by and among Hydro One Limited, a corporation organized under the laws of
the Province of Ontario ("PaIQUt"), Olyrnpus Holding Corp., a Delaware corporation ('US_ Parent").
Olympus Corp., a Washington corporation ("Metrel$gb"), and Avista Corporation, a Washington
corporation (the "Company"). Capitalized tenns used but not defined herein shall have the rneanings
ascribed to thcm in the Merger Agreement.
Pursuant to Section 7.1(b) of the Merger Agreement. the Company hereby notifies each of Parent, US
Parent and Merger Sub that the Company has elected to extend the End Date to March 29, ZAl9.
Except as expressly modified by the immediately preeeding sentence, the Merger Agreement shall
rernain unchanged and in fulIforce and effect in accordance with its terms.
