FOR APPROVAL OF FIRST AMENDMENT TO ENERGY SALES
AGREEMENT WITH THE SISW LFGE PROJECT
BACKGROUND
On July25,2023,the Idaho Public Utilities Commission ("Commission")issued Order
No.35861 in Case No.IPC-E-23-15,directing Idaho Power Company ("Company")to submit a
compliance filing within 14 days to reflect two changes.First,the Southern Idaho Regional
Solid Waste District Landfill Gas to Energy Project ("Facility")needs to be described accurately
in the Energy Sales Agreement ("ESA").Second,the language of Article XXIII needs to be
updated as proposed by Staff and agreed to by the Company.
On August 8,2023,the Company filed a Compliance Filing,which containedthe Second
Amendment to the ESA to address the two issues.
STAFF REVIEW
Staff believes the Second Amendment to the ESA has appropriately addressed the two
issues stated in Order No.35861.Therefore,Staff recommends approval of the Second
Amendment.
The Second Amendment reflected the first change by removing the Volt-AmpsReactive
("VAR")Capability description from Appendix B of the ESA,which contained inaccurate
information.The Second Amendment reflected the second change by includingParagraph 23.8,

which states "[n]o modification to this Agreement shall be valid unless it is in writing and signed
by both Parties and subsequently approved by the Commission."
STAFF RECOMMENDATION
Staff recommends that the Commission approve the Second Amendment.
