SUBJECT: IN THE MATTER OF NOTICE BY MILLENNIUM NETWORKS, LLC
TO THE COMMISSION OF THE ASSETS ACQUISITION OF CTC
TELECOM, INC.; CASE NO. MNL-T-23-01.

On May 26, 2023, Millenium Networks, LLC, d/b/a Silver Star Communications
(“Millenium” or “Company”) filed notice to the Idaho Public Utilities Commission
(“Commission”) of its acquisition of “certain assets of CTC Telecom, Inc.1 (“CTC”) in Ada
County, Idaho. Notice at 1. Millenium is a telecommunications company operating under CPCN
No. 494 to provide local exchange telecommunications in Idaho. Id.; see also Order No. 31027.
BACKGROUND
Millenium represents it entered into an Asset Purchase Agreement on April 19, 2023, to
acquire almost all the assets of CTC within Ada County. Notice at 1. CTC is a
telecommunications company providing basic local exchange telecommunication services in
Idaho under CPCN No. 348. Id; see also Order No. 28059.
NOTICE
Millenium “intends to offer local exchange telecommunications services in the Ada
County area” and represents its existing CPCN allows for the provision of these services in the
Ada County area. Notice at 2.
STAFF RECOMMENDATION
Staff recommends a new case for CTC be opened, and it be allowed to review the Asset
Purchase Agreement between Millenium and CTC. Staff also recommends the Commission issue

a Notice of Petition and Notice of Modified Procedure establishing a 21-day public comment
deadline and a 7-day Company reply deadline.
COMMISSION DECISION
Does the Commission wish to open a new case for CTC, direct Staff to review the Asset
Purchase Agreement between Millenium and CTC, and issue a Notice of Petition and Notice of
Modified Procedure establishing a 21-day public comment deadline and a 7-day Company reply
deadline?
