This tariff revision implements the 1% franchise fee adopted by the City of Crouch. Idaho Power requests the proposed changes to Schedule 95 be accepted, with an effective date of May 28, 2020. Also transmitted are a copy of Schedule 95 in legislative format and a copy of the ordinance adopting the franchise fee for the City of Crouch. presentlyineffectbytheIdahoPublicUtilitiesCommissionoradoptedbythatCommissionduringthetermofthisfranchiseagreement.SECTION3.UponrequestoftheCity,theGranteeshallrelocateitsfacilitiesasnecessarywithinthepresentandfuturestreets,alleys,highwaysandotherpublicplacesownedbytheCity.TheCityshallhavenoresponsibilityforthecostsofsuchrelocations.TheGranteeshallbearthecostofrelocatingitsfacilitiesattheCity'srequest,unlessthefacilitiesaretoberelocatedforthebenefitofathirdparty,inwhichcasethethirdpartyshallpaythecostsofrelocation.Intheeventfederal,stateorotherfundsareavailableinwholeorinpartforutilityrelocatingpurposes,theCityshallapplyforsuchfundsandtheGranteewillbereimbursedtotheextentanysuchfundsareactuallyobtained.SECTION4.ItshallbelawfulfortheGranteetomakeallneedfulorconvenientexcavationsand/orinstallationsinanyofthepresentandfuturestreets,alleys,highwaysandotherpublicplaceswithinthecorporatelimitsoftheCityforthepurposeoferectingandmaintainingtheposts,poles,towers,orothersupportsforitswiresorforthepurposeoflaying,maintainingandoperatingconduits,vaultsandwiresandotherconductorsundergroundforthepuiposeaforesaid,ortorepairandimprovesuchelectricpowerandlightsystemandtoextendthesame;providedthatwhentheGranteeoranypersonorcorporationundertheauthorityofthisfranchise,shalldisturbanyofsaidstreets,alleys,highwaysorotherpublicplacesforthepuiposesaforesaid,he,itortheyshallrestorethesametogoodorderandconditionassoonaspracticableandwithoutunnecessarydelayandfailingtodosoafterfivedays'noticefromtheCity,oritsdulyauthorizedofficerorofficers,thentheCitymayplacesaidstreet,alley,highwayorpublicplaceinsuchconditionatthecostandexpenseoftheGrantee,andsaidGranteewillforthwithpaythefullcostandexpensethereofupondemandoftheCity.Allfacilitiesconstructedunderthisordinanceshallbeplacedandmaintainedatsuchplacesandpositionsinoruponsuchpublicwaysandpublicplacesasshallnotinterferewiththepassageoftrafficandshallconformtoallapplicablelaws,rulesandregulations.SECTION5.TheCityshallhavetherightandprivilegetostringandmaintainwiresfruitsinternalcommunicationsforitsfire,police,airportandotherservicesuponthepolesandotherfacilitieserectedandmaintainedbytheGranteehereunder,subjecttotheRulesandRegulationsoftheIdahoPublicUtilitiesCommission.TheCityshallstring,maintainandoperatesuchwiresatitsownexpense,riskandresponsibility,andinaccordancewithalllegalrequirementsandgoodengineeringpracticesandinsuchmannerasnottoimposeanyadditionalexpenseuponGranteeofitssaidpolesandfacilities.AnysuchwiresoftheCityshallbesubjecttointerferencebytheGranteeonlywhennecessaryinthemaintenance,operationorrepairoftheGrantee'sownfixtures,wires,facilitiesandappurtenances.SECTION6.TheGranteeshallatalltimesindemnifyandholdtheCity,itsofficers,employeesandagents,harmlessfromanyandallexpensesorliabilityarisingfrom,andagainstorbyreasonofanynegligentactoromissionoftheGrantee,itsrepresentativesoremployees,intheconstruction,operationormaintenanceofanyoftheGrantee'selectricutilitypropertyorfacilities.2 SECTION7.UponacceptanceofthisfranchisebyGranteeandbeforeGranteeshallhaveanyrightshereunder,GranteeshallfilewiththeCityClerkaCertificateofInsuranceevidencingGeneralLiabilityInsurancewhichcoversclaimsforBodilyInjury,PropertyDamageandPersonalInjury.Suchinsuranceshallhaveminimumlimitsof$1,000,000peroccurrence.TheCityofCrouchshallbenamedasan"AdditionalNamedInsured"underGrantee'sinsurancepolicy.Shouldtheminimumlimitsofinsuranceassetforthhereinbeincreasedabove$1,000,000,pursuanttotheIdahoTortClaimsAct(IdahoCodeSection6-901et.seq.)oranysimilarlegislation,theGranteeshallberequiredtoprovidetheCitywithanewCertificateofInsuranceevidencingthehigherlimitsupontheCity'srequest.SECTION8.Theelectricservicetobefurnishedtothepublichereunder,andallratesandchargestherefore,andallregulationoftheGranteehereunder,shallatalltimesbesubjecttoallrules,regulationsandordersthatmaybelawfullyprescribedbytheIdahoPublicUtilitiesCommissionorbyanyothergovernmentalauthoritynoworhereafterhavingjurisdictionoversuchmatters,Duringthetermofthisfranchise,GranteeshallatalltimesassurethatcustomerswithintheCityhaveaccesstocustomerservicefromtheGranteeasrequiredbytheIdahoPublicUtilitiesCommission.SECTION9.Ascompensationfortheright,privilegeandfranchiseherebygranted,GranteeagreestopaytotheCityonorbeforethe30thdayofJanuary,April,JulyandOctober,anamountequivalenttoonepercent(1%)ofGrantee's"grossrevenues"fortheprecedingcalendarquarter.ForpuiposesofthisSection,"grossrevenues"shallmeantheamountofmoneybilledbytheGranteefortheelectricityitsellswithinthecorporatelimitsoftheCitytocustomers,lessuncollectibles.TheCityshallprovideappropriateinformationtotheGranteetoallowtheGranteetoidentifywhichofitscustomersarelocatedwithinthecorporatelimitsoftheCityforpuiposesofpayingfranchisefees.GranteeshallnotberesponsibleforanyfailuretopayfranchisefeeswhichresultsfromdeficienciesinsuchinformationprovidedbytheCity.IntheeventtheCityannexesanewareaintoitscorporatelimits,thetermsofthisSection9regardingfranchisefeesshallnotapplytotheannexedareauntilsixty(60)daysaftertheCityhassuppliedtheGranteewithappropriateinformationfortheidentificationoftheGrantee'scustomerswithintheannexedarea.TheGrantee'sfranchisefeepaymentobligationshereundershallcommencewiththestartoftheGrantee'sfirstfullbillingcyclefollowingtheeffectivedateofthisordinance;provided,thattheGranteemustfirstreceiveapprovalfromtheIdahoPublicUtilitiesCommissionforthecollectionofthefranchisefeeintherateschargedbyGrantee.SECTION10.TheCityshallhavetherightduringthetermofthisfranchiseagreementtoincreasethefranchisefeehereunderuptothreepercent(3%),byobtainingtheconsentoftheGranteeortheapprovalofamajorityofvotersoftheCityvotingonthequestionatanelectionheldinaccordancewithchapter4,title50,IdahoCode.Anysuchvoletoincreasethefranchisefeehereundershallprovidethattheincreasedfranchisefeewillapplytoanyelectricservice3 provider(otherthantheCity)whoutilizestheCity'sstreets,alleysorotherpublicplacestoprovideelectricalservicewithintheCity,duringthetermofthisfranchiseagreement.SECTION11.TheGranteeshallkeepaccuratebooksofaccountforthecollectionofthefranchisefeesforaperiodnottoexceedthreeyearshereunderandtheCityshallhavetherighttoinspectthesameatalltimesduringbusinesshours,andfromtimetotimeauditthesameforthepuiposeofdetermininggrossrevenuesunderSection9above.SECTION12.ThefranchisefeespaidbytheGranteehereunderwillbeinlieuofandaspaymentforanytaxorfeeimposedbytheCityontheGranteebyvirtueofitsstatusasapublicutilityincluding,butnotlimitedto,taxes,feesorchargesrelatedtoeasements,franchises,rights-of-way,utilitylinesandequipmentinstallation,maintenanceandremovalduringtheteimofthisfranchiseagreement.SECTION13.TheGranteeshallhavetherightandprivilege,insofarastheCityisabletograntthesame,inaccordancewithNationalArboristAssociationstandards,ofthepruningofalltreeswhichoverhangthepresentandfuturestreets,alleys,highwaysandotherpublicplaceswithinthecorporatelimitsoftheCity,insuchamannerandtosuchextentaswillpreventthebranchesorlimbsorotherpartsofsuchtreesfromtouchingorinterferingwithitswires,polesandotherfixturesandequipment.However,exceptinanemergency,nopruningshallbeundertakenwithoutgivingtheoccupantoftheadjacentpropertywrittenororalnoticethatsuchpruningwillbeperformed.SECTION14.InconsiderationofGrantee'sundertakinghereunderasevidencedbyitsacceptancehereof,theCityagreesnottoengageinthebusinessofprovidingelectricserviceduringthelifeofthisfranchiseoranyextensionthereofincompetitionwiththeGrantee,itssuccessorsandassigns;butnothinghereincontainedshallbeconstruedordeemedtopreventtheCityfromexercisingatanytimeanypowerofeminentdomaingrantedtoitunderthelawsoftheStateofIdaho.TheCityshallnotgrantafranchisetoanotherelectricserviceproviderduringthetermofthisfranchiseagreementunlesstheelectricserviceproviderhasreceivedapprovaltoprovideelectricalservicewithintheCityfromtheIdahoPublicUtilitiesCommission,andtheCityhasimposedthesamefranchisefeeontheelectricserviceprovideraspaidbytheGrantee.SECTION15.Intheeventofanamendmenttothelaws,rulesorregulationsoftheCityofCrouch,theStateofIdahoorthePublicUtilitiesCommissionofIdahoapplicabletothisfranchise,orforperiodicreviewofanysectionofthisagreement,thetermsofthisfranchiseandtherightsandprivilegesherebyconferredmaybechanged,altered,amendedormodifieduponmutualagreementbetweentheCityandtheGrantee.Inallcases,60daysnoticeshallberequiredonthepartofCityorGranteetoreopentheagreementpursuanttothissection.SECTION16.AnyviolationbytheGranteeoftheprovisionsofthisordinance,franchiseandgrantoranymaterialportionsthereoforthefailurepromptlytoperformanyoftheprovisionsthereofshallbecausefortheforfeitureofthisfranchiseandgrantandallrightshereunderbytheCityaftersixty(60)days'writtennoticetotheGranteeandthecontinuanceof4 suchviolation,failureordefault;however,thisprovisionshallnotpreventtheGranteefromsubmittingsuchquestionofviolationorforfeituretotheappropriateforum(whichmayincludethedistrictcourthavingjurisdictionortheIdahoPublicUtilitiesCommission)fordetermination.Sale,assignmentorleaseofthisfranchiseisprohibitedwithoutSECTION17.notificationtotheCity.SECTION18.TheGranteeshallassumethecostofpublicationofthisfranchiseassuchpublicationisrequiredbylaw.SECTION19.TheGranteeshallwithinthirty(30)daysafterfinalpassageofthisordinance,filewiththeCityClerkitsacceptanceofthisfranchiseinwritingsignedbyitsproperofficersandattestedbyitscorporateseal.SECTION20.TheexistingfranchiseagreementbetweentheCityandGranteesetforthin,OrdinanceNo.2001-01,datedAugust14,2002,shallterminateupontheeffectivedateofthisordinance.SECTION21.InasmuchastheGranteehasconstructedandnowismaintainingandoperatingtheelectricutilitypropertyandfacilitiesinanduponthestreets,alleys,highways,andpublicplacesintheCity,itisherebyadjudgedanddeclaredthatthisordinanceisnecessaryforthepreservationofthepublicpeace,healthandsafety,andthereforethisordinanceshalltakeeffecton_FirstReading:SecondReading:n/AThirdReading:PASSEDANDADOPTEDbytheCounciloftheCityofCrOOcK.of
