REQUEST NO. 115:
Please provide a list of affiliate companies and/or operations that have been discontinued since
2007, if any, and how the costs associated with those discontinued operations were handled. For
example, were employees absorbed into the utility and if so, how many employees, what was the
associated dollar amount, when did it occur, and what is the ongoing impact to the Company as a
whole.
RESPONSE NO. 115:
Since 2007, there has been no discontinuance of service for any utilty company owned by
United Waterworks (UWW). One small New York company, UW Nichols, with approximately
220 customers, was merged with another small New York utilty, UW Owego, in an effort to
spread the costs of operating the companes over a larger customer base. UW Nichols had no
employees and had been operated for years by UW Owego. There were no cost savings as a
result of the merger on the new entity, UW Owego/Nichols and no impact on any of the
remaining UWW subsidiaries, including UW Idaho.
In addition, affiliate 00308 United Water Operations Idaho which had been operated by UWI,
had no active contracts as of December 31, 2008 and will be liquidated in late 2009 or early
2010. This entity also had no employees as UWI provided the manpower, when needed, for the
operation of this Business Unit. Tota labor costs from UWI to United Water Operations Idaho
for 2007,2008 and 10 months of2009 were $112,4l2, $75,371 and $331, respectively.

REQUEST NO. 119:
Please provide a copy of all invoices, contracts, agreements, and the basis of estimates
underlying rate case preliminar budget estimates included in Company WP 1 l. 1 .20. I-Rate Case
Costs. Please update this response on a monthly basis.
RESPONSE NO. 119:
Please refer to the attached agreements between the Company and the law firm of McDevitt and
Miler LLP as well as ODS Consultats. Please note that two agreements are attached for ODS
Consultants. The first, signed by both paries, was the initial agreement stating that ODS would
perform the revenue analysis for the rate case. Subsequently, ODS was retained to prepare and
sponsor adjustments to operating expenses. While a revised agreement was prepared and signed
by ODS, the Company did not formally sign this revised agreement.
The line item for Management & Service Company - Case Management of $50,000 represents
the Company's estimate of Mr. Doherty's costs charged to the rate case.

hourly rate is $1R5,OO. Also assistig me in the representation w'ml1 be Chas. F. McDevltt of ths f1tn. We
believe that due to our experience and collection of forms, bl'Îefs, proposed ordeis, testfony, case law ~nd
other matetias) we wi be able tp handle tlus case ver cost effectively.
For th representation, I would píopose that we wøi: agiut an estited budge of $65,000.00 and that
the. budget be reviewed as work progtesses. In makig the above estiate. we have assumed. that tlie case
wil be fty litigated, inchidig heargs ~nd post-hèiiring briefs. The estinate alo assufes tlat the
Company wil be priarily responsible for preparng intial d.fts of dlëct and rebuttl testiô.ny and for
handlg discove1l matters. The estiate makes no allowance for further proceedigs at the Coinssion or.
for appeåls. In the event that there are furtlier proceedi or appeals, a sepa.at~ fe~ arrangement can be
negotiated. I would recoüuiiend that tlie estimated budget be ino1Utoted and that adjusmieuts be made as
appropriate.
Utity rate reguation is a substantial part of my pl'actice, and I am faar with the rues of law, procedure
and precèdent that wil affect your case. My general responsibilty wi be to ensure that the case proceeds as
smoothly as possible though tlie Commssion. Wille \ve wil use out best effdIts to obta a favorable rate
award; we cannot, of course, gurantee any particular result.
Our specic responslbiltîes include:

RE: Letter Agreement - United Idnlio Rate Case Services
Dear Mark:
We have had discussions with you about providing consulting sei'vices fot. United Idaho's
upcoming rate case to be filed in September of 2009. We estimate the total cost for ODS to
provide these services to be $15,000, with a not to exceed amount of $20.000.
Thewol'k to be done by ODS includes time for preparing the revenue normalization adjustments
\Ising the data that your team wil provide after we provide a list of our data needs via emaiL. The
cost quoted above covet'S preparation of the associated filing requirement schedules. direct
testimony, imd the development of supporting work papers and exhibits. The amount quoted
above covers costs up to the time of filing and does not include responding to data requests.
testifying at the heaL'ng. support for legal briefs, 01' travel expenses. As we discussed, ODS wil
bil on an hourly basis as needed after the case is fied. However. all bils for work after the fiing
date wil be discounted by 10%. excluding travel costs. As you know. post filing costs are
diffcult to estlinate if the proceeding is delayed, long or drawn-out, has out of the ordinary
investigation from interveners. or has significant unusual issues. The pre-fiing not to exceed
estimate provided above assumes that the revenue adjusùnents wil not include weather
normalization and gi'owth studies similar to wbat was provided in the 2006 case.
ODS wil bil United Water Company 011 a monthly basis using the attached fee schedule. I wil
pei'form a good portion of the work aÍld others wil assist in order to complete the assignment on
time. We wil work closely with you to accomplish the work in a thorough and effcient manner
and wil not perform work outside this Letter Agreement without your prior written approvaL.
United Water and ODS have the L'ght to terminate this engagement at any time after reasonable
advance written notice. On termination, all fees and costs incurred prioi' to termination shan be
paid promptly after receipt of an invoice. Thereafter, ODS wil deliver any original doouments
belonging to United Water and deliver any other documents that have been paid for but not
delivered
