"Benefit of Enernoc Demand Response Program" was estimated to determine the Total Pr
Forma Purchased Power Expense shown in Loy's Exhibit No. 1.1, Schedule 1, page 8.
RESPONSE NO. 83:
The estimated $24,500 "Benefit ofEnernoc Demand Response Program", as shown on the above
referenced Exhibit, was determined in accordance with the EnerNOC-ldaho Power Demand
Respoiise Program Sales and Servces Agreement that United Water Idaho entered into with
EnerNOC on May 19; .2009. A copy of the Agreement is attached. It is based on the estimated
total "Peak NominatedCapaclty (kW) on Schedule A of the Agreement and calculated in
accordance with paragraph 3 of the Agreement. As such it represents the anual "Capacity
Payment" the Company could anticipate receiving for paricipating in the Agreement. . There are
no executable electronic work papers ilustrating the calculation. In essence, it is the estimated
1,987 kW x $4.00/kW x the 3 months the program is available in the summer. The slight
difference between the result of this calculation ($23,844) and the $24,500 is unexplained.

be captured in the financial statements of UWI. Please provide in Excel pivot table format an
extract from UWI's financial records separate for each year. The table should include the
category (AP Vouchers for example), line description, affliate number, grand total at the right
for each line description and grand tota for each affiliate number at the bottom.

REQUEST NO. 115:
Please provide a list of affiliate companies and/or operations that have been discontinued since
2007, if any, and how the costs associated with those discontinued operations were handled. For
example, were employees absorbed into the utilty and if so, how many employees, what was the
associated dollar amount, when did it occur, and what is the ongoing impact to the Company as a
whole.
RESPONSE NO. 115:
Since 2007, there has been no discontinuance of service foi: any utilty company owned by
United Waterworks (UWW). One small New York company, UW Nichols, with approximately
220 customers, was merged with another small New York utilty, UW Owego, in an effort to
spread the costs of operating the companes over a larger customer base. UW Nichols had no
employees and had been operated for years by UW Owego. There were no cost savings as a
result of the merger on the new entity, UW Owego/Nichols and no impact on any of the
remaining UWW subsidiaries, including UW Idaho.
In addition, affiliate 00308 United Water Operations Idaho which had been operated by UWI,
had no active contracts as of December 3 i, 2008 and wil be liquidated in late 2009 or early
2010. This entity also had no employees as tJWI provided the manpower, when needed, for the
operation of this Business Unit. Total labor costs from UWI to United Water Operations Idaho
for 2007, 2008 and 10 months of 2009 were $112,412, $75,371 and $331, respectively.
