Dear Mr. Armstrong:
As you and your staff are aware, Kastera, LLC owns several hundred acres in the North Ada County
foothills in two distinct areas, the Shadow Valley Golf Course and the North Eagle foothills. Our 660-
acres in the North Eagle foothills is known as Trailhead.
Over the course of the last nine (9) months, Kastera has been working with the City of Eagle on
attempting to annex our Trailhead property into Eagle. At one point we thought that substantial
progress had been made. Unfortunately, and to no fault of the City of Eagle or Kastera, LLC, the
ability for Kastera to annex our Trailhead property appears to be unraveling. Consequently, Kastera is
now looking at available development through Ada County's processes.
Kastera is very familiar with the Planned Community process due to our Shadow Valley Planned
Community Application currently under review by Ada County. We are requesting that you, as the
Director of Development Services, make a Director s Determination as to whether Kastera, LLC can
include 120-acres of our property within the Eagle Area of Impact into a planned community
application for our Trailhead project. Kastera believes that we have made a very strong good faith
effort to be annexed into Eagle, and we should not be penalized by including our 120-acres into
acreage for a planned community.
Please let me know what documentation you need from me in order to process a Director
Determination on this unique situation.

Dear Mr. Cook:
Thank you for sitting down with Wayne Forrey and discussing the planned community
planning processes. Wayne has asked me to provide to you a overview of the process
Kastera entered into with the City of Eagle in trying to be annex Kastera s 660+/- acres
into Eagle, Idaho. I have included copies of correspondence Kastera has had with Eagle
staff and representatives.
Wayne had an initial meeting with Eagle s engineer, Holladay Engineering in January
2006, to discuss the possibility of the City of Eagle providing domestic water to Kastera
Trailhead Community. Holladay Engineering informed Wayne that it would be at least
two (2) years before Eagle could even begin to think about providing water service to
Kastera s Trailhead project. It was Kastera assertion that being served by United Water
should not preclude the Trailhead Community from being annexed into the City of Eagle.
So Kastera began a dual track process with United Water and the City of Eagle:
Exhibit A - Kastera s request for United Water service.
Exhibit B - United Water s formal request to the Idaho Public Utilities
Commission (IDPUC) for the expansion of their service area.
Exhibit C - Kastera s request for a meeting with Eagle officials to discuss
annexation.
Exhibit D - Kastera second request for a meeting with Eagle officials to
discuss annexation.
Exhibit E - The City of Eagle s formal protest to the IDPUC.
Exhibit F - United Water s response to Eagle s protest.
Exhibit G - Letter from Kastera to the IDPUC asking for assistance in
determining who, Eagle or United Water, can provide water to Trailhead.
August 10,2006 a face-to-face meeting was held between the IDPUC, Kastera
United Water and the City of Eagle. Eagle again asserted its protest to United
Water s service area expansion and stated that no land would be annexed into the
City of eagle without being required to use Eagle City water service.

As you can see from the above Exhibit list, Kastera has invested substantial time and
effort with the City of Eagle. In October 2006, Kastera sat down with Eagle elected
officials and staff. At that meeting Kastera was told that an annexation path had been
established and was only a matter of a few weeks away from being formalized. This path
would have provided an avenue for Kastera s Trailhead Community to be annexed and
the City of Eagle to provide water to Trailhead.
After further negotiations Kastera agreed to two major concessions to the City of Eagle
and neighbors in the Triple Ridge Subdivision who were to provide the annexation path.
Kastera was told that with these two major concessions the annexation path would be
completed thus guaranteeing water service from the City of Eagle. Because of this
guarantee Kastera submitted both an annexation and rezone application to the City of
Eagle to show our willingness to move forward with the City. The annexation path never
materialized and on February 15,2007, Kastera formally withdrew its annexation and
rezone applications (Exhibit M) and notified the neighbors of our intentions in a letter
dated February 16, 2007 (Exhibit N).
Because of Eagle s lack of vision for proper community planning, Kastera is now moving
forward with developing within the Ada County framework. It also means that Kastera is
bound by current ordinances that allow for the ability to apply for a non-farm cluster
development because 140 acres of the 660 acres is in the Eagle Area of Impact. This
means that planning will not occur on 75% of the land which is in Ada County
jurisdiction. Kastera is asking that consideration be given to allow for the planning of all
of Trailhead today, so that problems do not arise tomorrow.
Kastera looks forward to Ada County Development Services' staff in helping to plan this
project so that it may be sustainable and beneficial to its future citizens and Ada County.

Staff recommends the applicant submit a development application along with the proposed rezone application.
In accordance with Sec. 8-2B-IC and 8-2B-ID of the A.C. the property must be served by municipal wastewater
collection and treatment system and community community water system in order to rezone the property to an urban base
dist.
Nonfarm subdivisions with 10 or more lots must have a community well.
Nonfann subdivisions must have a community sewage disposal system.
In order to rezone to the RR District property must be annexed into a fire dist.

Kastera Homes is beginning the application process for 660 acres of land in the Eagle
Foothills of Ada County. One development option Kastera Homes is considering is a
non-farm cluster in accordance with Ada County code. Please find attached to this
application a site plan showing this development concept.
As you can see from the attached site plan, Kastera Homes intends to develop on the
lower and flatter portions of the property (below 15% slope). You will also notice that on
the plan we have clustered the home sites away from major drainage areas.
On January 9, 2006, Wayne S. Forrey, also of Kastera Homes, met with Ada County
Development Services in a pre-application conference and they recommended a meeting
with the County Engineer to discuss the possibility of a Floodplain Application.
January 18 2006, I met with Ada County Engineer David Wells and he recommended
that Kastera Homes complete a Floodplain Application. Hence, we are submitting this
Floodplain Application to complete this step in our development application process.

MEMORANDUM OF AGREEMENT
THIS MEMORANDUM OF AGREEMENT is made this

2005 by Legacy Investments, ILC and Legacy Hills Development LLC, both Idaho
limited liability corporations. Legacy Investments and Legacy Development are
sometimes referred to hereinafter as a "Party" or "Parties
WITNESSETH:
1. Subdivision Development and Purchase and Sale Agreement. On
August 1!i.~OOS the Parties entered into a "Subdivision Development and Purchase
and Sale Agreement" (the "Agreement") in regard to the development and sale of certain
real property lying and situate in Ada County, Idaho and more particularly descn"bed on
the attached Exhibit ", which Exhibit "'A" is incorporated herein by this reference (the
Property").

2. Grant of Development Rights and Option to Purchase. Under the
terms of the Agreement Legacy Investments, LLC granted and conveyed to Legacy Hills
Development LLC all rights to develop the Property into residential or other mixed use
lots, tracts, parcels or subdivisions and the right and option to purchase aU or a portion of
the Property under the terms and conditions set forth therein. The Agreement contains
further teID1s, covenants and conditions regarding the construction of improvements
upon, and development of, the Property. The performance of Legacy Investments, LLC
of the terms of the Agreement is secured by a deed of trust upon the Property.

Dear Mr. Anderson:
As stated early this year, 2006, Kastera Homes agreed to re-vegetation of the
OlsenlTrailhead property north of Eagle, Idaho in Ada County. To begin this process we
requested a re-vegetation plan be completed by Mr. Rodney Evans, a Landscape
Architect with Pinnacle Engineers, Inc. (please attached plan).
Once Kastera Homes received Pinnacle s re-vegetation plan we consulted with Dan
Ritchie, Landscape Architect and owner of The Lawn Company to implement Pinnacle
recommendations. After reviewing Pinnacle s proposal, Mr. Ritchie recommended we
move forward with the re-vegetation without any additional disturbance of the property
with re-grading (please attached letter).
Moving forward, we agreed with Mr. Ritchie s recommendations and on September 25,
2006, signed a contract agreement to have The Lawn Company begin the re-vegetation
the fIrst week of November (please see attached signed agreement).
We look forward to any comments you may have and continuing our growing partnership
with Ada County.

We revisited the site, and after reviewing the current conditions, I would
recommend that we seed all disturbed areas that have less than 40% vegetative
cover, and do no further grading at this time.
As a Landscape Architect I feel that further grading will likely cause more
concern with the neighbors and a!so be a lengthy permit process.
If we seed the site with the current specs, I feel that the neighbors will see the
green mulch on the disturbed areas and be satisfied that Kastara Homes has
fulfilled their obligation.
The cost per acre will be $2.300.00. If you have any questions please feel free

This Agreement made the 22ND day of September 20
by and between The Lawn Company I hereinafter called the Contractor
and Kastera Homes I herein after called the Owner.
WITNESSETH that the Contractor and the Owner for the considerations named agree as follows:
Article 1. Scope of the Work
The Contractor shall furnish all the materials and perform all of the work shown on the Drawings and/or
described in the Specifications entitled Exhibit A, as annexed hereto as it pertains to work to be performed
on property at Trail Head Community
Article 2. Time of Completion
The work to be performed under this Contract shall be commenced on or before NaV 1 I 20~1
and shall be substantially completed on or before NaV 15 20j!L Time is of
the essence. The following constitutes substantial completion of work pursuant to this proposal and

The Owner shall pay the Contractor for the material and labor to be performed under the Contract the sum

Article 5. General Provisions
Any alteration or deviation from the above specifications, including but not limited to any such alteration or
deviation involving additional material and/or labor costs, will be executed only upon a written order for
same, signed by Owner and Contractor, and if there is any charge for such alteration or deviation , the
additional charge will be added to the contract price of this Contract.
If payment is not made when due, Contractor may suspend work on the job until such time as all payments
due have been made. A failure to make payment for a period in excess of Thirtv days
from the due date of the payment shall be deemed a material breach of this Contract.
In addition, the following general provisions apply:
1. All work shall be completed in a workmanlike manner and in compliance with all building codes and
other applicable laws.
2. The Contractor shall fumish a plan and scale drawing showing the shape , size dimensions, and
construction and equipment specifications for home improvements, a description of the work to be
done and description of the materials to be used and the equipment to be used or installed, and the
agreed consideration for the work.
3. To the extent required by law all work shall be performed by individuals duly licensed and
authorized by law to perform said work.
4. Contractor may at its discretions engage subcontractors to perform work hereunder, provided
Contractor shall fully pay said subcontractor and in all instances remain responsible for the proper
completion of this Contract.
5. Contractor shall furnish Owner appropriate releases or waivers of lien for all work preformed or
materials provided at the time the next periodic payment shall be due.
6. All change orders shall be in writing and signed both by Owner and Contractor, and shall be
incorporated in, and become a part of the Contract.
7. Owner shall at its own expense obtain all permits necessary for the work to be performed.
8. In the event Owner shall fail to pay any periodic or installment payment due hereunder, Contractor
may cease work without breach pending payment or resolution of any dispute.
9. Contractor shall not be liable for any delay due to circumstances beyond its control including
strikes, casualty or general unavailability of materials.

Article 6. Indemnification
To the fullest extent permitted by law, the Contractor shall indemnify, defend and hold
harmless Kastera Homes and its agents and employees, from and against
claims, damages, losses and expenses, including by not limited to attorney s fees, arising out of or resulting
from performance of the work or providing of materials to the extent caused in whole or in part by negligent
or wrongful acts or omissions of, or a breach of this agreement by, the Contractor , a subcontractor, anyone
directly, or indirectly employed by them or anyone whose acts they are legally responsible for,
Article 7. Insurance
The Contractor represents that it has purchased and agrees that it will keep in force for the duration of the
performance of the work or for such longer term as may be required by this agreement, in a company or
companies lawfully authorized to do business, in the States of Idaho such insurance as will
protect owner from claims for loss or injury, which might arise out of or result from the Contractor
operations under this project, whether such operations be by the Contractor of by a subcontractor or its sub.

The Contractor represents and agrees that said insurance is written for and shall be maintained in an
amount not less than the limits of the liability specified below or required by law, whichever coverage is
greater. The Contractor certifies that coverage written on a "claims make" form will be maintained without
inteITUption from the commencement of work until the expiration of all applicable statutes of limitation.

Considering a standard subdivision. non-farm subdivision, or a planned community
The regulations for a nonfarm subdivision is set forth in Sec. 8-2A-6 of the
Ada County Code.
Regulations for a subdivision are set forth in Title 8, Chapter 6 of the A.c.c.
A portion of the subject property is located in the City of Eagle Area of City
Impact.
Only those areas outside of the area of city impact would be considered as pa11
of a nonfarm subdivision.
To apply for a nonfarm subdivision the property must be within the RR District
and contain 20 acres of continuous land.
A planned community must contain 640 acres and be located outside of an existing
area of city impact.
Staffrecommends the applicant submit a development application along with the
proposed rezone application.
In accordance with Sec. 8-2B-l C and 8-2B-lD of the A.c.C. the property must be
served by municipal wastewater collection and treatment system and community
community water system in order to rezone the property to an urban base dist.
Nonfarm subdivisions with 10 or more lots must have a community well.
Nonfarm subdivisions must have a community sewage disposal system.
In order to rezone to the RR District, the property must be annexed into a fire
district.

Dear Mr. Wyatt
Thank you for taking time out of your busy schedule to discuss water service issues with
me. I appreciate and understand that water is a high priority with all developers in the
Treasure Valley and you and your staffs' expertise in this matter is very helpful.
Per our February 20, 2007, telephone conference, Kastera LLC is submitting to United
Water in writing a request for water services to Kastera s Trailhead Community in the
North Ada County Foothills. Kastera LLC will be making application with Ada County
for development of this project. We desire United Water service for our Trailhead
Community.
Kastera LLC was in negotiation with the City of Eagle and surrounding neighbors to the
Trailhead Community for an annexation path. This path did not materialize and as such
the City of Eagle is not able to provide water service to our project. Kastera LLC has
requested, in a letter dated February 15,2007, to the City of Eagle, a withdrawal of both
our Annexation and Rezone Applications immediately (letter to Eagle is included as an
attachment to this letter).
For the benefit of all parties involved, Kastera LLC will not discuss any annexation or
water service requests from the City of Eagle, Idaho for this specific project. We realize
that United Water has requested an expansion of its service area to include Kastera
Trailhead Community from the Idaho Public Utilities Commission and as such Kastera
agrees that it makes sense to coordinate with United Water on providing water service to
our project.
Again, we thank you for your time on this matter and we look forward to moving forward
with United Water on this exciting project.

Since I have not yet received a letter from you as promised in your amail below, I find I must inquire as to the status of your
intentions regarding water service to Kastera s J"railhead development. As you know, at Kasters s request, United Water
Idaho filed a request with the Idaho Public Utilities Commission (PUC) for an expansion of our service territory to include
the Trailhead project. Subsequently, the City of Eagle intervened in that proceeding because they indicated Kastera was
seeking annexation into the City of Eagle and that the City would be providing Kastera s water service needs. Additionally,
in follow-up phone conversations with Wayne Forrey. 1 was assured that Kastera wished water service from United Water.
Two days ago, after again talking with Wayne, I received a copy of the draft MOU that Kastera presented to the City of
Eagle on July 14, in which it appears that Kastera still has some interest in receiving service from Eagle. At no time did
Wayne mention anything about the MOU. I would like to reiterate that United Water is very interested in providing water
service to your Trailhead project and we stand ready to proceed immediately upon your request. However, if Kastera
does
not wish to receive water service from United Water, I would appreciate receiving a communication to that effect.
If your
intention is to move forward with United Water, please say so and we will expedite your request. If your intention is to
proceed with water service from Eagle, please let me know. If the latter is your intention, please be advised that United
Water will be seeking reimbursement from Kastera for aU costs and expenses incurred in our service territory filing and
proceedings before the PUC in this matter.

Regarding: Request for Water Service
Dear Mr. John Lee:
On behalf of Kastera Homes and Mr. Gregg Olsen, I am writing to formally request extension of
water mains and water service facilities to serve our 660 acre property in the foothills north of
Eagle, Idaho. It is our desire to have water service to our property via United Water Idaho
facilities.
Mr. Gregg Olsen is the property owner and Kastera Homes is in the process of acquiring the 660
acre Olsen ranch. 520 acres of the Olsen ranch is within Ada County. The southerly 140 acres
is within the Eagle Area of City Impact boundary. (see vicinity map below.I have the
authority to make this request on behalf of Mr. Olsen.

The initial development concept for this property is a
clustered community including 104 homesites plus an
equestrian center to be developed in accordance with the
non-farm ordinance of Ada County. In the future, there
mayor may not be additional homesites developed,
depending upon ordinance requirements. The
development concept for the land within the Eagle Area of
City Impact is undefined at this time.
