REQUEST NO.:Staff – 007(H1)TELEPHONE:[phone]EMAIL:[e-mail]:Please describe how the government of Ontario (Ontario) exerts influence over the Hydro One BOD and executive team reflective of its ownership stake.RESPONSE:The Governance Agreement between the Province of Ontario and Hydro One Limited specifically states that the Province of Ontario shall engage in the business and affairs of Hydro One as an investor and not as a manager. Among other things, the Governance Agreement addresses the director nomination process, including the requirement to maintain a board of between 10 and 15 members and prescribing the maximum number of directors that may be nominated by the Province.
