Please confirm that, following the initial one-year term of Mr. Morris as Chairman of the Avista or “Subsidiary Board” after the merger, Hydro One would have the power to designate a Hydro One executive as Chairman of the Avista Board. If Avista does not confirm, please explain. RESPONSE:
The Board elects the Chairman of the Board. The Board could elect a Hydro One executive as Chairman of the Board after Mr. Morris’ one-year term.
