Dear Mr. Nicholson:
PacifiCorp, formerly known as Utah Power & Light Company, has an original Power Purchase
Agreement dated June 27, 1985 ("Agreement") for PacifiCorp's purchase of electric energy from
your Qualifying Facility. This letter is intended to clarify and/or provide the proper date for
expiration or termination of the Agreement. PacifiCorp has determined that the 35-year term of the
Agreement will expire or terminate at 2400 hours on April 30, 2021. If you agree that this
expiration or termination date is appropriate, please sign both originals of this letter, retain a copy
for your records, and return one original to me in the enclosed envelope. In the event an original
signed copy is not returned by April 28, 2006, PacifiCorp will rely on the above represented
expiration or termination date as the proper date.
