Please explain how the proposed transaction complies with Idaho
Code 61-328 (3), specifically:
(a) That the tansaction is consistent with the public interest;
(b) That the cost and rates for supplying service will not be increased by reason of
such transaction; and
(c) That the applicant for such acquisition or tansfer has the bona-fide intent and
financial ability to operate and maintain said property in the public service.
Response to IPUC Data Request I
(a) The Service Allocation Agreement between the Company and the City pays the
depreciable replacement cost for the assets and 167 percent of the ten customers'
previous twelve months electrical bills which benefits customers consistent with
the public interest.
(b) Company is transferring service to the customers to City and being adequately
compensated for such transfer preventing any increase in cost and rates for service
to remaining customers.
(c) Company is transferring service and facilities to City and City has a bona-fine
intent and financial ability to provide service to customers being transferred.

The sales price is based on replacement cost less depreciation. The "Price" tab is a
