b. Copies of the Summary Plan Description.
c. Copies of all allocation reports, administration reports and/or actuarial
reports for each of the last 5 years, including all compliance testing.
d. Copies of all Forms 5500' s including attachments for each of the last 5
years.

If MidAmerican plans to continue offering the same level of retirement benefits
to employees of Pacificorp, please provide copies of the merger amendments
for the continuing plans. If the merger amendments have not yet been prepared
please provide an outline of such amendments. If any plan is going to be
discontinued or terminated, please state so.
MEHC's Response to IPUC Staff Data Request 2
MEHC has made a commitment that they will not make changes to PacifiCorp
employee benefit plans for at least two (2) years, or if later, six months after
closing, following the signing of the Stock Purchase Agreement (Gale Exhibit
No.2). Given that the parties are still in the early stages of the transaction, there
have been no decisions made regarding changes to the PacifiCorp benefit plans.
PacifiCorp does not believe that it is necessary to adopt an amendment to its
Retirement Pan to reflect this merger commitment. The purpose the PacifiCorp
Retirement Plan agreement itself is to document the terms and conditions of the
plan and the benefits it provides. This merger commitment is already reflected
in the Stock Purchase Agreement, and is included in the MEHC's application in
this docket.
