This Binder is evidence that Energy Insurance Mutual Limited has bound coverage described hereafter in
accordance with your instructions and applications for insurance on file. The binder is subject to the
terms, conditions and limitations of the policy in current use by EIM and any special conditions specified
by this binder.
This binder may be cancelled by the Member Insured and EIM in accordance with the cancellation
provisions of the policy in current use and is automatically cancelled when the policy is issued.

This Binder is valid for 45 days, and is subject to the following:
EIM will agree to follow form AEGIS' Binder letter dated April 20, 2020, including only endorsement
numbers: 1, 4 (only to the extent it affects the EIM Attachment Point), 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15,
16, 17, 18, 19 (except New York law applies for any coverages not contained in this endorsement), 20,
21, 22, 23, 24, 25, 26, 27, 28, 29, 30, 31, 32, 33, 34, 35, 36, 37, 38, 39, 40, 41, 42, 43, 44, 45, 48, and 49.
EIM will not follow endorsement numbers: 2, 3, 46, and 47.
With respect to underlying sub limits, EIM only follows form to the extent it affects the EIM attachment
point.
Policy will be issued on Following Form Excess Directors & Officers Indemnity Policy form Rev. 11/01/15
(see www.eimltd.com for specimen) and will also include the same EIM expiring endorsements as stated
above.
Your current policy provides coverage for terrorism risks. You should know that any losses resulting from
"certified acts of terrorism", as defined in the "Terrorism Risk Insurance Program Reauthorization Act of
2015" (the "Act"), would be covered and may be partially reimbursed by the United States government
under a formula established by federal law. Under the formula, the United States government generally
reimburses 85% of covered terrorism losses exceeding the statutorily established deductible paid by the
insurance company providing the coverage. Beginning on January 1, 2016, the federal share of
compensation will decrease by 1 percentage point per calendar year until equal to 80%. Therefore,
coverage for losses resulting from certified acts of terrorism can be included under the policy in
accordance with the Act and the Terms and Conditions of the policy.
The Act contains a $100 billion cap that limits United States government reimbursement as well as
insurers' liability for losses resulting from certified acts of terrorism when the amount of such losses
exceeds $100 billion in any one calendar year. If the aggregate insured losses for all insurers exceed
$100 billion, your coverage may be reduced.
The portion for your annual premium that is attributable to coverage for certified acts of terrorism is
$6,430.00.
Notwithstanding the offer of coverage provided, we retain the right to modify coverage for terrorism,
without consideration, if the Federal Act is not extended or renewed at expiration or if legislation is
enacted by the U.S Federal government that would in any way affect the coverage provided by the
Company for terrorism losses.
This policy includes $0.00 commission.
Subjectivities: This Binder is contingent upon the receipt of the premium payment due on or
before 05/21/20.

This contract is registered and delivered as a surplus lines coverage under the Surplus Lines
Insurance Law, and it may in some respects be different from contracts issued by insurers in the
admitted market, and, accordingly it may, depending upon the circumstances, be more or less
favorable to an insured than a contract from an admitted carrier might be.

Please go ahead and code the payment received to S20 X00020 999 234020 at IDA. Then when I do the monthly intercompany cash transfer next month, it will get
picked up for reimbursement to IPC.

Good Morning,
I was able to run this by Aubrae and she agrees it should hit the 925000 (similar to EIM). Historically, I found one refund recorded, as well (from a different vendor).
The only difference was the ABM used which was X00001. The rest of the accounting followed the Transmittal Jeff already prepared for IPC (Account 925000, Cost
Center 743, DCE 567.)
Kurt: You’d mentioned we could receive the check into IDA and then wire the funds back to IPC. I’m not sure if you already had some accounting in mind for that,
but if not, I’m thinking it would look something like this:

For the record, I did confirm that this is the first year we received this loyalty credit. It takes four lines of insurance to quality, and we only had 3 until we added the
Cyber in 2020.

Subject: AEGIS Credit Received at IDA
Hi Aubrae,
Treasury received a Loyalty Credit from AEGIS made out to IDACORP that they are wanting to process.
Jeff Believes this probably belongs at IPC in account 925000 (Account 925000, DCE 567, CC 743), but is uncertain. He also believes these credits have been occurring
annually, but in researching the 925000 for his Cost Center, I was unable to find any such credit.
Are you, by chance, familiar with this?
If we can verify it belongs at IPC, are we good to bring the payment into IDACORP as a credit payable to IPC and debit to cash? Then transfer it to IPC through a
417300/417420 entry or should we simply have Treasury transfer forward through a wire?
Kurt said they could hold the entries a few days while we figure out where it belongs.
