TO PROTECTIVE AGREEMENT CASE NO. IPC-E-09-03
This Exhibit C is in furterance to the confidentiality obligations of the Protective Agreement dated
March 26. 2009, in Case No. IPC-E-09-03.
WHEREAS, the undersigned Part seeks access to certain Boise Power Partners Joint Venture
Confidential Information (whether directly thugh Boise Power Parters Joint Ventue or its members or via
Idaho Power) in connection with IPC-E-09-03. and Boise Power Pàrters Joint Venture is wiling to provide
such access to Boise Power Parers Joint Venture Confidential Infoimation pursuant to the terms of the
Protective Agreement and the additional terms that follow:
1. To be considered as "Confdential Information," Boise Power Parers Joint Venture Confidential
Information need not be mared by Idaho Power, need not be printed on colore paper, and need not
be accompanied by an attorney's certficate (para l(a) revision).
2. Only employees' and legal counsel specifically identified. by the Part and approved in writing by
Boise Power Parters Joint Ventue shan be authorized to access Boise Power Parers Joint Ventue
confidential information. Such specifically approved perons shall not discuss, disclose, or allow
access to the Boise Power Parters Joint Venture Confidential Inormtion with any person not
similarly a.ut1lorized access to such Boise Power Parters Joint Ventue Confidential Infonnation
(para i (c) revision).
3. No copies or transcriptions of Boise Power Parers Joint Venture Confidential Information shall be
made, in whole or part without the express written permission of Boise Power Parers Joint Venture
(para 2(a) revision).
4. In the event the Par submitted a bid in connection with IPC-E-09-03, the Par shall provide Boise
Power Parers Joint Ventue (whether diretly or via Idaho Power) with its Confidential Inormtion
that is equivalent and corresponding to the Boise Power Parters Joint Ventue Confidential
Information that it accesses.
5. Boise Power Parers Joint Venture shall have the same rights and benefits vis-à-vis the Par for
Boise Power Parters Joint Venture Confdential Information as Idaho Power has for its Confidential
InfoJ1ation under the Protective Agreement.
6. The Boise Power Parners Joint Venture Confidential Inormation is provided on an uas is" basis.and
without warty of any kind. Boise Power Parters Joint Venture shall not be liable for any indirect,
incidental, 'special, or consequential damages. loss of revenue, cost of capital, or loss of profit or
busines opportnity, whether such liabilty arises out of contrct, tort (including negligence), strct
liabilty or otherwise due to Insurer use 0 misuse of the Boise Power Parters Joint Venture
Confid,ential Inormation.
