IPC-E-07-17 ) ) IDAHO POWER'S RESPONSE TO ) THE SECOND PRODUCTION ) REQUEST OF THE COMMISSION ) STAFF ) ) ) COMES NOW, Idaho Power Company ("Idaho Power" or "the Company") and, in response to the Second Production Request of the Commission Staff to Idaho Power Company dated November 2,2007, herewith submits the following information: IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 1 REQUEST FOR PRODUCTION NO. 14: Idaho Power's IRP anticipated that the 100 MW geothermal RFP would be concluded in 2007 and that 50 MW of geothermal resource would be online by 2009. In its bid, U.S. Geothermal proposes to offer a total of 45.5 MW of geothermal energy to Idaho Power and to have those facilities online between October 2007 and January 2011. Given that U.S. Geothermal's proposal represents only 45.5 MW of the 100 MW sought under the RFP, and given that the preferred portfolio in the 2006 IRP calls for 150 MW of geothermal energy, what plans does Idaho Power have to acquire more geothermal energy in the future? RESPONSE TO REQUEST FOR PRODUCTION NO. 14: Idaho Power Company issued the Geothermal RFP using the results of the 2004 Integrated Resource Plan (IRP). The 2004 IRP showed the need for 100 MW of geothermal energy in 2009. Shortly after issuing the Geothermal RFP, the 2006 IRP was prepared and showed the need for 50 MW of geothermal energy in 2009, 50 MW in 2021 and 50 MW in 2022. Idaho Power Company determined that the U.S. Geothermal bid matched as closely as possible the 50 MW requirement in 2009 due to the required time to develop a geothermaL. However, responses to the Geothermal RFP indicate that additional geothermal resources are available. Based on this information and the fact that (1) geothermal resources are baseload (as compared to intermittent) renewable resources, and (2) geothermal resource minimize the Company's and customer's exposure to future carbon regulations, Idaho Power has decided to issue another geothermal RFP. This second RFP will seek to acquire 50 to 100 MW of geothermal generation with a target online date of 2011. If geothermal resources are IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 2 available prior to 2011, they will be considered to meet projected deficits in 2009 and 2010. The RFP is targeted to be released in early 2008. The response to this request was prepared by Thomas J. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 3 REQUEST FOR PRODUCTION NO. 15: Please explain why Idaho Power in November of 2006 determined that it would not pursue ownership of a geothermal resource. RESPONSE TO REQUEST FOR PRODUCTION NO. 15: Upon receiving the bids, and working more closely with both the developers and outside consultants, Idaho Power Company determined that prior to owning a geothermal facility, it needed to better understand the risks of geothermal exploration and development. In addition, only one bidder submitted an ownership proposal and its estimated costs were preliminary. In order to timely respond to the bidders that responded to the Geothermal RFP, Idaho Power Company decided that the ownership option should be removed from evaluation. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 4 REQUEST FOR PRODUCTION NO. 16: The executed Power Purchase Agreement (PPA; Agreement) is for approximately 13 MW of the 45.5 MW bid by U.S. Geothermal under the RFP. Idaho Power states that agreements for the remaining 32.5 MW of power wil be submitted to the Commission separately from the initial filng. Wil the terms and conditions, including the price for power, be the same for the remaining 32.5 MW as for the initial 13 MW? Will the Company request similar recovery of all related expenses in its PCA mechanism? RESPONSE TO REQUEST FOR PRODUCTION NO. 16: Idaho Power envisions that much of the standard "boiler plate" language from this agreement wil be used in the additional three agreements. However, each of the additional three projects have unique characteristics and are in different stages of development and thus will require additional and different terms and conditions to accommodate the unique aspects of each project. Within the U.S. Geothermal bid, US Geothermal bid each of the four projects at different prices and with varying terms and conditions. In addition, US Geothermal indicated that it was likely that the agreements for each of the four proposed projects would be with different US Geothermal business entities in order to accommodate different US Geothermal partners and investors. The U.S. Geothermal bid prices and requested terms and conditions wil be the beginning point for the negotiation process. Idaho Power will seek similar recovery of all related expenses in the PCA mechanism for all four of these geothermal agreements. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 5 The response to this request was prepared by Randy C. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 6 REQUEST FOR PRODUCTION NO. 17: Are Idaho Power and U.S. Geothermal currently negotiating power sales agreements for the remaining 32.5 MW? Is so, when does Idaho Power expect that the agreements wil be filed with the Commission? If not, what things have to take place before these negations begin? RESPONSE TO REQUEST FOR PRODUCTION NO. 17: Idaho Power Company will be negotiating contracts for the remaining 32.5 MW starting in November 2007. U.S. Geothermal requested a break in negotiations after the Unit #1 contract was completed in order to focus their efforts on getting Unit #1 at the Raft River site online. Idaho Power Company anticipates filing the remaining contracts with the Commission during the first quarter of 2008. The response to this request was prepared by Thomas J. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 7 REQUEST FOR PRODUCTION NO. 18: Please provide any analysis performed by Idaho Power or U.S. Geothermal comparing the cost and value of the existing 10 aMW PURPA contract to the new 13 MW Agreement over the term of the agreements. For any numerical analysis performed using Excel, please provide executable electronic copies of the spreadsheets with formulas intact. RESPONSE TO REQUEST FOR PRODUCTION NO. 18: Idaho Power has included an Excel file which contains the requested comparison between the 10 aMW PURPA contract and the new 13 MW Agreement. As the new Agreement is for 25 years and the PURPA contract is for only 20 years, reconcilation was required to create comparable costs. This analysis compared the two agreements over the 25-year period and resulted in a levelized cost of $63.26/MWh for the new Agreement and $65.95/MWh for the PURPA contract. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 8 REQUEST FOR PRODUCTION NO. 19: Under the Agreement, the price paid by Idaho Power for all energy delivered includes the value of RECs associated with 3 MW of geothermal generation for the first 10 years of the agreement, and for the remaining 15 years of the PPA, Idaho Power will receive 51% of the RECs associated with 13 MW of geothermal generation. Was this distribution of RECs between Idaho Power and U.S. Geothermal purely the result of negotiation or is there some rationale to it? Please explain any rationale. RESPONSE TO REQUEST FOR PRODUCTION NO. 19: The distribution of RECs was offered by U.S. Geothermal in their bid response to the Geothermal RFP. U.S. Geothermal had previously sold the RECs associated with the first 10 MWs of Raft River Unit #1 to another entity for the first 10 years, which left the equivalent of 3 MWs of RECs available and offered to Idaho Power Company. The REC distribution for the remaining 15 years of the Agreement was included as part of the negotiated contract. The response to this request was prepared by Thomas J. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 9 REQUEST FOR PRODUCTION NO. 20: Please explain why Idaho Power is requesting 100% cost recovery in the PCA for the Raft River I LLC Agreement when it did not ask for similar treatment for the Telocaset (Elkhorn) wind PPA. RESPONSE TO REQUEST FOR PRODUCTION NO. 20: Idaho Power believes full PCA cost recovery for the Haft River I LLC Agreement is appropriate because it was the subject of an extensive RFP process and wil be fully vetted by all parties and the Commission in this docket. Moreover, it represents the sort of cost-effective renewable resource that the Commission has previously encouraged Idaho Power to procure. Development and acquisition of "green" power has been widely encouraged on a national, regional and state level to minimize harm to the environment while maximizing use of sustainable energy resources. This reasoning helped prompt passage of the Public Utiliy Regulatory Policies Act (PURPA) of 1978 and remains relevant today as utilities prepare for the likely regulation of carbon emissions. Idaho Power is hopeful the Commission will recognize its efforts to procure a diversified resource portfolio that benefits customers with cost-effective green energy by allowing 100% recovery of the Raft River I PPA expenses through the PCA, although the same rationale for allowing full cost recovery in the PCA would apply to it as welL. In the case of the Telocaset PPA, the Company anticipated power supply expenses related to the Telocaset PPA would be placed into rate base in Case No. IPC- E-07-08 in close proximity to the project's expected in-service date. Therefore Idaho Power did not seek prior authorization to receive 100% cost recovery of the Telocaset expenses in the PCA. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 11 REQUEST FOR PRODUCTION NO. 21: Please provide a copy of any interconnection agreements, transmission agreements, transmission arrangements and Idaho Power Delivery Business Unit approvals, including proof that firm transmission capacity has been acquired that enables the facility to deliver energy to Idaho Power equal to the Maximum Capacity. RESPONSE TO REQUEST FOR PRODUCTION NO. 21: The agreement specifies that the Facility must acquire firm transmission for all energy deliveries to Idaho Power Company. The Facility has in place a long-term firm transmission agreement for 12 MW of energy. Therefore the Facility must acquire firm transmission for any deliveries of energy over 12 MW prior to the delivery of energy to Idaho Power Company. The Faciliy shall also study the timing and need for this additional firm transmission and will acquire the firm transmission in the most prudent and economical manner (short term and/or long term). The requested agreements involve transactions to which Idaho Power was not a party and/or contain information U.S. Geothermal holds proprietary and confidentiaL. Consequently, Idaho Power will make the following documents available for Staff review at its Company offices: 1) Interconnection and Wheeling Agreement between Raft River Rural Electric Cooperative and Raft River I LLC. 2) Service Agreement for Point-to-Point Transmission Service between Bonneville Power Administration and U.S. Geothermal, Inc. 3) Copy of the letter between the Idaho Power Company Delivery Business Unit and U.S. GeothermaL. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 12 The response to this request was prepared by Thomas J. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 13 REQUEST FOR PRODUCTION NO. 22: Please provide an estimate of the amount and cost to Idaho Power of Inadvertent Energy that may be produced and purchased under the terms of the Agreement. Does Idaho Power expect that Inadvertent Energy will be produced? Given the executed PPA, is there an understanding that Idaho Power will accept all Inadvertent Energy up to 13 MW? RESPONSE TO REQUEST FOR PRODUCTION NO. 22: As of November 7,2007, the project has come online under the existing PURPA agreement. The PURPA agreement specifies that Idaho Power wil accept Inadvertent Energy not exceeding 15.8WM. The project has experienced some initial mechanical issues that have prevented the project from staying online for an extended period of time. At this time it is impossible to know how much, if any, Inadvertent Energy will be delivered by the project to Idaho Power. The project's generation capabilities, initial start up testing process, and the Commission approval process all present dynamic timelines that wil ultimately determine if the project delivers any Inadvertent Energy to Idaho Power. Inadvertent Energy may only be delivered to Idaho Power under the existing PURPA agreement. Upon Commission approval of this new purchase power agreement the PURPA agreement shall be terminated, thus ending any potential of Inadvertent Energy deliveries to Idaho Power. As the project continues to test and adjust generation equipment as of the date of this response, it is likely that very little Inadvertent Energy will be received from this project because the Facility is expected to become fully operational (13 MW level) at approximately the same time this Agreement is approved. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 14 In addition, Inadvertent Energy is measured as the monthly average MWs of energy generated in excess of 10 MW. It is possible that the project could run over 10 MWs on some days and hours, but then run less than 10 MWs on other days and times therefore not exceeding 10 aMW, thus producing no Inadvertent Energy. Theoretically, if the project were to run at a full 13 MW every hour for every day for the entire month, it would produce 3 MW of Inadvertent Energy (13 MW - 10 MW) every hour, thus 72 MWh (3 MW X 24 hrs) per day. As specified within the Agreement, the price applied to this Inadvertent Energy shall be 85% of Mid C market value or the contract price (applicable to the time when Inadvertent Energy is delivered to Idaho Power), whichever is less. As an extreme example, if this project had been online for the entire month of October 2007 and generated at 13 MW for every hour of the month, the project would have delivered 2,232 MWh of Inadvertent Energy to Idaho Power (3 MW multiplied by 24 hours per day multiplied by 31 days). 85% of the Mid C Market value for October 2007 was approximately $46.67, thus the approximate payment for Inadvertent Energy would have equaled approximately $104,000 (2,232 MWh multiplied by $46.67). IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 15 REQUEST FOR PRODUCTION NO. 23: Please explain the rationale behind the contract provisions requiring detailed, frequent production forecasts, given that the faciliy is expected to have a very high capacity factor and very predictable output. RESPONSE TO REQUEST FOR PRODUCTION NO. 23: Good forecasting of energy production from all generation sources delivering energy to Idaho Power is important to enable Idaho Power to operate its electrical system in a reliable and least cost manner. Regardless of the resource, whether it is an intermittent or base load type resource, accurate forecasting information is valuable data. The type of resource will dictate the individual project's level of sophistication and expense required to produce an accurate forecast. It is expected that this geothermal project will be a base load, flat running 24/7 project, and will most likely not need to develop a sophisticated, expensive forecasting modeL. A relatively simple, inexpensive forecasting model, with provisions to allow for adjustments for maintenance, planned outages or energy output reductions will likely suffice for this project. By comparison, the Elkhorn Valley Wind Project wil be employing a state of the art sophisticated wind forecasting system to provide accurate forecasting information to Idaho Power. As is typical for geothermal resources, the actual level and manner of operations of this geothermal resource will not be fully known until after the project has come online and operated for an extended period of time. Even then, the ability of the geothermal resource to sustain this Facilty will be an ongoing learning process as actual yearly data is accumulated. Rather than overlooking the potential that this Facility may not operate as expected, Idaho Power believes it was prudent to include forecasting IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 16 requirements that would require the project to provide reasonably accurate forecasting data and provisions that trigger a 90 / 110 performance type requirement if these forecasting requirements are not achieved. As discussed earlier, the impact of this provision on the Facility is immaterial if the project operates as expected; however, these forecasting provisions will provide Idaho Power with valuable information if the project does not perform as expected. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 17 REQUEST FOR PRODUCTION NO. 24: Has a Seller Guaranty, similar to the sample included as Appendix C to the PPA, been executed? If so, please provide a copy. If not, when does Idaho Power expect that one wil be executed? RESPONSE TO REQUEST FOR PRODUCTION NO. 24: At this time the Seller Guarantee has not yet been executed. The agreement does not require this guarantee and/or other security instrument(s) be provided until the end of the 3rd contract year (paragraph 16.2 of the agreement). U.S. Geothermal required at least 1-3 years of actual generation data and monitoring of the geothermal resource to be able to provide a reasonably accurate assessment of the Facility's actual generation capability. This requirement to provide the guarantee and/or other security instrument(s) at the end of the 3rd contract year coincides with contract provisions that allow Idaho Power to begin calculating potential Net Energy Shortfall damages also at the end of the 3rd contract year. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 18 REQUEST FOR PRODUCTION NO. 25: Please explain any rationale for the $750,000 amount required as Penormance Assurance as required by Section 16.2 of the Agreement. Discuss whether and how the amount of the Penormance Assurance is related to the amounts Idaho Power expects to pay over the term of the Agreement for power purchases. Why is the amount of the required Penormance Assurance so much less than the amount required for the Telocaset wind contract? RESPONSE TO REQUEST FOR PRODUCTION NO. 25: Idaho Power believes it is a prudent business practice to conduct business with credit worthy partners that are able to provide at least some level of security to cover potential financial damages that may occur. Therefore, a common theme contained in this Agreement, as well as the Telocaset wind contract, is to require as much security as possible to cover potential financial damages. The Penormance Assurance in this Agreement and the Telocaset wind contract were negotiated amounts. In negotiations on this Agreement, it was determined that $750,000 was the highest level that could be reached without impacting other components of the Agreement (i.e. Energy Prices, etc). In comparison, the security for the Telocaset wind contract is much greater because it is for a project with a nameplate rating of approximately 100 MW, nearly 10 times larger than this project. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 19 REQUEST FOR PRODUCTION NO. 26: Please explain the basis for the amounts of the Net Energy Shortfall Damages caps as shown on page 3 of Appendix E to the Power Purchase Agreement. Were the amounts shown derived based on calculations of estimated damages or were they based purely on negotiation between the parties? RESPONSE TO REQUEST FOR PRODUCTION NO. 26: The table on page 3 of Appendix E contains Net Energy Shortfall Damages Caps that the project is subject to for each Contract Year. The beginning value of $300,000 is escalated at a 3% annual rate until year 21, when the calculation is capped at $500,000. The beginning value, escalation rate and ending values were negotiated as part of the entire contract at levels which were coupled with other terms and conditions within the contract. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 20 REQUEST FOR PRODUCTION NO. 27: Has Idaho Power estimated the value of RECs it will receive under the terms of the Agreement? If so, what is the estimated value and how was it determined? RESPONSE TO REQUEST FOR PRODUCTION NO. 27: Idaho Power Company used $3.50 as the value of a REC in the analysis of the bids received as a result of the Geothermal RFP. This value was determined by Idaho Power personnel to be representative of the REC market during the spring and summer of 2007 when the evaluation was performed. IDAHO POWER'S RESPONSE TO THE SECOND PRODUCTION REQUEST OF THE COMMISSION STAFF, Page 21 REQUEST FOR PRODUCTION NO. 28: Please provide any evidence or documentation supporting the likelihood that REGs to be received by Idaho Power can be certified under any existing certification programs or by certification entities. Can RECs be certified in advance in order to provide some assurance that they will be marketable should Idaho Power wish to sell them or that they wil have value should Idaho Power need to retain them in the future? RESPONSE TO REQUEST FOR PRODUCTION NO. 28: Idaho Power did not specifically gather evidence or document the certification programs or requirements for the RECs from this project. Idaho Power is in the process of conducting an ongoing general review of various certification programs (i.e. WREGIS, Green-e, etc.) and developing processes to track these RECs. Based upon our initial review, the fact that this is a new renewable energy project qualifies this project as being "green" and thus able to generate green tags. Idaho Power's initial review of the green tag process indicates that the end use of the green tag tends to dictate the certification process required. For example, fulfiling mandatory RPS requirements appears to require less certification, whereas green tag sales directly to private industry appear to require more extensive green tag certification. "Green-e" is one of the industry-leading green certification programs. Certification of green tags under this program is relatively expensive and appears to be very thorough. During the "Green-e" certification process, the resource is evaluated, green tag accounting system is validated and evaluated, and the overall organization's "green" status is reviewed. Idaho Power is in the process of establishing an account within this system to provide independent validation and accounting of the green tags from this project as well as other green tags Idaho Power will be acquiring. Based on our green tag review to date, Idaho Power is confident that the generation from this project will qualify for green tags. At a time in the future when Idaho Power determines the appropriate disposition of these green tags, Idaho Power will acquire the necessary green tag certification to maximize the value of these green tags.
