Box 83720 Boise, Idaho 83720 Re: Preservation of Accounting /Client Privilege and Attorney/Client Privilege and IPUC Staff Audit in Conjunction with Case No. IPC-E- 07- Dear Weldon: This letter will confirm the agreement between Idaho Power Company and the Commission Staff concerning certain items which Commission Staff auditors desire to review as a part of the above-referenced Staff audit ofldaho Power. By memoranda dated March 21 2007, Commission Staff notified Idaho Power that Staff desires to review the minutes of meetings and various reports and materials presented to the Board of Directors and committees of IDA CORP and Idaho Power. Staff has also indicated that it desires to inspect all of the invoices which include descriptions of work performed, from outside legal counsel performing work for Idaho Power Company. The scope of this audit is for calendar years 2005 through 2007. Having reviewed the above-referenced material requested by Staff, I have concluded that a number of the materials requested are documents covered by either the Accounting/Client Privilege or the Attorney/Client Privilege described in Idaho Code ~~ 9-203 and 9-203A. Idaho Power and the Commission Staff have traditionally maintained a good working relationship for the conduct of Staff audits. In order to facilitate the Staff s desire to comply with good auditing practices, Idaho Power is willing to allow Staff to review these documents with Staffs understanding and concurrence, that by allowing this review, Idaho Power is not waiving its right to invoke, at any time, either its accounting/client privilege or the attorney/client privilege. Staff also understands that certain portions of the materials may be redacted based on accounting/client privilege and/or attorney/client privilege. o. Box 70 (83707) 1221 W.
