COMES NOW Idaho Power Company ("Idaho Power" or the "Company
and , in response to the First Production Request of the Commission Staff to Idaho Power
Company dated November 13, 2003, herewith submits the following information:
REQUEST NO.1: Please identify all PURPA QFs with existing levelized
contracts.
For each QF please provide project name and nameplate capacity.
For each QF please provide a contact person and that person
address.

identified as "Attachment to Response to Requests Nos. 1 , 2 and 3" which contains all
of the requested material for the current levelized QF contracts. Please note that the
report generally provides three addresses for each project - the project owner
address , an address for notices and a payment address.
The Response to this Request was prepared by Randy C. Allphin

REQUEST NO.2: Please identify all QFs identified as non-compliant
with current insurance requirements.
RESPONSE TO REQUEST NO.2: Please refer to the attached report
identified as "Attachment to Response to Requests Nos. 1 , 2 and 3" which contains all
of the requested material for the current levelized QF contracts.

The Response to this Request was prepared by Randy P. Meyer, Property
& Casualty Insurance Administrator, Idaho Power Company, in consultation with Monica
B. Moen, Attorney, Idaho Power Company.
REQUEST NO.4: Please identify all insurance companies contacted by
Idaho Power Company regarding Case -292 insurance requirements.
RESPONSE TO REQUEST NO.4: Idaho Power has had ongoing
communication over the past several years with several agents and brokers who
represent cogeneration projects that have signed contracts with Idaho Power. These
agents/brokers deal directly with those insurance companies who provide coverage for
risks of this nature.
In particular, Idaho Power has been in touch with John Larson , Sr. Vice
President of Marsh's Seattle office. Mr. Larson serves as Idaho Power Company
property insurance client advisor and has been utilized as a resource to acquire
information regarding current market conditions and the availability of certain specific
coverages, most particularly the Valued Loss of Income insurance as well as deductible
levels , coverage restrictions and pricing of utility-related risks. Mr. Larson s telephone
number is 1-206-613-2254.
In addition , the Company has relied primarily on information received from
John Knight , CPCU , of Energy Insurance & Bonds in Bountiful, Utah, for market
updates and current market conditions for cogenerators/small power producers. Mr.
Knight has been a key broker in supplying insurance to cogeneration projects who have
signed contracts with Idaho Power Company since the mid-1980's. Mr. Knight currently
serves as the broker of record for 16 cogeneration projects who have signed contracts

with Idaho Power Company. He has access to all major insurers (companies) for these
types of projects/risks and is well respected within the utility industry. Mr. Knight is illing
to discuss this issue with the Staff should Staff feel it would be helpful. His toll free

It should also be noted that various other agents and brokers have
contacted Idaho Power advising the Company of their inability to procure Valued Loss
of Income insurance over the past few years for their clients. Telephone numbers and
names of most agents/brokers who represent the respective owners can be made
available upon request.
The Response to this Request was prepared by Randy P. Meyer, Property
& Casualty Insurance Administrator, Idaho Power Company, in consultation with Monica
B. Moen , Attorney, Idaho Power Company.
REQUEST NO.5: Please identify all QFs with levelized Idaho Power
PURPA contracts that have defaulted and ceased operations with outstanding
overpayment liability.
Please provide specifics on amounts owed the Company by said
QFs.
Please provide specifics on contract enforcement measures
pursued by the Company to collect any outstanding overpayment
liability.
RESPONSE TO REQUEST NO.5: The projects listed below originally
contracted with Idaho Power Company but have ceased operations; thus, their
contracts with the Company have been terminated. Unique circumstances surrounded

each decisions by both Idaho Power Company and the QF project to proceed with
contract termination procedures, including, but not limited to, the project actually
requesting contract termination, project operational defaults and extensive legal issues.
All of the contract terminations have been filed and approved by the Idaho Public
Utilities Commission ("IPUC" or the "Commission ) and additional details can be
reviewed in the referenced I PUC case numbers and orders.
HEED Co./SlauQhterhouse Creek: In December 1991 , Idaho Power filed
an application with the IPUC to terminate the Firm Energy Sales Agreement for this
project (Case No. IPC-91-24). The project consistently failed to achieve minimal
generation levels, failed to comply with insurance requirements, failed to provide
monthly production reports and was consistently delinquent in its payment of monthly
Operations and Maintenance charges. Idaho Power repeatedly sent letters of default to
the project with minimal results. In lieu of litigation , the parties agreed to terminate the
Firm Energy Sales Agreement and replace it with a non-firm Schedule 86 Agreement.
The estimated liquidated damages (overpayment liability) were
approximately $85 000 at the time of Agreement termination. Under the terms of the
settlement between the parties, this amount was forgiven. The reasoning advanced by
Idaho Power was:
Considering the small size (55 kW) of the HEED Co. project , the cost of
litigating this matter and the difficulty of enforcing a judgment even if the
litigation is successful , Idaho Power believes it is reasonable to accept the
conversion of this HEED Co. power purchase arrangement from a firm to
a non-firm basis as full settlement for any claims for liquidated damages
Idaho Power might have under the Agreement.
This arrangement, Agreement cancellation and replacement with a
Schedule 86, non-firm Agreement, was approved by Commission Order No. 24264 on

April 27, 1992. Subsequent to settlement of the matter, the project continued to be
delinquent in Operations and Maintenance payments and monthly reporting
requirements which resulted in Idaho Power sending numerous default notices to the
project. Because the defaults were not cured, the Schedule 86 , non-firm Agreement
was terminated on October 24, 1996.
Stevenson #1 and Stevenson #2:In July 1998, Idaho Power filed an
application with the IPUC requesting that the Commission approve the Company
proposed cancellation of the Stevenson #1 and the Stevenson #2 Firm Energy Sales
Agreements (Case No. IPC-98-10). These projects did not generate electricity during
most of 1992. In July 1993 , a landslide occurred in the Snake River Canyon and both of
these projects were flooded by the resulting rise in the level of the Snake River behind
the landslide. In 1996 , Idaho Power served several default notices to these projects
and these defaults were not cured.
Idaho Power calculated ttw overpayment liability for the Stevenson
project was $90 908 and for the Stevenson #2 project to be $60 699. The Company
notified Lynn Stevenson, the project owner, of these overpayment liability amounts. Mr.
Stevenson disputed these defaults and the resulting overpayment amounts and
responded that, if any defaults had occurred , they were excused by "force majeure.
Idaho Power and Mr. Stevenson agreed to avoid litigation of these issues
and mutually agreed to cancel the Sales Agreements. The parties' decision to cancel
the Sales Agreements was approved by Commission Order No. 27861 dated January 7
1999.

a Hvdro (Northside Canal)8 contacted Idaho Power and requested
either cancellation or buy-out of its Power Sales Agreement with the Company. In
August 1999 , Idaho Power filed an application with the IPUG requesting Commission
approval of the Company s proposed cancellation of the existing Power Sales
Agreement between Idaho Power and Y-8 Hydro (Case No. IPC-99-8).
8 faced approximately $5 000 in maintenance repairs that it preferred
not to undertake. Idaho Power calculated that, if the project were repaired and if it
generated at its stated capacity for the remaining term of the agreement, Idaho Power
would pay approximately $107 900 net present value (NPV) for the energy output.
Idaho Power estimated the market value of this energy to be approximately $45 500.
Idaho Power also calculated the contract early termination payment due to Idaho Power
from the project to be $23 000.
8 informed Idaho Power it had been in contact with other local project
owners that were interested in acquiring the project for a very minimum fee, investing
the $5 000 in repairs and delivering energy as required under the Agreement with Idhao
Power. If Idaho Power insisted upon payment of the $23 000 termination payment, Y-
intended to pursue these other interested parties.
Idaho Power reviewed the fact that continued operation of the project
would potentially cost the Idaho Power rate payer approximately $60 000 (NPV) in
higher energy costs than the estimated market value of the energy and concluded that
cancellation of the Agreement was the preferable course of action. The Commission
approved cancellation of the Agreement via Commission Order 28190 dated
October 29 1999.

BC Emmett (Emmett Power Company): In February 2001 , Boise
Cascade ("BC") contacted Idaho Power and advised the Company that, due to closure
of various Boise Cascade timber operations , fuel would no longer be available for the
BC Emmett Cogeneration plant. Boise Cascade, therefore, requested termination of its
Energy Sales Agreement with Idaho Power. Discussions were held between the parties
to determine if any potential existed for the project to continue operations at least
through the summer of 2001 (peak season). These discussions were unsuccessful. In
accordance with the Energy Sales Agreement, an early contract termination payment
was calculated to be $4 037 600 which was paid by Boise Cascade.
Idaho Power filed an application (Case No. IPC-01-15) in May 2001
requesting an order acknowledging termination of power from Emmett Power Company
and for an accounting order authorizing Idaho Power s proposed accounting of the
contract early termination payment.The Commission approved this request in
Commission Order 28190 , October 29 1999.
The Response to this Request was prepared by Randy C. Allphin

REQUEST NO.6: Please provide a copy of all responses received by
Idaho Power in reply to the notices of non-compliance that have been sent to various
projects.
RESPONSE TO REQUEST NO.6: In January 2003 , Idaho Power
Company s insurance department completed a routine audit of the Company s various
CSPP projects to assess whether those projects conformed with the risk mitigation

requirements of their specific agreements with the Company. Notices of non-
compliance were sent to each project owner who had not provided proper proof of
insurance for those insurance coverages described in their respective agreements. A
copy of the form letter sent to those projects is attached as "Attachment A to Response
to Request No.
In addition , attached to this Response are correspondence received from
two projects , South Forks Hydro Project ("Attachment B to Response to Request No.
and Faulkner Brothers Hydro ("Attachment C to Response to Request No.6), in
response to the January notice. A more recent response from a broker representing
White Water Power is also attached as "Attachment D to Request No.). Furthermore
the Company has received numerous telephone calls from other brokers in the last few
years concerning this issue.
Idaho Power deliberately did not send out formal notices of default to the
projects that were in non-compliance with the proof of insurance provisions of their
agreements with Idaho Power because default notices would likely have triggered
default actions by the projects' lenders. As a result , written responses from project
owners was minimal. However, it is important to note that many projects did submit
proof of "basic business insurance" as outlined in the -292 case (with limits and
deductibles consistent with current Insurance Industry Utility Practices for a similar
property) in lieu of the Valued Loss of Income insurance requirement within their
respective agreements. It is the Valued Loss of Income insurance that is deemed no
longer available for the majority of CSPP projects.

Dear Mr. Allphin:
We have received the letter dated January 27 2003 , from Randy Meyer, Idaho Power
Insurance Administrator, and the letter dated February 4 2003, from you regarding the Valued
Loss of Income Insurance requirements of the Finn Energy Sales Agreement (the "Agreement"
) .
relating to the South Forks Hydro Project, formerly known as the Low Line Canal Project (the
Project"
South Forks Joint Venture ("SFJV") is the owner of the Project, Wholly owned
subsidiaries of Twin Falls Canal Company ("TFCC") and Ida-West Energy Company ("Ida-West") are equal partners in SFJV. The Project is currently encumbered with a first mortgagelien and first priority security interests in favor ofthe Project's lender, CIBC Inc. The debt owedby SFN to CIBC is currently scheduled to mature on December 20 2004.
As you know, the Valued Loss oflncome Insurance required under the Agreement is not
available from the insurance industry at this time. Indeed, this insurance has not been available
since October 2 2001 (shortly after the 9/11 terrorist attacks sent shockwaves through the
insurance industry), at which time Tyler Wymond of Ida-West informed Randy Meyer that SFJV
could no longer obtain the insurance (previously maintained by SFJV under a policy named
Excess Rate Repayment). This circumstance is not due to the fault and is beyond the control of
either SFN or Idaho Power. Idaho Power has verbally waived the requirement to maintain the
insurance until now. We believe that Idaho Power should issue a written waiver of this
requirement, because SFN is, as a matter of contract law, excused from compliance with this
requirement under the doctrine of impossibility of performance. The waiver should also provide
that, if this insurance becomes available in the future, SFJV will obtain it.
The parties signed the Agreement in June 1984. The Idaho Public Utilities Commission
IPUC") entered orders in the so-called "292 case" in 1988. We do not understand why the 292
case alternatives described in your letter should be applied to the Project under these
circumstances where the Agreement was signed nearly four years prior to such orders. SFN'
contractual obligation to provide the Valued Loss of Income Insurance is quite clearly excused as
a matter of law, and we do not believe that subsequent orders of the IPUC override the
Agreement in this regard.
Additionally, we do not believe that Idaho Power faces the risk of not being able to
recover any overpayment liability under the Agreement. The Project has been operating
successfully since the end of 1984. The debt encumbering the Project will be retired at the end
of 2004. The costs of operating the Project are minimal compared to expected revenues under
the Agreement. SFN has significant economic incentive to operate the Project for the entire
tenn of the Agreement and beyond. IfSFN were to pennanently curtail deliveries of Project
output, SFN would be obligated to make payment to Idaho Power under section 21.2 of theAgreement. SFN's inability to obtain Valued Loss of Income Insurance does not excuse its
obligations under section 21., yet the significant value of the Project gives SFJV substantial
business incentives to avoid triggering this clause.
We understand that, as an affiliate ofIdaho Power, Ida-West must deal with Idaho Power
on an ann s length basis. However, TFCC is an equal partner in SFJV, and consensus is requiredin all Project decisions. TFCC Board members are wary about any lien that would cast doubt on
the ownership of its project works and water rights. The Ida-West/TFCC/Idaho Power
relationship has fostered several projects that, over the years, have been mutually beneficial to
all. The continuing support of the irrigation community is still required in Idaho for the
prosperity ofIdaho utilities.
Therefore, TFCC and Ida-West hereby respectfully request that Idaho Power refrain from
issuing any notice of default until such time as representatives ofTFCC and Ida-West can meetwith Jan Packwood and other appropriate Idaho Power personnel for the purpose of exploring
mutually satisfactory alternatives to the insurance requirement that is currently impossible to
satisfy. However, until that meeting occurs, we do not believe we can, in good conscience, agreeto comply with the 292 case for the reasons set forth above. Perhaps new alternatives need to be
presented to the IPUC because of the unavailability of Valued Loss ofIncome Insurance.
Several legal and business issues must be fully discussed before any conclusions are reached.
More time is needed than given in your short notice period that ends tomorrow.
We trust that Idaho Power s relationship with TFCC and its members will enable you to
accommodate this request to refrain from issuing a default notice until we have time to meet face
to face. We will contact you shortly after delivering this letter to set up a mutually convenient
time and place for a meeting.

Randy, I was contacted from your office several weeks ago because we are
the insurance agent for White Water Power Co, - Stanley Standal and
Darlene Nemnich. We wrote general liability coverage, and sent you a
liability certificate effective April 1, 2003.
. It appears that White Water s contract calls for property coverage also
which they don t have.
This is a very small plant, and Stan carried property coverage when the total
premium for liability and property was about $3 000. The premium for
liability, alone, is now $5 000.
I would press these clients to buy property insurance to satisfy Idaho
Power s requirements if they had a chance to collect on a claim. This
highly unlikely. Keeping in mind that the minimum deductible from any of
my markets is $25 000 per occurrence:
