STATEMENT OF WORK R-41324
Coeur d’Alene 6” HP Gas Reinforcement
1.0 Project Overview Contractor shall provide the labor and equipment to construct and install a 6” steel high-pressure gas main and associated facilities (the “Work”) per this Statement of Work. Contractor shall perform the Work located in Coeur d’Alene, ID (“Site” or “Work Site(s)”) as detailed in the attached plan drawing E-38152 Sheets 1-24 (the “Drawings”). The Work will provide a natural gas reinforcement to the greater Coeur d’Alene and Hayden Lake area (the “Project”). 2.0 Scope of Work
2.1 Project Description 1. Work will include but not be limited to installation of approximately 17,200 linear feet of 6-inch high pressure steel gas mainline pipe and fittings in Coeur d’Alene, ID. Pipe
will be installed within road right-of-way as shown in the Drawings or as agreed upon in writing between Avista and Contractor prior to construction. The Government Way road is scheduled to be rebuilt in spring 2017 and the Contractor is required to coordinate the construction of the gas pipeline with the Road Contractor to minimize impacts and delays to either project. 2.2 Project Tasks Contractor shall perform all Work in accordance with the Technical Specifications, Standards and Drawings attached to this Statement of Work. Task 1 – Construct & Install 6” High Pressure Steel Gas Main – Trench Install Contractor shall perform all work required to construct approximately 16,050 feet of 6” high pressure steel gas mainline pipe, fittings and appurtenances in an open trench. Contractor will be required to coordinate the construction schedule and exact pipe location with the Road
Contractor during construction for the Government Way portion of the project. Contractor to provide plates to cover up to 300’ of open ditch at any one time. Contractor to provide labor and equipment to complete all welds, joint coating and placement of bedding, padding and
pipe in the ditch. Task 2 – Construct & Install 6” High Pressure Steel Gas Main – Bore Install Contractor shall perform all work required to bore install approximately 1,150 feet of 6” high pressure main using conventional horizontal bore installation methods. There are four areas of the project where boring is required by local jurisdiction; Ramsey Rd, Prairie Ave near Mineral Rd, Highway 95, and the Hanley Ave round-a-bout. Contractor shall follow the requirements as set in Attachment A, which is attached to this RFP. Task 3 – Install Cathodic Test Points & Signage Contractor shall install cathodic test points and any other pipeline markers/signage on newly installed gas mains as indicated on the Drawings and per the Standards. The Avista Inspector

will make the final determination on the exact location of cathodic test points and line markers/signage. Task 4 – Asphalt Removal, Backfill & Asphalt Repair Contractor shall remove existing asphalt concrete as required. Backfill of newly installed mainline shall be completed by the Contractor per the Drawings, the Standards and per local permitting requirements. Asphalt repair shall be completed per local permitting requirements and as designated on the Drawings. All padding, bedding and backfill materials will be provided by the Contractor at the regular pit rate with no cost mark up to Avista. Task 5 – Pigging and Pressure Testing New Gas Mains Contractor shall pig mainline and coordinate pressure testing for all newly installed gas main per Avista Standards and as designated on the Drawings. Contractor to provide all pigging
equipment and materials. Contractor shall provide all equipment, materials, and labor to administer the hydro test, including but not imitated to, water, water delivery, test equipment, dead weights, pumps, drying equipment, and disposal of the water. The pipeline shall be
dried to a -40 degree F dew point. Task 6 – Purging & Packing
Contractor shall provide labor and equipment to assist Avista Pressure Controlmen with all required tapping and stopping procedures as required to connect the new pipeline to the existing gas facilities as shown on the Drawings. Contractor shall excavate for installation of all stopper fittings on live gas main and complete tie-over work as specified in the Drawings and per the Standards. Avista will perform all welding of in-service pipelines and will complete all purging and packing of new and abandoned mainline facilities per the Drawings and per the Standards with Contractor assistance. 2.3 Project Dates Start Date: April 2017 or earlier if weather permits Substantial Completion: September 2017
3.0 Material and Services to be supplied 3.1 Items supplied by Avista 1. Avista shall provide the Drawings for the Project. 2. Avista shall supply a list of materials on the Drawings which shall be used for the
Project. 3. Avista shall provide materials, except for consumable materials used for the Project. 4. Avista shall provide the Contractor with the Standards for the Project. 5. Avista shall provide an Inspector who will oversee the construction of the Project and coordinate timing with the Contractor while logging GPS information related to pipe information and weld connections. 6. Avista shall coordinate any x-ray requirements during the Work. 7. Avista shall provide a pressure recorder for hydrostatic testing. 8. Avista shall complete purging of natural gas from any existing facilities with Contractor assistance. 9. Avista shall complete pressurization of the new pipeline with natural gas with
Contractor assistance.

3.2 Items supplied by Contractor 1. Contractor shall provide Avista with redline markups of the Drawings depicting the
new “as-built” conditions related to authorized changes made to the Drawings during the Work. 2. Contractor shall provide bore logs for the Project. 3. Contractor shall be responsible for utility locates and potholing as required for construction and as requested in the Drawings or the Standards. 4. Contractor shall provide and administer all required traffic control plans for the Work. Traffic control plans must include pedestrian provisions. 5. Contractor to provide all consumable materials, (i.e. welding rod, wood for dunnage, fuel for equipment, etc.) 6. Contractor shall provide all equipment, material, and labor for the hydrostatic pressure test, pigging, and drying of the pipeline.
3.3 Permits and Right of Way (ROW). 1. Contractor shall provide permits from Lakes Highway District, Idaho Transportation
Department, the City of Hayden, the City of Coeur d’Alene, and the City of Dalton Gardens. Contractor shall not start Work until all permits are obtained for the respective Site(s) and filed with the governing agency. Contractor shall be responsible
to meet all of the permit terms and conditions. 4.0 Performance Requirements
4.1 Safety 4.1.1 Contractor will be responsible for all fire safety measures and shall carry fire control equipment on all vehicles. If wind gusts or extreme fire conditions occur
as determined by the Contractor or local fire authority, and Contractor shall shut down Work. 4.1.2 Contractor will return to work when the appropriate fire danger conditions are
over or if the appropriate fire warning has been lifted. Contractor shall follow all local fire requirements regarding fire prevention. 4.2 Project Specific 4.2.1 Contractor shall perform all Work as designated in Drawings attached to the Scope of Work. Contractor shall refer to and construct Avista’s gas facilities following the Avista’s standards listed in the 2017 Gas Standard Manual and Gas Emergency and Service Handbook (“Standards”), which are made a part of this Agreement by this reference. Contractor is responsible for obtaining the most current Standards and be current on all other construction guidelines. 4.2.2 Contractor shall provide workmen who are skilled and specialized in the Work to
which they are assigned. Specifically, Contractor shall provide workmen who perform gas operations; maintenance, construction, boring, excavation, and they are trained on safety procedures / methods required by OSHA.
4.2.3 Contractor will clear the ground at the Work Site, and remove combustible vegetative materials before vehicles are used in the area. Contractor will “blade” ground with prior written approval from Avista’s Representative.
4.2.4 Landscaping and grass restoration and replacement will be required as a result of Contractor’s operations, and Contractor shall re-seed with the appropriate hydro seed or grass- mix according to the local governing agency. 4.2.5 Contractor will be required to provide a water truck to minimize dust, (this shall be included in the unit pricing), if dust becomes an issue for Avista’s Customers or as directed by Avista Representative.

4.2.6 All gas pipe installation shall be installed in the established right of way. Contractor shall Work within the designated areas on the Drawings and all earth
work shall remain in the designated areas. 4.2.7 Contractor may install gas pipeline in sections and not in a continuous line, and Contractor agrees that pipeline construction that is segmented shall not be considered a Change Order. 4.2.8 Contractor is responsible for securing the Work Site at the end of each day. No unattended holes, trenches, or pits will be allowed. Contractor shall close or backfill the excavated sites at the end of each day unless secured by Contractor using other methods approved by OSHA or other local agencies. 4.2.9 Contractor shall keep all pipe ends plugged at the end of each day or as Avista’s Representative requires to avoid foreign material from entering pipe. Contractor shall remove any foreign material that may enter the pipe at any time. The
Contractor shall pig the pipeline until it is clean. Pigs shall be transported through the pipe with compressed air. Contractor shall provide equipment to include but not be limited to; pigs, pig traps, and fittings as necessary to complete the cleaning
operation. Absence of water and no foreign material constitute a clean pipeline. 4.2.10 Contractor shall visually inspect all welds to insure they meet the requirements of the weld procedure and applicable requirements of American Petroleum Institute
(API) 1104. 4.2.11 Contractor shall inspect all steel gas pipelines by “Jeeping” or similarly test to assure no flaws or “holidays” are present in the pipeline coating. Contractor shall be responsible for providing an electronic holiday detector and testing (Jeeping) the pipe as it enters the trench or as directed by Avista’s inspector. Holidays detected by Jeeping shall be reported to Avista’s inspector, and repaired by Contractor with approved material, and re-inspected. 4.2.12 Contractor will not cover or bury steel carrier pipe before it has been inspected by Avista’s Representative. Avista’s Representative shall have the authority to order Contractor to un-earth pipe or components and repair or replace what fails to meet the Standards. Contractor is responsible for all costs associated with the repair,
removal or replacement of the gas facilities. 4.2.13 Contractor shall verify the location of all utilities prior to construction. 4.2.14 The contractor shall verify the location of all future utility locations along Government Way by coordinating with the Road Contractor. 4.2.15 The pipe shall be handled carefully to eliminate the possibility of damage during loading and unloading operations. Forklift forks shall be padded. The pipe must be
supported during transport to minimize movement. Ropes and other securing devices shall be padded to prevent damage to the pipe. Pipe shall be supported by proper dunnage necessary to support and secure the pipe. 4.2.16 Chains shall not be used to secure the pipe. Metallic equipment will not be allowed to contact the steel coating. Equipment or other supplies shall not be placed on top of the pipe. 4.2.17 Contractor shall protect gas pipe and fittings from excessive heat and/or harmful chemicals. Contractor shall keep all cleaning solutions, specialized detergents,
solvents, alcohol, gasoline away from the gas pipe and fittings. All pipe and fittings shall be kept as clean. 4.2.18 Contractor shall notify Avista’s customers of any outages 24 hours in advance of
such outages and Contractor shall provide an estimated duration of the outage. Contractor’s Work must be planned to minimize these outages. 4.2.19 Contractor shall notify Avista’s customers of any outages in advance of such outages and Contractor shall provide an estimated duration of the outage. Contractor shall notify according to the following:

• All in person notifications are required to be a MINIMUM of 24 hours in advance of the outage.
• If no response by person to person, Contractor must leave a door-hanger with a Contractors business card attached so that the customer has someone to contact that has knowledge and information about the outage. 4.2.20 Contractor shall provide noise abatement as necessary to keep sound levels to a
reasonable level in the surrounding residential areas. Noise abatement shall be
done via mufflers on equipment, sound barriers around Work Site, equipment
enclosures or a combination of these.
4.2.21 Contractor shall coordinate work with the Road Contractor along the
Government Way portion of the project to help minimize conflicts and delays
between both projects.
4.3 Site Access / Site Restoration 4.3.1 Contractor may encounter rocky conditions at different Sites in which Contractor will be required to install gas pipe. Contractor shall provide the proper equipment to handle the pipe installation, and all costs included in the Pricing Sheet. 4.3.2 Any additional easement access to and from the Work Sites across third party property owners shall be obtained by Contractor and Contractor shall be responsible for meeting such requirements of the property owner. 4.3.4 The Contractor shall return each Work Site to a condition as good as or better
than found before moving to another Work Site unless specifically authorized in writing by the Avista Representative on the Project. Any landscape renovation required shall be completed immediately after Work in that area is completed.
4.3.5 Contractor performing work for Avista may encounter unusual circumstances or situations at the Site that are not covered under the Statement of Work. Under those circumstances, the Contractor and Avista Representative shall come to a
written agreement, prior to any Work being performed to define the Work and any additional compensation which may be paid to the Contractor. That agreement shall be captured on a Change Order or Work Authorization form and signed by both the Contractor and Avista’s Representative. 4.3.6 General allowable working hours will be limited to no more than ten (10) hours per day and four (4) or five (5) days per week, depending on the hours worked in a week. Normal daytime working hours from 7:00 AM to 5:00 PM will be expected for the majority of this work. All overtime Work shall be pre-approved by Avista’s Representative. 4.3.7 All asphalt removal and installation by Contractor will be according to the local city/county/state authority and their approved methods. All backfill material
utilized and compaction shall be performed by the Contractor and shall comply with the most recent published governing agency's specifications. 4.3.8 The Contractor shall be fully responsible for the protection of all property corners
or survey monuments, whether marked by Avista or not. If Contractor damages or destroys any survey monuments, the Contractor shall have these monuments repaired or replaced by qualified survey personnel at no cost to Avista.
4.3.9 Contractor shall provide and erect any temporary fencing required to protect both stock and vehicular traffic. Any fencing removed by the Contractor during construction shall be re-installed at the same location, and to the approval of the property owner and Avista’s Representative. All fencing costs will be borne by the Contractor. 4.3.10 Contractor shall provide trenches that are flat, and which have smooth surfaces, the trench will have no sharp rocks, large rocks, roots, or debris in close contact with Avista facilities. Avista Representative or inspector at the Work Site will

determine if the soil conditions are such that a suitable surface cannot be obtained, and sand padding will be required. Padding installed without Avista
approval shall be done at the Contractor's expense. 4.3.11 Contractor shall take extra precaution to protect all roadway and pathway surfaces from damage and shall be responsible for all repairs. Backfill shall be compacted to at least 95% standard proctor. Compaction testing may be required by the permitting agency. If compaction testing is required, the contractor shall provide compaction test results to the governing agency if requested. 4.3.12 Contractor shall maintain the Work Site and protect the public by eliminating potential hazards from all roadways, walks, and excavated areas within the Work Site to the satisfaction of the Avista Project Representative and local governing authorities. 4.3.13 Damage to property owned by third parties during the performance of the Work
will be chargeable to the Contractor and will be deducted from any outstanding invoices. Contractor shall be responsible for the repair, as well as all associated repair costs, of located/marked or un-located/un-marked sprinkler systems
damaged by the Contractor while performing the Work. 4.3.14 Contractor shall take pre-construction photos at all Work Sites and be able to provide these photos to Avista Representative upon request.
4.4 Traffic Control & Locates 4.4.1 All necessary traffic control permits shall be obtained by the Contractor, and any required traffic control plans shall be filed with the respective governing agency by the Contractor unless other arrangements or agreements are made with the Avista Representative on the job. Contractor shall be responsible to meet all terms and conditions of all permits. 4.4.2 All traffic plans and required permits must be presented to the Avista Representative before Work begins. Contractor will pay for traffic control or any Sub-contractor directly for all traffic control required for the Work herein. All Flaggers shall have required flagging certification in their possession while
flagging. 4.4.3 Contractor shall provide and maintain suitable temporary walks, passageways, fences or other structures so as to minimize the obstruction or interference with vehicular or pedestrian traffic in public streets, highways, or private right-of-ways, to the satisfaction of the Avista Representative on the job and governing authorities.
4.4.4 No excavation shall occur at the Work Site without proper notification of the One-Call center. Contractor is responsible for calling for locates with the local One-Call center and following all State and County regulations and rules. 5.0 Material Tools and Staging Area 5.1 Avista has secured a 1.75 acre Staging Area for equipment and material storage near Prairie Ave and Ramsey Rd. The pipe for the project has been delivered to the Staging Area. Contractor shall not leave materials or equipment at other locations than the Staging Area with the exception of pipe, which may be placed along the project area or placed according to Avista Representative. It is the Contractor’s responsibility to fence the staging area as appropriate to secure materials and equipment. 5.2 Contractor shall pick up and haul materials from local Avista stores/storage yard to the Work Site. Contractor shall take appropriate precautions to protect material in transit, and Contractor shall inventory all material against the Avista material list at the time of material pick up and Contractor shall protect weather sensitive material. Miscellaneous materials will be picked up at the designated office as set out at the pre-bid meeting.

5.3 Contractor shall assume all responsibility for Avista material in Contractor’s possession. Contractor shall be liable for all material damaged, lost or stolen. The Contractor shall pay
for any material furnished by Avista and not returned in good condition to Avista, or accounted for as part of the completed work. 5.4 Contractor facilities shall be established at close proximity as possible to the Work Site or at designated material staging locations. Shop trailers may be required to meet written work regulations or governing standards, this requirement will be at the Contractor's expense, including moving on and off the Work Sites. Cost of site rental (“Staging Areas”) for locations other than those designated in the Drawings, shall be at Contractor's expense. Staging areas will be returned to their prior condition and all waste materials removed and disposed at Contractor’s expense. 5.5 When the Work is completed, all material (new or salvaged) shall be sorted, packaged and returned to Avista's facility. Avista may at its option inspect Contractor’s vehicles to ensure
all Avista materials have been returned. 5.6 It is the Contractor’s responsibility to legally dispose of all non-salvageable material and debris from their specific Work Sites. 5.7 Contractor shall provide all transportation any miscellaneous hardware or material and shall supply the transportation and placement of gravel, slurry, asphalt, backfill. 5.8 Contractor shall pay pit rates for material such as gravel and sand etc., Avista will pay
invoices directly from the pit with no additional mark up or haul charges from a third party (Unless specific written approval has been obtained from the Avista Representative for each Project). Avista may have an account with a third party contractor for approved backfill material, and Contractor shall check with the appropriate Avista area office for arrangements. Invoices that do not have receipts for materials will be rejected for payment until a bill of materials is submitted with the invoice. 5.9 The Contractor shall include at no additional cost to Avista, a General Foreman to exclusively work coordinating the Contractor crews and providing communication to Avista’s Representatives while working on Avista property. The General Foreman shall have the ability to call, text and e-mail at the Work Site. 5.10 If the General Foreman for the Project is away from the Work Site, Contractor shall notify
the Avista Representative of who will be conducting the Work Site duties of the General Foreman. The General Foreman shall attend all meetings related to the Project(s). 6.0 Safety and Substance Abuse Regulations 6.1 Contractor employees and subcontractors of any tier assigned to perform Work must be qualified as required under applicable U.S. Department of Transportation (DOT) regulations
including, but not limited to, 49 CFR § 383 (Commercial Driver’s License Requirements). Contractor shall maintain a drug and alcohol testing program in compliance with 49 CFR part 40 (Requirements and Procedures for Drug and Alcohol Testing Programs for Covered
Employees) with respect to respect to such covered employees. 6.2 The Contractor shall self-administer or shall contract out the administration of their anti-drug program. Avista’s involvement shall be review or confirmation of the information. The Contractor shall be responsible for keeping all records to DOT guidelines such as: 1. 1 year- Employees passing drug test. 2. 3 year- Collection process documentation. Supervisor training documentation. Employee training documentation.
3. 5 year- Number of employees tested. 6.3 The Contractor shall promptly provide Avista and any applicable DOT or state agency access to (and the right to examine, audit and copy) such information relating to compliance of any DOT alcohol or drug testing programs. Following such request, the Contractor will promptly provide sufficient, safe and proper facilities for the review of such information.

6.4 It shall be the Contractor's responsibility to promptly notify Avista’s, Health and Safety Department of any changes to the information required by the Contractor's Anti-Drug Plan
or administrator. 6.5 The Contractor must establish and implement alcohol breath testing, education and training in accordance with Federal and State covered functions. Contractors shall retain copies of appropriate alcohol testing records as required. The records and access to the Contractor's property shall be readily accessible for inspection by Avista, DOT, and representatives of those state agencies under which jurisdiction Avista operates. 7.0 Operator Qualification – “OQ” 7.1 Contractor shall provide trained and qualified personnel for joining of steel pipe for tasks specified under the Agreement. Contractor’s welder(s) shall be trained and qualified to applicable sections of API 1104 and Avista Standards prior to completing any production
welding on natural gas pipelines. 7.2 Contractor’s welder(s) shall not weld on in-service pipelines. Avista and/or its representative shall evaluate Contractor’s welder(s) prior to the Contractor’s welder(s)
performing any welding on natural gas pipelines. Avista reserves the right to evaluate Contractor’s joiner(s) and welder(s) at any time as part the Agreement. 7.3 Contractor employees and subcontractors of any tier, assigned to perform tasks specified
under the Agreement in connection with natural gas pipeline work, must be qualified in accordance with U.S. Department of Transportation Pipeline and Hazardous Materials Safety Administration (PHMSA) regulations, as set forth in 49 CFR § 192 Qualification of
Pipeline Personnel (“Operator Qualification”). 7.4 Prior to beginning any Work the Contractor shall provide a written Operator Qualification (OQ) Program for review and acceptance by Avista. The Contractors OQ Program must comply with 49 CFR § 192 Qualification of Pipeline Personnel and must meet or exceed the requirements of Avista’s OQ Program in the areas of training, covered tasks, evaluation, evaluation criteria, procedures, recognizing and reacting to abnormal operating conditions, and record keeping. 7.5 The contractor shall administer the accepted OQ Program and personnel qualifications for
the duration of Work. Avista reserves the right to perform future evaluations of Contractor’s OQ Program and/or personnel to ensure compliance with regulations and Avista Standards. Prior to completion of any “Covered Task” the Contractor shall submit documentation of the employees’ Operator Qualification records to Avista. Records at a minimum shall indicate the employee’s name, operator qualified task, employee’s status, date qualified, and expiration date. 7.6 Contractor shall maintain a current list of the Operator Qualified employees and copies of their current records on the job site for the duration of the project. 7.7 The following Avista “Covered Tasks” are associated with the Work: Task 221.110.015 - CP-Identify Corrosion on Buried Pipe Task 221.110.025 - CP-Coating Maintenance for Buried Pipe

7.8 Contractor shall provide Operator Qualification records to Avista. At a minimum, records shall include the employee’s name, task name, employee’s status, date qualified, expiration date of qualification, training completed and evaluations completed related to the Work. Contractor shall make records readily available in electronic form and shall have records available on site for the duration of the Work. 8.0 Environmental The following practices represent the minimum required environmental protection measures
Site conditions will require that these minimum protection requirements must be supplemented to conform to applicable federal and state environmental regulations. 8.1 Construction must be scheduled to minimize construction activities in “high-risk areas” and the amount of active disturbed soil areas, during the rainy season. “High-risk areas” include those areas within 50 feet of USGS watercourses, 100-year flood plains, regulated wetlands,
riparian zones and where slopes exceed 16%. Where permanent storm water treatment devices are to be constructed, these devices should, whenever feasible, be constructed as an early work item. 8.2 Contractor must protect existing watercourses; to the extent that any diversion is necessary, such diversion must be accomplished in a non-eroding fashion. To the extent feasible, all concentrated water flows must be channeled away from disturbed soil areas or stockpiles and conveyed in a non-eroding fashion. 8.3 Contractor shall employ appropriate measures to minimize tracking of sediment off-Site by vehicles and/or equipment including provisions for stabilized construction entrances/exits and the washing of vehicle tires. Contractor shall minimize ruts and wheel tracks, Contactor shall repair ruts which were caused by the Work being performed. 8.4 Contractor shall protect disturbed soil areas with a combination of measures including soil stabilization, sediment barriers and de-silting basins or sediment traps. There may be situations where sediment basins or some form of treatment may be used as alternative
control measures to the above combination of measures. However, when substituting such alternative measures the contractor must be able to demonstrate that the sediment load within storm water discharges from the construction site will not exceed natural or pre-construction
levels. 8.5 Contractor shall employ approved soil stabilization measures per applicable federal, state and local guidelines or as directed by an Avista Representative, which include:
• Hydro-seeding • Suitably stabilized, non-polluting straw/wood/organic mulch • Geotextiles, mats, plastic covers and erosion control blankets • Stabilized construction roadways Approved sediment barriers include: • Silt fences • Sand/gravel bag barriers • Straw bale barriers • Fiber rolls 8.6 Contractor shall inspect the project area for drainages, storm water drainages, and place
temporary sediment controls around these areas so no erosion or silt can enter into the pathway. 8.7 Stockpiles of dirt need to be placed far enough away to prevent any erosion or silt from
entering into any water sources. If required a covering will be used to cover up the disturbed soils to prevent erosion at the end of each workday

8.8 Contractor is familiar and understands all Federal and State regulations regarding hazardous spills shall be responsible for following those regulations/guidelines as well as
the recommendations made by Avista. 8.9 Contractor shall be responsible for any hydraulic leaks and fuel spills caused by Contractor and Contractor will clean up such spills according to all governing regulations and procedures. 8.10 Inspect the project area for critical habitat area, surface waters, drainages, ditches, canals and place temporary sediment controls so no discharges from construction can enter into on upon these sensitive areas. Do not fill, block, or discharge into any of these areas. 8.11 Removal of trapped sediment in a sediment basin or sediment trap or catch basins must occur when the sediment retention capacity has been reduced by 50% and removal of all sediment at completion of project. 9.0 Wages & Benefits 9.1 Contractor agrees and shall pay wages and benefits to its employees for Work completed in
performance of this Agreement, which shall be equal to that required under the Collective Bargaining Agreement of Local 77 IBEW, with Avista. The wages and benefits paid under this contract shall be substantially equal to or higher than the value of wages and benefits
paid to Avista by its employees who would perform the Work if completed by Avista. Avista’s Wage and Benefit Compliance Standards attached hereto and incorporated herein as Attachment B and B-1. 9.2 Contractors whose employees are covered by a collective bargaining agreement or Contractors that are signatory to a collective bargaining unit need only pay wages and benefits required under those agreements. 10.0 Pre-Conference and Submittals A Pre-Construction Conference will be scheduled with Avista. At this meeting, the Contractor shall provide the submittals listed in the Proposal Instructions or as requested by Avista’s Representative.

Avista Corporation (“Avista”) RFP Confidentiality Notice This Request for Proposal (“RFP”) may contain information that is marked as confidential and proprietary to Avista (“Confidential Information” or “Information”). Under no circumstances may the potential Bidder receiving this RFP use the Confidential Information for any purpose other than to evaluate the requirements of

1.0 PURPOSE
Avista is seeking a qualified Contractor to to construct and install a 6” steel high-pressure gas main and associated
facilities (the “Services” or “Work”) (the “Site” or “Work Site”).
Persons or firms submitting a Proposal will be referred to as “Bidder” in this RFP; after execution of a contract, the Bidder to whom a contract is awarded, if any, will be designated as the “Contractor”.

5.0 RFP PROCESS
5.1 Pre-proposal Questions Relating to this RFP
Questions about the RFP documents (including without limitation, specifications, contract terms or the RFP process) must be submitted to the SPC (see Section 4.1), in writing (e-mailed, faxed, or addressed in accordance with Section 4.2), by the Due Date. Notification of any substantive clarifications provided in response to questions will be provided via email to all Bidders.
5.2 Requests for Exceptions

to provide any exceptions in its Proposal will constitute full acceptance of all documents provided by Avista as part of this RFP. While Avista will not consider alternate language, etc. that materially conflicts with the intent of this RFP, Avista may consider and negotiate the inclusion of terms that
would be supplemental to the specific document if such terms reasonably relate to the scope of this RFP.
5.3 Modification and/or Withdrawal of Proposal
5.3.1 By Bidder: Bidder may withdraw its Proposal at any time. Bidder may modify a submitted Proposal by written request provided that such request is received by Avista prior to the Due Date. Following withdrawal or modification of its Proposal, Bidder may submit a new Proposal provided that such new Proposal is received by Avista prior to the Due Date and includes a statement that Bidder’s new Proposal amends and supersedes the prior Proposal.
5.3.2 By Avista: Avista may modify any of the RFP documents at any time prior to the Due Date. Such modifications will be issued simultaneously to all participating Bidders.
5.4 Proposal Processing
5.4.1 Confidentiality: It is Avista’s policy to maintain the confidentiality of all Proposals received in response to an RFP and the basis for the selection of a Bidder to negotiate a definitive agreement.
5.4.2 Basis of Any Award: This RFP is not an offer to enter into an agreement with any party. The contract, if awarded, will be awarded on the basis of Proposals received after consideration of Bidder’s ability to provide the services/work, quality of personnel, extent and quality of relevant

experience, price and/or any other factors deemed pertinent by Avista, including Bidder’s ability to meet any schedules specified in the Statement of Work.
5.4.3 Pre-award Expenses: All expenses incurred by Bidder to prepare its Proposal and participate in any required pre-bid and/or pre-award meetings, visits and/or interviews will be Bidder’s responsibility.
5.4.4 Proposal Acceptance Term: Bidder acknowledges that its Proposal will remain valid for a period of 60 days following the Due Date unless otherwise extended by Avista.
5.5 Contract Execution
The successful Bidder must enter into a contract that is substantially the same as Avista’s standard Agreement and General Conditions governing the performance of the Services/Work applicable under
this RFP included as Appendix B, and provide certificates of insurance or bonds for the levels specified in the these documents prior to initiating any work. In no event will Avista be responsible for any expenses incurred by the successful Bidder in performance of any of the Services/Work applicable
under this RFP prior to execution of a contract with Avista.
6.0 PROPOSAL REQUIREMENTS AND SUBMITTALS
Bidder’s Proposal must conform to the following outline and address all of the specified content to facilitate
Avista’s evaluation of Bidder’s qualifications; approach to performing the requested Services/Work; and other
requirements in the SOW. Proposals that merely offer to provide the Services as stated in this RFP will be
considered non-responsive and will not be considered further in the evaluation process. Proposals will be
evaluated on overall quality of content and responsiveness to the purpose and specifications of this RFP,

b) Litigation
Provide a list of all material litigation in which Bidder’s firm is or has been a plaintiff or defendant over the past five (5) years. Such lists must be in sufficient detail to explain the positions of the various parties and the ultimate outcome as to the damages awarded (if any) or the settlement

STATEMENT OF WORK R-41840
Post Falls 6” HP Gas Reinforcement
1.0 Project Overview Contractor shall provide the labor and equipment to construct and install a 6” steel high-pressure gas main and associated facilities (the “Work”) per this Statement of Work. Contractor shall perform the Work located in Post Falls, ID (“Site” or “Work Site(s)”) as detailed in the attached plan drawing E-38245 Sheets 1-22 (the “Drawings”). The Work will provide a natural gas reinforcement to the greater Post Falls area (the “Project”). 2.0 Scope of Work
2.1 Project Description 1. Work will include but not be limited to installation of approximately 14,400 linear feet of 6-inch high pressure steel gas line and fittings, 370 linear feet of 4-inch high
pressure steel gas line and fittings, and 370 linear feet of 6-inch intermediate pressure steel gas line and fittings in Post Falls, ID. Pipe will be installed either on private easement or within road right-of-way as shown in the Drawings or as agreed upon in writing between Avista and Contractor prior to construction. 2.2 Project Tasks Contractor shall perform all Work in accordance with the Technical Specifications, Standards and Drawings attached to this Statement of Work. Task 1 – Construct & Install 6” High Pressure Steel Gas Main – Trench Install Contractor shall perform all work required to construct approximately 14,400 feet of 6” high pressure steel gas mainline pipe, fittings and appurtenances in an open trench. Contractor to provide labor and equipment to complete all welds, joint coating and placement of bedding, pipe, and backfill in the ditch. Task 2 – Construct & Install 10” Steel Casing – Bore Install Contractor shall perform all work required to bore install approximately 130 feet of 10” steel
casing pipe using conventional horizontal bore installation methods underneath the Union Pacific Railroad tracks. Contractor shall follow the requirements as set in Attachment A, which is attached to this RFP. Task 3 – Construct & Install 6” High Pressure Steel Gas Main – Bore Install Contractor shall perform all work required to bore install approximately 1,020 feet of 6” high pressure main using conventional horizontal bore installation methods. There are two areas of the project where boring is required: Union Pacific Railroad and Prairie Ave crossing, near and the Idaho Rd round-a-bout at Poleline Ave. Contractor shall follow the requirements as set in Attachment A, which is attached to this RFP.

Task 4 – Construct and Install 4” High Pressure Steel Gas Main and 6” Intermediate Pressure Steel Gas Main to Regulator Station at Idaho Rd and Prairie Ave
Contractor shall perform all work required to construct approximately 370 feet of 4” high pressure steel gas pipe, 370 feet of 6” steel intermediate pressure steel gas main fittings, and apparatuses in an open trench from the new 6” high pressure steel mainline to the new regulator station location on Avista property at Idaho Rd and Prairie Ave. Contractor to provide labor and equipment to complete all welds, joint coating and placement of bedding, pipe, and backfill in the ditch. Contractor shall install the 4” and 6” regulator station risers in the location specified by Avista. Task 5 – Install Cathodic Test Points & Signage Contractor shall install cathodic test points and any other pipeline markers/signage on newly installed gas mains as indicated on the Drawings and per the Standards. The Avista Inspector
will make the final determination on the exact location of cathodic test points and line markers/signage. Task 6 – Asphalt Removal, Backfill & Asphalt Repair Contractor shall remove existing asphalt as required. Backfill of newly installed mainline shall be completed by the Contractor per the Drawings, the Standards and per local
permitting requirements. A temporary cold mix asphalt patch shall be installed at the end of each day. Permanent asphalt repair shall be completed per local permitting requirements and as designated on the Drawings. All padding, bedding and backfill materials will be provided by the Contractor at the regular pit rate with no cost mark up to Avista. Task 7 – Pigging and Pressure Testing New Gas Mains Contractor shall pig the new pipeline and coordinate pressure testing for all newly installed gas main per Avista Standards and as designated on the Drawings. Contractor to provide all pigging equipment and materials, and shall use a pig trap. Contractor shall provide all equipment, materials, and labor to administer the hydro test, including but not imitated to water, water delivery, tanks, pumps, drying equipment, and disposal of the water. Contractor
shall provide personnel to monitor the pressure test from beginning to end including taking pressure and pipe temperature measurements every hour throughout the 24 hour test. The pipeline shall be dried to a -40 degree F dew point. Task 8 – Purging & Packing Contractor shall excavate for installation of the 12” stopper fitting as specified in the
Drawings and per the Standards. Avista Pressure Control-men will install the stopper fitting, perform tapping and stopping procedures as required to connect the new pipeline to the existing gas facilities as shown on the Drawings. Avista will complete all purging and packing of new and abandoned mainline facilities per the Drawings and per the Standards with Contractor assistance. 2.3 Project Dates Start Date: April 2018 or earlier if weather permits Substantial Completion: August 24 2018 3.0 Material and Services to be supplied 3.1 Items supplied by Avista 1. Avista shall provide the Drawings for the Project. 2. Avista shall supply a list of materials on the Drawings which shall be used for the Project. 3. Avista shall provide materials, except for consumable materials used for the Project. 4. Avista shall provide the Contractor with the Standards for the Project.

5. Avista shall provide an Inspector who will oversee the construction of the Project and coordinate timing with the Contractor while logging GPS information related to pipe
information and weld connections. 6. Avista shall coordinate any x-ray requirements during the Work. 7. Avista shall provide a calibrated pressure recorder, calibrated pressure gauge, and pipe temperature measuring device for hydrostatic testing. 8. Avista shall complete purging of natural gas from any existing facilities with Contractor assistance. 9. Avista shall complete pressurization of the new pipeline with natural gas with Contractor assistance. 3.2 Items supplied by Contractor 1. Contractor shall provide Avista with redline markups of the Drawings depicting the
new “as-built” conditions related to authorized changes made to the Drawings during the Work. The as-built drawing shall include the following information: 1.2 Weld information including the welder’s name, weld number, x-ray number,
and station number for the weld location. 1.3 Pipe and fitting information including pipe heat number, fitting manufacturer, lot number, and station number.
Avista will provide the Contractor with an example as-built for reference. 2. Contractor shall provide bore logs for the Project. 3. Contractor shall be responsible for utility locates and potholing as required for construction and as requested in the Drawings or the Standards. 4. Contractor shall provide and administer all required traffic control plans for the Work. Traffic control plans must include pedestrian provisions. 5. Contractor to provide all consumable materials, (i.e. welding rod, wood for dunnage, fuel for equipment, etc.) 6. Contractor shall provide all equipment, material, and labor for the hydrostatic pressure test, pigging, and drying of the pipeline. 3.3 Permits and Right of Way (ROW). 1. Contractor shall provide permits from Post Falls Highway District and the City of Post Falls. Contractor shall not start Work until all permits are obtained for the respective Site(s) and filed with the governing agency. Contractor shall be responsible to meet all of the permit terms and conditions.
4.0 Performance Requirements 4.1 Safety 4.1.1 Contractor will be responsible for all fire safety measures and shall carry fire
control equipment on all vehicles. If wind gusts or extreme fire conditions occur as determined by the Contractor or local fire authority, and Contractor shall shut down Work.
4.1.2 Contractor will return to work when the appropriate fire danger conditions are over or if the appropriate fire warning has been lifted. Contractor shall follow all local fire requirements regarding fire prevention.
4.2 Project Specific 4.2.1 Contractor shall perform all Work as designated in Drawings attached to the Scope of Work. Contractor shall refer to and construct Avista’s gas facilities following the Avista’s standards listed in the 2018 Gas Standard Manual and Gas Emergency and Service Handbook (“Standards”), which are made a part of this Agreement by this reference. Contractor is responsible for obtaining the most current Standards and be current on all other construction guidelines.

4.2.2 Contractor shall provide workmen who are skilled and specialized in the Work to which they are assigned. Specifically, Contractor shall provide workmen who
perform gas operations; maintenance, construction, boring, excavation, and they are trained on safety procedures / methods required by OSHA. 4.2.3 Contractor will clear the ground at the Work Site, and remove combustible vegetative materials before vehicles are used in the area. Contractor will “blade” ground with prior written approval from Avista’s Representative. 4.2.4 Landscaping and grass restoration and replacement will be required as a result of Contractor’s operations. Contractor shall re-seed with the appropriate hydro seed or grass- mix in native grass covered areas. Contractor shall provide and install sod in established lawn areas. 4.2.5 Contractor will be required to provide a water truck to minimize dust, (this shall be included in the unit pricing), if dust becomes an issue for Avista’s Customers
or as directed by Avista Representative. 4.2.6 All gas pipe installation shall be installed in the established right of way or easement. Contractor shall Work within the designated areas on the Drawings and
all earth work shall remain in the designated areas. 4.2.7 Contractor may install gas pipeline in sections and not in a continuous line, and Contractor agrees that pipeline construction that is segmented shall not be
considered a Change Order. 4.2.8 Contractor is responsible for securing the Work Site at the end of each day. No unattended holes, trenches, or pits will be allowed. Contractor shall close or backfill the excavated sites at the end of each day unless secured by Contractor using other methods approved by OSHA or other local agencies. 4.2.9 Contractor shall keep all pipe ends plugged at the end of each day or as Avista’s Representative requires to avoid foreign material from entering pipe. Contractor shall remove any foreign material that may enter the pipe at any time. The Contractor shall pig the pipeline until it is clean. Pigs shall be transported through the pipe with compressed air. Contractor shall provide equipment to include but not be limited to; pigs, pig traps, and fittings as necessary to complete the cleaning
operation. Absence of water and no foreign material constitute a clean pipeline. 4.2.10 Contractor shall visually inspect all welds to insure they meet the requirements of the weld procedure and applicable requirements of American Petroleum Institute (API) 1104. 4.2.11 Contractor shall inspect all steel gas pipelines by “Jeeping” or similarly test to assure no flaws or “holidays” are present in the pipeline coating. Contractor shall
be responsible for providing an electronic holiday detector and testing (Jeeping) the pipe as it enters the trench or as directed by Avista’s inspector. Holidays detected by Jeeping shall be reported to Avista’s inspector, and repaired by Contractor with approved material, and re-inspected. 4.2.12 Contractor will not cover or bury steel carrier pipe before it has been inspected by Avista’s Representative. Avista’s Representative shall have the authority to order Contractor to un-earth pipe or components and repair or replace what fails to meet the Standards. Contractor is responsible for all costs associated with the repair, removal or replacement of the gas facilities. 4.2.13 Contractor shall verify the location of all utilities prior to construction. 4.2.14 The contractor shall verify the location of all future utility locations along
Government Way by coordinating with the Road Contractor.

4.2.15 The pipe shall be handled carefully to eliminate the possibility of damage during loading and unloading operations. Forklift forks shall be padded. The pipe must be
supported during transport to minimize movement. Ropes and other securing devices shall be padded to prevent damage to the pipe. Pipe shall be supported by proper dunnage necessary to support and secure the pipe. 4.2.16 Chains shall not be used to secure the pipe. Metallic equipment will not be allowed to contact the steel coating. Equipment or other supplies shall not be placed on top of the pipe. 4.2.17 Contractor shall protect gas pipe and fittings from excessive heat and/or harmful chemicals. Contractor shall keep all cleaning solutions, specialized detergents, solvents, alcohol, gasoline away from the gas pipe and fittings. All pipe and fittings shall be kept as clean. 4.2.18 Contractor shall notify Avista’s customers of any outages 24 hours in advance of
such outages and Contractor shall provide an estimated duration of the outage. Contractor’s Work must be planned to minimize these outages. 4.2.19 Contractor shall notify Avista’s customers of any outages in advance of such outages and Contractor shall provide an estimated duration of the outage. Contractor shall notify according to the following:
• All in person notifications are required to be a MINIMUM of 24 hours in advance of the outage.
• If no response by person to person, Contractor must leave a door-hanger with a Contractors business card attached so that the customer has someone to contact that has knowledge and information about the outage.
4.2.20 Contractor shall provide noise abatement as necessary to keep sound levels to a
reasonable level in the surrounding residential areas. Noise abatement shall be
done via mufflers on equipment, sound barriers around Work Site, equipment
enclosures or a combination of these.
4.2.21 Contractor shall coordinate work with the Road Contractor along the
Government Way portion of the project to help minimize conflicts and delays
between both projects.
4.3 Site Access / Site Restoration 4.3.1 Contractor may encounter rocky conditions at different Sites in which Contractor will be required to install gas pipe. Contractor shall provide the proper equipment to handle the pipe installation, and all costs included in the Pricing Sheet. 4.3.2 Any additional easement access to and from the Work Sites across third party property owners shall be obtained by Contractor and Contractor shall be responsible for meeting such requirements of the property owner.
4.3.4 The Contractor shall return each Work Site to a condition as good as or better than found before moving to another Work Site unless specifically authorized in writing by the Avista Representative on the Project. Any landscape renovation
required shall be completed immediately after Work in that area is completed. 4.3.5 Contractor performing work for Avista may encounter unusual circumstances or situations at the Site that are not covered under the Statement of Work. Under
those circumstances, the Contractor and Avista Representative shall come to a written agreement, prior to any Work being performed to define the Work and any additional compensation which may be paid to the Contractor. That agreement shall be captured on a Change Order or Work Authorization form and signed by both the Contractor and Avista’s Representative. 4.3.6 General allowable working hours will be limited to no more than ten (10) hours per day and six (6) days per week, depending on the hours worked in a week. Normal daytime working hours from 7:00 AM to 5:00 PM will be expected for

the majority of this work. All overtime Work shall be pre-approved by Avista’s Representative.
4.3.7 All asphalt removal and installation by Contractor will be according to the local city/county/state authority and their approved methods. All backfill material utilized and compaction shall be performed by the Contractor and shall comply with the most recent published governing agency's specifications. 4.3.8 The Contractor shall be fully responsible for the protection of all property corners or survey monuments, whether marked by Avista or not. If Contractor damages or destroys any survey monuments, the Contractor shall have these monuments repaired or replaced by qualified survey personnel at no cost to Avista. 4.3.9 Contractor shall provide and erect any temporary fencing required to protect livestock, pedestrian, and vehicular traffic. Any fencing removed by the Contractor during construction shall be re-installed at the same location, and to
the approval of the property owner and Avista’s Representative. All fencing costs will be borne by the Contractor. 4.3.10 Contractor shall provide trenches that are flat, and which have smooth surfaces,
the trench will have no sharp rocks, large rocks, roots, or debris in close contact with Avista facilities. Avista Representative or inspector at the Work Site will determine if the soil conditions are such that a suitable surface cannot be
obtained, and sand padding will be required. Padding installed without Avista approval shall be done at the Contractor's expense. 4.3.11 Contractor shall take extra precaution to protect all roadway and pathway surfaces from damage and shall be responsible for all repairs. Backfill shall be compacted to at least 95% modified proctor. Compaction testing will be required by the permitting agency in all drivable areas including approaches. Compaction testing is required every 100’ of trench, once every 2 feet of vertical lift, and once at final subgrade. The contractor shall provide compaction test results to the governing agency if requested. 4.3.12 Contractor shall maintain the Work Site and protect the public by eliminating potential hazards from all roadways, walks, and excavated areas within the Work
Site to the satisfaction of the Avista Project Representative and local governing authorities. 4.3.13 Damage to property owned by third parties during the performance of the Work will be chargeable to the Contractor and will be deducted from any outstanding invoices. Contractor shall be responsible for the repair, as well as all associated repair costs, of located/marked or un-located/un-marked sprinkler, water or sewer
systems damaged by the Contractor while performing the Work. 4.3.14 Contractor shall take pre-construction photos at all Work Sites and be able to provide these photos to Avista Representative upon request. 4.4 Traffic Control & Locates 4.4.1 All necessary traffic control permits shall be obtained by the Contractor, and any required traffic control plans shall be filed with the respective governing agency by the Contractor unless other arrangements or agreements are made with the Avista Representative on the job. Contractor shall be responsible to meet all terms and conditions of all permits. 4.4.2 All traffic plans and required permits must be presented to the Avista
Representative before Work begins. Contractor will pay for traffic control or any Sub-contractor directly for all traffic control required for the Work herein. All Flaggers shall have required flagging certification in their possession while flagging.

4.4.3 Contractor shall provide and maintain suitable temporary walks, passageways, fences or other structures so as to minimize the obstruction or interference with
vehicular or pedestrian traffic in public streets, highways, or private right-of-ways, to the satisfaction of the Avista Representative on the job and governing authorities. 4.4.5 No excavation shall occur at the Work Site without proper notification of the One-Call center. Contractor is responsible for calling for locates with the local One-Call center and following all State and County regulations and rules. 5.0 Materials, Tools, and Staging Area 5.1 Avista secured a 1 acre Staging Area for equipment and material storage near Hayden Ave & Idaho Rd. The majority of the pipe for the Project is located at this Site, with the exception of one truck load as described in section 5.2 below. Contractor shall not leave
materials or equipment at any other locations, except at the Staging Area, with the exception of the gas pipe, which may be placed along the project area or placed according to Avista Representative. It is the Contractor’s responsibility to fence the Staging Area as
appropriate to secure materials and equipment. 5.2 One truck load of 6” steel pipe (approximately 63 sticks) for the Project is located at NPL Construction, 16707 E Euclid Ave, Spokane Valley, WA. Contractor shall provide
equipment and labor to load and haul this pipe to the Work Site. In addition, Contractor shall pick up and haul miscellaneous materials (fittings, pipeline markers, etc.) from the local Avista stores/storage yard to the Work Site. Contractor shall take appropriate precautions to protect material in transit, and Contractor shall inventory all material against the Avista material list at the time of material pick up and Contractor shall protect weather sensitive material. Miscellaneous materials will be picked up at the designated office as set out at the pre-bid meeting. 5.3 Contractor shall assume all responsibility for Avista material in Contractor’s possession. Contractor shall be liable for all material damaged, lost or stolen. The Contractor shall pay for any material furnished by Avista and not returned in good condition to Avista, or accounted for as part of the completed work. 5.4 Contractor facilities shall be established at close proximity as possible to the Work Site or at designated material staging locations. Shop trailers may be required to meet written work regulations or governing standards, this requirement will be at the Contractor's expense, including moving on and off the Work Sites. Cost of site rental (“Staging Areas”) for locations other than those designated in the Drawings, shall be at Contractor's expense. Staging areas will be returned to their prior condition and all waste materials removed and
disposed at Contractor’s expense. 5.5 When the Work is completed, all material (new or salvaged) shall be sorted, packaged and returned to Avista's facility. Avista may at its option inspect Contractor’s vehicles to ensure all Avista materials have been returned. 5.6 It is the Contractor’s responsibility to legally dispose of all non-salvageable material and debris from their specific Work Sites. 5.7 Contractor shall provide all transportation any miscellaneous hardware or material and shall supply the transportation and placement of gravel, slurry, asphalt, backfill.

5.8 Contractor shall pay pit rates for material such as gravel and sand etc., Avista will pay invoices directly from the pit with no additional mark up or haul charges from a third party
(Unless specific written approval has been obtained from the Avista Representative for each Project). Avista may have an account with a third party contractor for approved backfill material, and Contractor shall check with the appropriate Avista area office for arrangements. Invoices that do not have receipts for materials will be rejected for payment until a bill of materials is submitted with the invoice. 5.9 The Contractor shall include at no additional cost to Avista, a General Foreman to exclusively work coordinating the Contractor crews and providing communication to Avista’s Representatives while working on Avista property. The General Foreman shall have the ability to call, text and e-mail at the Work Site. 5.10 If the General Foreman for the Project is away from the Work Site, Contractor shall notify the Avista Representative of who will be conducting the Work Site duties of the General
Foreman. The General Foreman shall attend all meetings related to the Project(s). 6.0 Safety and Substance Abuse Regulations 6.1 Contractor employees and subcontractors of any tier assigned to perform Work must be qualified as required under applicable U.S. Department of Transportation (DOT) regulations including, but not limited to, 49 CFR § 383 (Commercial Driver’s License Requirements).
Contractor shall maintain a drug and alcohol testing program in compliance with 49 CFR part 40 (Requirements and Procedures for Drug and Alcohol Testing Programs for Covered Employees) with respect to respect to such covered employees. 6.2 The Contractor shall self-administer or shall contract out the administration of their anti-drug program. Avista’s involvement shall be review or confirmation of the information. The Contractor shall be responsible for keeping all records to DOT guidelines such as: 1. 1 year- Employees passing drug test. 2. 3 year- Collection process documentation. Supervisor training documentation. Employee training documentation. 3. 5 year- Number of employees tested. 6.3 The Contractor shall promptly provide Avista and any applicable DOT or state agency access to (and the right to examine, audit and copy) such information relating to compliance of any DOT alcohol or drug testing programs. Following such request, the Contractor will promptly provide sufficient, safe and proper facilities for the review of such information. 6.4 It shall be the Contractor's responsibility to promptly notify Avista’s, Health and Safety
Department of any changes to the information required by the Contractor's Anti-Drug Plan or administrator. 6.5 The Contractor must establish and implement alcohol breath testing, education and training in accordance with Federal and State covered functions. Contractors shall retain copies of appropriate alcohol testing records as required. The records and access to the Contractor's property shall be readily accessible for inspection by Avista, DOT, and representatives of those state agencies under which jurisdiction Avista operates. 7.0 Operator Qualification – “OQ” 7.1 Contractor shall provide trained and qualified personnel for joining of steel pipe for tasks specified under the Agreement. Contractor’s welder(s) shall be trained and qualified to
applicable sections of API 1104 and Avista Standards prior to completing any production welding on natural gas pipelines. 7.2 Contractor’s welder(s) shall not weld on in-service pipelines. Avista and/or its representative shall evaluate Contractor’s welder(s) prior to the Contractor’s welder(s) performing any welding on natural gas pipelines. Avista reserves the right to evaluate Contractor’s joiner(s) and welder(s) at any time as part the Agreement.

7.3 Contractor employees and subcontractors of any tier, assigned to perform tasks specified under the Agreement in connection with natural gas pipeline work, must be qualified in
accordance with U.S. Department of Transportation Pipeline and Hazardous Materials Safety Administration (PHMSA) regulations, as set forth in 49 CFR § 192 Qualification of Pipeline Personnel (“Operator Qualification”). 7.4 Prior to beginning any Work the Contractor shall provide a written Operator Qualification (OQ) Program for review and acceptance by Avista. The Contractors OQ Program must comply with 49 CFR § 192 Qualification of Pipeline Personnel and must meet or exceed the requirements of Avista’s OQ Program in the areas of training, covered tasks, evaluation, evaluation criteria, procedures, recognizing and reacting to abnormal operating conditions, and record keeping. 7.5 The contractor shall administer the accepted OQ Program and personnel qualifications for the duration of Work. Avista reserves the right to perform future evaluations of Contractor’s OQ Program and/or personnel to ensure compliance with regulations and Avista Standards. Prior to completion of any “Covered Task” the Contractor shall submit documentation of the employees’ Operator Qualification records to Avista. Records at a minimum shall indicate the employee’s name, operator qualified task, employee’s status, date qualified, and expiration date. 7.6 Contractor shall maintain a current list of the Operator Qualified employees and copies of their current records on the job site for the duration of the project. 7.7 The following Avista “Covered Tasks” are associated with the Work:

At a minimum, records shall include the employee’s name, task name, employee’s status, date qualified, expiration
date of qualification, training completed and evaluations completed related to the Work. Contractor shall make records readily available in electronic form and shall have records available on site for the duration of the Work.
8.0 Environmental The following practices represent the minimum required environmental protection measures
Site conditions will require that these minimum protection requirements must be supplemented to conform to applicable federal and state environmental regulations. 8.1 Construction must be scheduled to minimize construction activities in “high-risk areas” and the amount of active disturbed soil areas, during the rainy season. “High-risk areas” include those areas within 50 feet of USGS watercourses, 100-year flood plains, regulated wetlands, riparian zones and where slopes exceed 16%. Where permanent storm water treatment

devices are to be constructed, these devices should, whenever feasible, be constructed as an early work item. 8.2 Contractor must protect existing watercourses; to the extent that any diversion is necessary, such diversion must be accomplished in a non-eroding fashion. To the extent feasible, all concentrated water flows must be channeled away from disturbed soil areas or stockpiles and conveyed in a non-eroding fashion. 8.3 Contractor shall employ appropriate measures to minimize tracking of sediment off-Site by vehicles and/or equipment including provisions for stabilized construction entrances/exits and the washing of vehicle tires. Contractor shall minimize ruts and wheel tracks, Contactor shall repair ruts which were caused by the Work being performed. 8.4 Contractor shall protect disturbed soil areas with a combination of measures including soil stabilization, sediment barriers and de-silting basins or sediment traps. There may be situations where sediment basins or some form of treatment may be used as alternative
control measures to the above combination of measures. However, when substituting such alternative measures the contractor must be able to demonstrate that the sediment load within storm water discharges from the construction site will not exceed natural or pre-construction
levels. 8.5 Contractor shall employ approved soil stabilization measures per applicable federal, state and local guidelines or as directed by an Avista Representative, which include:
• Hydro-seeding • Suitably stabilized, non-polluting straw/wood/organic mulch • Geotextiles, mats, plastic covers and erosion control blankets • Stabilized construction roadways Approved sediment barriers include: • Silt fences • Sand/gravel bag barriers • Straw bale barriers • Fiber rolls 8.6 Contractor shall inspect the project area for drainages, storm water drainages, and place temporary sediment controls around these areas so no erosion or silt can enter into the pathway. 8.7 Stockpiles of dirt need to be placed far enough away to prevent any erosion or silt from entering into any water sources. If required a covering will be used to cover up the disturbed soils to prevent erosion at the end of each workday 8.8 Contractor is familiar and understands all Federal and State regulations regarding hazardous spills shall be responsible for following those regulations/guidelines as well as the recommendations made by Avista. 8.9 Contractor shall be responsible for any hydraulic leaks and fuel spills caused by Contractor and Contractor will clean up such spills according to all governing regulations and procedures. 8.10 Inspect the project area for critical habitat area, surface waters, drainages, ditches, canals and place temporary sediment controls so no discharges from construction can enter into on upon these sensitive areas. Do not fill, block, or discharge into any of these areas. 8.11 Removal of trapped sediment in a sediment basin or sediment trap or catch basins must occur when the sediment retention capacity has been reduced by 50% and removal of all
sediment at completion of project. 9.0 Wages & Benefits 9.1 Contractor agrees and shall pay wages and benefits to its employees for Work completed in performance of this Agreement, which shall be equal to that required under the Collective

Bargaining Agreement of Local 77 IBEW, with Avista. The wages and benefits paid under this contract shall be substantially equal to or higher than the value of wages and benefits
paid to Avista by its employees who would perform the Work if completed by Avista. Avista’s Wage and Benefit Compliance Standards attached hereto and incorporated herein as Attachment B and B-1. 9.2 Contractors whose employees are covered by a collective bargaining agreement or Contractors that are signatory to a collective bargaining unit need only pay wages and benefits required under those agreements. 10.0 Pre-Conference and Submittals A Pre-Construction Conference will be scheduled with Avista. At this meeting, the Contractor shall provide the submittals listed in the Proposal Instructions or as requested by Avista’s Representative.
At this meeting the successful Contractor shall also provide the schedule, work plans, job requirements, specifications, drawings, phone numbers and addresses of responsible agents and any irregularities or questions regarding this Work will be discussed.

Avista Corporation (“Avista”) RFP Confidentiality Notice This Request for Proposal (“RFP”) may contain information that is marked as confidential and proprietary to Avista (“Confidential Information” or “Information”). Under no circumstances may the potential Bidder receiving this RFP use the Confidential Information for any purpose other than to evaluate the requirements of

1.0 PURPOSE
Avista is seeking a qualified Contractor to construct and install a 6” steel high-pressure gas main and associated
facilities as well as 370 feet of 4 inch steel and 370 feet of 6 inch intermediate pressure steel gas pipeline (the “Services” or “Work”) located in Post Falls, ID (the “Site” or “Work Site”).
Persons or firms submitting a Proposal will be referred to as “Bidder” in this RFP; after execution of a contract,
the Bidder to whom a contract is awarded, if any, will be designated as the “Contractor”.

5.0 RFP PROCESS
5.1 Pre-proposal Questions Relating to this RFP
Questions about the RFP documents (including without limitation, specifications, contract terms or the RFP process) must be submitted to the SPC (see Section 4.1), in writing (e-mailed, faxed, or addressed in accordance with Section 4.2), by the Due Date. Notification of any substantive clarifications provided in response to questions will be provided via email to all Bidders.
5.2 Requests for Exceptions
Bidder must comply with all of the requirements set forth in the documents provided by Avista as part of this RFP (including all submittals, contract documents, exhibits or attachments). Any exceptions to these requirements must be: (i) stated separately, (ii) clearly identify the exceptions (including the
document name and section), and (iii) include any proposed alternate language, etc. Failure by Bidder to provide any exceptions in its Proposal will constitute full acceptance of all documents provided by Avista as part of this RFP. While Avista will not consider alternate language, etc. that materially
conflicts with the intent of this RFP, Avista may consider and negotiate the inclusion of terms that would be supplemental to the specific document if such terms reasonably relate to the scope of this RFP.
5.3 Modification and/or Withdrawal of Proposal
5.3.1 By Bidder: Bidder may withdraw its Proposal at any time. Bidder may modify a submitted Proposal by written request provided that such request is received by Avista prior to the Due Date. Following withdrawal or modification of its Proposal, Bidder may submit a new Proposal provided that such new Proposal is received by Avista prior to the Due Date and includes a statement that Bidder’s new Proposal amends and supersedes the prior Proposal.
5.3.2 By Avista: Avista may modify any of the RFP documents at any time prior to the Due Date. Such modifications will be issued simultaneously to all participating Bidders.
5.4 Proposal Processing
5.4.1 Confidentiality: It is Avista’s policy to maintain the confidentiality of all Proposals received in response to an RFP and the basis for the selection of a Bidder to negotiate a definitive agreement.

5.4.2 Basis of Any Award: This RFP is not an offer to enter into an agreement with any party. The contract, if awarded, will be awarded on the basis of Proposals received after consideration of Bidder’s ability to provide the services/work, quality of personnel, extent and quality of relevant experience, price and/or any other factors deemed pertinent by Avista, including Bidder’s ability to meet any schedules specified in the Statement of Work.
5.4.3 Pre-award Expenses: All expenses incurred by Bidder to prepare its Proposal and participate in any required pre-bid and/or pre-award meetings, visits and/or interviews will be Bidder’s
responsibility.
5.4.4 Proposal Acceptance Term: Bidder acknowledges that its Proposal will remain valid for a period of 60 days following the Due Date unless otherwise extended by Avista.
5.5 Contract Execution
The successful Bidder must enter into a contract that is substantially the same as Avista’s standard Agreement and General Conditions governing the performance of the Services/Work applicable under
this RFP included as Appendix B, and provide certificates of insurance or bonds for the levels specified in the these documents prior to initiating any work. In no event will Avista be responsible for any expenses incurred by the successful Bidder in performance of any of the Services/Work applicable
under this RFP prior to execution of a contract with Avista.
6.0 PROPOSAL REQUIREMENTS AND SUBMITTALS
Bidder’s Proposal must conform to the following outline and address all of the specified content to facilitate
Avista’s evaluation of Bidder’s qualifications; approach to performing the requested Services/Work; and other
requirements in the SOW. Proposals that merely offer to provide the Services as stated in this RFP will be
considered non-responsive and will not be considered further in the evaluation process. Proposals will be
evaluated on overall quality of content and responsiveness to the purpose and specifications of this RFP,

d) Schedule/Timeline/Milestone Chart
1. Provide a proposed project schedule with completion times or milestones for the tasks identified in the SOW.
2. Include a proposed labor schedule that details the scope, manpower requirements for each
activity and expected time for completion that can be used to further refine the main project schedule. e) Approach to Subcontracting
If Bidder’s approach to performing the work will require the use of subcontractors, include for each subcontractor: (a) a description of their areas of responsibility, (b) identification of the assigned subcontractor personnel, (c) resumes of key subcontractor personnel, (d) a summary of the experience and qualifications of the proposed subcontracting firms in work similar to that proposed, and (e) a list of references for such work.

Submit an outline of the general safety program for the field work.
6.5 Company Information
a) Company Qualifications
Bidder shall provide information on projects of similar size and scope that Bidder’s firm has undertaken and completed within the last five years. Please include a list of references on Appendix A that could be contacted to discuss Bidder’s firm’s involvement in these projects. List all business and technical licenses and certifications held by Bidder’s firm relevant to the proposed Work.
b) Litigation
Provide a list of all material litigation in which Bidder’s firm is or has been a plaintiff or defendant over the past five (5) years. Such lists must be in sufficient detail to explain the positions of the various parties and the ultimate outcome as to the damages awarded (if any) or the settlement
reached.
c) Project Personnel Qualifications
Provide a proposed organization chart or staffing list for this project and identify the personnel
who will fill these positions. If applicable, identify project managers who will be overseeing the Work and submit their resume identifying their work history. Identify any professional licenses and certifications held by the personnel assigned to perform applicable duties and tasks.

7.0 RESERVATION OF AVISTA RIGHTS:
Avista may, in its sole discretion, exercise one or more of the following rights and options with respect to this RFP:
• Modify, extend, or cancel this RFP at any time to obtain additional proposals or for any other reason Avista determines to be in its best interest;
• Issue a new RFP with terms and conditions that are the same, similar or substantially different as those set forth in this or a previous RFP in order to obtain additional proposals or for any other reason Avista determines to be in its best interest;
• Waive any defect or deficiency in any proposal, if in Avista’s sole judgment, the defect or deficiency is not material in response to this RFP;

Since the last update on 6‐29‐17 InfraSource has installed the remaining 496 feet of pipe. The majority of project is now
complete with a total of 17,924 feet of pipe installed. Attached is a map showing the crew’s progress as well as some
pictures of the crew cleaning the new pipe.
InfraSource’s work is nearing completion. This week the crew is focusing on cleaning out the new pipe and completing
final restoration/clean‐up and then will mobilize off of the jobsite. Final paving along Government Way was completed
on July 7th. Final paving along Hanley Ave is scheduled to occur July 25th and 26th. Avista crews still have some work to
do to bring the new pipe into service and tie it into the existing gas system. Avista’s work is anticipated to be completed
in the next few weeks.

to occur July 25th and 26th.

Coeur d’Alene, ID. This project consists of installing 17,200 feet of 6” gas distribution pipe along Prairie Ave,
Government Way, and Hanley Ave. The project will also include building two regulator stations. The purpose of this
project is to reinforce the existing Hayden Lake distribution system, which is currently capacity constrained.
I have attached a map to help illustrate where this project is located.

Avista has hired InfraSource http://www.infrasourceus.com/ to construct this project. InfraSource is scheduled to begin
work on Monday, April 17th. The project is anticipated to be completed in September 2017. Avista crews will work in
conjunction with InfraSource, helping with pipe tie‐ins and the installation of two regulator stations.
I will continue to send out biweekly updates as this project commences, along with photos and maps showing the crew’s
progress.

I’m writing because I thought you would have interest in a natural gas reinforcement project that is getting ready to
start in Post Falls, ID. The project consists of installing 14,400 feet of 6” gas distribution pipe along Idaho Rd, 21st Ave,
and Spokane St. The purpose of this project is to reinforce the gas distribution system in the Post Falls area.
I have attached a map to help illustrate the project.
Avista has hired InfraSource to construct this pipeline. InfraSource is scheduled to begin work on Monday, April 23rd and
anticipates completing the project in July. The crew will start with installing a 10” steel casing underneath the Union
Pacific Railroad tracks near Prairie Ave. The crew will then focus on installing the gas line underneath Prairie Ave and
Poleline Ave using horizontal directional drilling.

Since the last update on 6‐15‐18 InfraSource has completed the tie‐in at Prairie Ave and Idaho Rd in‐between the two
bore pipes (in front of the Idaho Rd substation). Permanent paving along Idaho Rd, 21st Ave, and Spokane St has been
completed. Pressure testing of the new pipeline will occur today. After the pressure test the crew will perform final
clean up and will begin to mobilize their equipment and materials off site. Avista crews have some tie‐in work to
complete in order to connect the new gas line to the existing system and to place it into service.
I want to give special thanks to InfraSource for completing this project safely and for doing a great job coordinating the
work with the community. I also want to thank the staff at the City of Post Falls, Post Falls Highway District, East Green
Acres Irrigation District, and Union Pacific Railroad for their help with this project.
Attached is a map showing the crew’s progress over the last week as well as pictures of the crew working.
This will be my final project update. Thank you to all who helped Avista and InfraSource complete this project.
