REQUEST:Please provide a narrative explanation of the due diligence performed by Hydro One in deciding to make an offer to acquire Avista.RESPONSE: Hydro One conducted a due diligence review of Avista’s business. We engaged a team of industry recognized consultants and subject matter experts across several disciplines including regulatory, generation, electric transmission and distribution, natural gas distribution, tax, structuring, and accounting. Our due diligence included extensive review and analysis of data room documentation. We also held multiple due diligence discussions with Avista personnel. Site visits were conducted including key hydroelectric facilities, gas generation facilities, solid fuel generation facilities, and select transmission and distribution facilities.
