AVU-E-26- 03 HYDRO LIMITED PARTNERSHIP FOR ) APPROVAL OF POWER PURCHASE ) JOINT PETITION OF AVISTA AGREEMENT ) CORPORATION AND FORD HYDRO LIMITED PARTNERSHIP Avista Corporation("Avista")and Ford Hydro Limited Partnership("Ford Hydro") (collectively, the "Parties") hereby petition the Idaho Public Utilities Commission ("Commission") for an order approving the Power Purchase Agreement ("Agreement") between Avista and Ford Hydro. Nature of Businesses Avista is a corporation created and organized under the laws of the State of Washington with its principal office in Spokane,Washington. Avista is an investor-owned utility engaged in, among other things, the business of generating, transmitting, and distributing electric power to wholesale and retail customers in Idaho and Washington. Avista also provides natural gas service to customers in Idaho, Washington, and Oregon. As such, Avista's rates, charges, services and practices are regulated, in part, by this Commission. Ford Hydro operates a hydroelectric generating unit(s) near Weippe, Idaho ("Facility"). The Facility is capable of generating up to approximately 1.499 MW of energy. The Facility is a Qualifying Facility pursuant to the Public Utility Regulatory Policies of Act of 1978 ("PURPA"). Page - 2 JOINT PETITION OF AVISTA CORPORATION AND FORD HYDRO LIMITED PARTNERSHIP 3. Description of the Agreement The Agreement replaces a prior power purchase agreement between the Parties which expires in accordance with its terms on June 30, 2026.1 If approved by the Commission,the term of the Agreement will commence on July 1,2026 and shall continue for a period of three years such that the Agreement will expire by its terms on June 30, 2029. The Agreement submitted in this filing is a renewal that will, subject to Commission approval, be effective upon the expiration of the Original Agreement. 1 The prior power purchase agreement,as amended,was approved by the Commission in Order No. 36282, subject to certain modifications,and by Final Order No. 36310 in compliance of those modifications, with an effective date of July 1,2024. Page - 3 JOINT PETITION OF AVISTA CORPORATION AND FORD HYDRO LIMITED PARTNERSHIP The Agreement is substantially similar to the power purchase agreement that it replaces. The Parties have updated the Agreement to be consistent with Commission precedent. Updates to the Agreement include, (i) a three year term, replacing a two year term of the expiring contract, (ii) updates consistent with Amendment No. 1 to the Power Purchase Agreement, filed July 23, 2024; and approved by the Commission under Order No. 36310. The term of the Agreement is for a period of three years from the Effective Date. As discussed above this Agreement replaces the prior power purchase agreement, which expires by its terms on June 30, 2026. Avista and Ford Hydro respectfully request that the Commission issue an order approving the Agreement with an Effective Date of July 1, 2026. 5. Conclusion Avista and Ford Hydro,jointly respectfully request that the Commission issue an order accepting the Agreement as set forth herein. Respectfully submitted this 30th day of March, 2026.
