Please describe the circumstances under which Avista expects Clearwater to generate Incremental
Energy. Please be as specific as possible and give examples if necessary.
RESPONSE:
Incremental Energy will be generated when two conditions are met. First, Avista would request
Clearwater to generate Incremental Energy. Second, Clearwater and Avista would agree to aprice
for the Incremental Energy. In order for those conditions to be met, wholesale market power
prices would have to be higher than the cost of Clearwater's additional generation so that Avista's
customers and Clearwater benefit from the deal. This may occur during periods of high customer
load due to very cold or very hot weather and/or a combination of high loads and significant plant
outages in the Northwest. For example, a sustained Northwest heat wave, in conjunction with the
loss of one or more Colstrip generating units, could lead to wholesale power prices that are above
the marginal cost of generation for Clearwater.

Please clarify the difference between Excess Energy and Incremental Energy.
RESPONSE:
Excess Energy, as defined in the Electric Service Agreement, is the condition where Clearwater
generates more electric power than is required to meet its own obligations. Under the terms of the
Agreement, Avista would credit Clearwater for any excess kWhs generated during a billing period
in a manner consistent with Schedule 63 (net metering). See the Company's response to Staff-04
which states that for Clearwater, there has not been a single hour of Excess Energy between 2005
and present.
Incremental Energy, on the other hand, is energy generated at Avista's request at a mutually
agreed-upon price. This is energy that is above what Clearwater is generating at the time of
Avista's request, and such energy would be deemed to be Incremental Energy, even if such
generation does not exceed Clearwater's load.
