10 Avista Corporation, doing business as Avista Utilities (hereinafter Avista or the
11 Company), at 1411 East Mission Avenue, Spokane, Washington, pursuant to Section 61-901
12 and 61-902, Idaho Code (Laws of 1951, Chapter 143), respectfully requests that the
13 Commission issue an order authorizing the proposed issuance by the Applicant of up to
14 1,580,000 authorized but unissued shares of its Common Stock. The additional shares will be
15 issued under the Applicant's Long-Term Incentive Plan (LTIP). The requested authority is in
16 addition to the authority previously granted by the Commission for the issuance of Common
17 Stock under the LTIP in Order No. 33401 in Case No. AVU-U-15-01 entered October 23,
18 2015, under which 1,113,489 shares remain authorized but unissued, for a total of 2,693,489
19 additional shares (such 2015 Order being similarly supplemental to a succession of previous
20 offers commencing in 1998).

13 (c) General description of business, property, and territory served:

15 Avista is a public utility which owns and operates property in Northern Idaho, Eastern
16 Washington, Central and Southwest Oregon and Western Montana. Avista is engaged
17 in the generation, transmission, distribution, and sale of electric energy, which it sells
18 at retail to approximately 424,000 residential, commercial, and industrial customers in
19 Northern Idaho, Eastern Washington and Western Montana, and at wholesale to public
20 utilities, municipalities and others. The Company's electric properties are operated as
21 a unified system and are interconnected with adjacent electric utilities. The electric
22 energy sold by Avista is generated in power stations,which it owns in whole or in part,
23 or obtained by purchase or exchange from other utilities and governmental agencies.
24 Avista is also engaged in the distribution and sale of natural gas to approximately
25 383,000 residential, commercial and industrial customers in Northern Idaho, Eastern
26 Washington and Central and Southwest Oregon.

30 Pursuant to IDAPA 31.01.01 Rule 142 of the Rules of Practice and Procedure, the
31 Company hereby files the application filed with the Washington Utilities and
32 Transportation Commission as Exhibit"D-1" in lieu of the application required by Rule
33 141. Applicant further states that:

35 (1) Applicant has published or will have published within seven days of the date of
36 filing this Application a notice in those newspapers listed in Rule 141.08 of the
37 Rules of Practice and Procedure of the Idaho Public Utilities Commission that are
38 in general circulation in Applicant's Idaho service area.
