COMMISSION STAFF ("STAFF") OF the Idaho Public Utilities Commission
("Commission"), by and through its attorney of record, Jeffrey R. Loll, Deputy Attorney
General, submits the following comments.
BACKGROUND
In Order No. 36701, the Commission directed Staff to investigate whether Rivervine
Water& Sewer, LLC ("Company") is operating as a public utility and if any steps should be
taken by the Company to comply with Idaho law.
The Commission also directed the Company to respond to discovery questions and
inquiries made by Staff and notified the Company that Staff would make a recommendation to
the Commission regarding the Company's status, the necessity of a Certificate of Public
Convivence and Necessity("CPCN"), and any further recommendations regarding the adequacy
of service and rate setting.
STAFF COMMENTS 1 DECEMBER 16, 2025
STAFF ANALYSIS
Staff reviewed the Company's documents provided in response to Staff Production
Requests and other sources.' Based on its review, Staff recommends the Commission(1) find
that the Company is a water corporation operating as a public utility in Idaho; and(2) issue the
Company a CPCN. Further, Staff recommends that the Commission set rates at the Company's
currently charged rates as submitted in the Company's response to Staff Production Request No.
5, and to order the Company to submit a compliance filing that includes a proper tariff and other
necessary documents.2 Lastly, Staff recommends the Commission open a separate docket for
Staff to review the Company's water rates and the reliability of its water system.
Staff believes the Company is a public utility as defined by Idaho Code § 61-129(1). A
public utility is an entity that is dedicated to serving the general public in its service area. The
term public utility is defined to include water corporations. A water corporation according to
Idaho Code §61-125, includes every corporation"owning, controlling, operating, or managing a
water system for compensation" in Idaho. Idaho Code § 61-125.
Exceptions for corporations that do not qualify as a public utility include municipal
corporations, mutual nonprofits, cooperatives, or any other public utility that operates for service
at cost and not for profit. Idaho Code § 61-104. The Company is not on record with the
Secretary of State as a non-profit organization, is not operating for service at cost, and is not a
mutual nonprofit, municipal corporation, or a cooperative. Therefore, the Company is not
operating as any of the exceptions and should be regulated.
Additionally, Staff used the following list of non-exclusive criteria that can be used for a
final determination in this case:
1. Is the Company a non-profit organization or a co-op?
2. Does the Company operate for the service of the customers and not for
compensation?
3. Is the Company owned by its customers?
4. Do the customers have control or input into establishing the rates charged by the
Company?

5. Do the customers have control or input into the operations and capital expenditures of
the Company?
The Company is a corporation organized in the State of Idaho. The customers do not
own the water system; therefore, have no say on the operations and control of rates for water
service. Since customers cannot control the operations of the Company, Staff believes the
Company is a public utility operating and managing the water system for compensation.
Staff reviewed two potential statutory exceptions that could have applied to the
Company. First, while the customers are part of a homeowners association("HOA"), the HOA
does not own or operate the water system. An HOA-owned water system that operates for
service at cost and not for profit may be exempt from regulation. This exemption does not apply.
Second, the Company service area is located less than one mile from the Star Sewer and Water
District. Water districts formed under Idaho Code Title 42 are generally exempt from
Commission regulation,but the Company is not a water district and is not owned or operated by
one. Therefore, the Company should be regulated.
In making its recommendation, Staff reviewed prior Commission cases. In Case No.
MUR-W-14-01, Murray Water became a non-profit association of water users, where every
customer became a member of the association. In Case No. CCH-W-15-01, Country Club Hills
became a water and sewer district, where the directors were voted in by the customers in the
district. In Case No. PKS-W-15-01, Packsaddle Estates was converted to a non-profit, and the
Commission ruled in Order No. 33603 against further regulation because the Company"has
customers who are members of the Company, with each customer having one vote." Order No.
33603 at 6. In Case No. GNR-U-22-03, Sunnyside Park Utilities transitioned into a non-profit
corporation of water users, and the Commission ruled in Order No. 35737 that the Company is
"not subject to the Commission's regulatory authority because it is organized and operated for
service at cost and not for profit." Order No. 35737 at 7. In each of these cases, the Commission
either cancelled or declined to issue a CPCN; however, the Company does not meet the
exceptions and should be a regulated utility.

Legal Description of Certificated Area
Staff verified the Company's legal description of the proposed certificated area provided
in the Company's Response to Staff s Production Request No. 1 and Staff believes the
information is accurate. The Company serves water to Rivervine Subdivision Nos. 1 and 2 and
these property records are defined by the Ada County Recorder's Office in Idaho ("Ada
County").3 The legal description of the Company's certificated area and the service area map are
provided in Attachment Nos. A and B to Staff Comments. The official property records for
Rivervine Subdivision Nos. 1 and 2,provided by Ada County, are also included in Attachment
Nos. C and D, respectively.
STAFF RECOMMENDATION
Staff recommends the Commission find that the Company is a public utility under its
regulatory jurisdiction pursuant to Idaho Code Title 61 and issue the Company a CPCN.
Staff recommends the Commission designates the service area within the CPCN to
include (1) the legal descriptions provided in Attachment A, and(2)the service area map
included as Attachment B.
Additionally, Staff recommends the Commission set rates at the Company's currently
charged rates as submitted in response to Staff Production Request No. 5, and to order the
Company to submit a compliance filing that includes: a tariff, a notice to customers regarding
regulation, a billing statement, an initial disconnection notice, a final disconnection notice, a
notice of procedure for reconnection, and a summary of rules.
Lastly, Staff recommends the Commission open a separate docket for Staff to evaluate
whether the Company's rates are fair,just, and reasonable, and to perform a reliability analysis
of its water system.
