RESPONSE: Please see Avista's response 007C, which contains TRADE SECRET, PROPRIETARY or CONFIDENTIAL information and exempt from public view and is separately filed under IDAPA 31.01.01, Rule 067 and 233, and Section 9-340D, Idaho Code, and pursuant to the Protective Agreement between Avista and IPUC Staff dated June 4, 2015. Staff_PR_007C Confidential Attachment A and B, respectively, include detail of system legal and professional service expenses incurred by the Company during 2014, excluding those charged to Non-Utility. Please note the internal legal expenses have been included in Staff_ PR_007 Attachment A, and therefore excluded from Staff_PR_007C Confidential Attachment A.) Staff_PR_007 Attachment A includes system detail of internal legal labor expenses incurred by the Company during 2014. Total external legal expenses for the twelve month period ended December 31, 2014 was $1,717,489.95, of which approximately $388,430, was allocated to Idaho Electric and $73,198 to Idaho Natural Gas. Total internal legal expenses for the twelve month period ended December 31, 2014 was approximately $1,029,654, of which $235,627, was allocated to Idaho Electric and $59,682 to Idaho Natural Gas. A general description of the majority of work performed for Avista in 2014 as follows: Balch & Bingham LLP – Provided counsel on pole attachment issues. Cascadia Law Group – Provides counsel on general water rights and environmental issues. Christopher J. Soelling, PLLC – Provided counsel on litigation. Davis Wright Tremaine LLP – Primary counsel to the Company with respect to commercial matters and transactions, miscellaneous commercial litigation, energy resources, IT, hydro relicensing, financing and employment and employee benefits issues. Deborah King Law Office – Provided counsel on general matters relating to operations. Garlington Lohn & Robinson – Provided counsel on Montana streambed issues and litigation. Garvey, Schubert, Barer – Provided counsel on IT. K&L Gates LLP – Provided counsel on real estate, construction and Dodd Frank. Keller and Heckman, LLP – Provided counsel on FCC matters. Lee & Hays PLLC – Provided counsel on Intellectual Property issues. McDowell, Rackner & Gibson PC – Provided counsel on litigation matter. Miller & Chevalier Chartered – Provided counsel on tax issues. Ogletree, Deakins, Nash, Smoak & Stewart, PC – Provided counsel on compensation matters including counsel on preparation of portions of the Proxy. Paine Hamblen LLP – Local counsel providing general litigation support on a variety of corporate matters including claims and tribal matters. Pillsbury Winthrop Shaw Pittman – Provided counsel on financing and SEC matters. Randall Danskin Attorneys – Provided counsel on a variety of labor and employment issues. Stoel Rives - Counsel to the Company on FERC license matters, Endangered Species Act matters, employee welfare benefit issues and water rights. Sutherland, Asbill & Brennan LLP – Provided counsel on Montana litigation. Van Ness Feldman – FERC counsel providing representation on a variety of matters, including western power market issues, rulemakings, etc. Winston & Strawn LLP – Provided counsel on FERC hydro matters. Staff_PR_007C Confidential Attachment B includes system detail of professional service expenditure type incurred by the Company during 2014, excluding those charged to Non-Utility. The total expenses recorded under the professional service expenditure type for the twelve month period ended December 31, 2014 was $11,104,842, of which approximately $2,564,657, was allocated to Idaho Electric and $556,724 to Idaho Natural Gas.
