MELANSON,DEPUTY ATTORNEY GENERAL DATE: NOVEMBER 5, 2025 SUBJECT: IN THE MATTER OF FYBERCOM LLC'S NOTICE OF INDIRECT TRANSFER OF CONTROL OF FYBERCOM LLC; CASE NO. FYB-T-25- 01. On July 23, 2025, FyberCom, LLC dba FyberCom ("Company") and FyberCom Holdco, Inc ("FyberCom Holdco") filed a joint Notice of the Indirect Transfer of Control of FyberCom LLC ("Notice") with the Idaho Public Utilities Commission("Commission"). STAFF ANALYSIS Commission Staff("Staff") reviewed the Notice and attached Exhibits. In its filing, the Company provided notice to the Commission that FyberCom Holdco had acquired parent-level and ultimate control of the Company. Application at 1. The Company stated that it would continue to provide service to its customers and would retain its licenses and assets. Id. The only change Staff identified in the Notice was the control of the Company at the parent level. FyberCom Holdco and the Company stated that this transaction was in the public interest because it would provide capital that would help maintain, improve and expand the network and services of the Company. Id. Both entities believed that this transaction would not have any adverse effects and would benefit competition in the State of Idaho. Id. Additionally, Staff noted that the Company holds a certificate of public convenience and necessity("CPCN"). FyberCom Holdco has not asked for the Company's CPCN to be transferred. RECOMMENDATION Staff recommends that the Commission acknowledge the Notice submitted by the Company and FyberCom Holdco.
