10 Avista Corporation, doing business as Avista Utilities (hereinafter Avista or the
11 Company), at 1411 East Mission Avenue, Spokane, Washington, pursuant to Section 61-901
12 and 61-902, Idaho Code (Laws of 1951, Chapter 143), respectfully requests that the
13 Commission issue an order authorizing the proposed offering, issuance and sale by the
14 Applicant of up to 5,500,000 authorized but unissued shares of its Common Stock. The
15 requested authority is in addition to the authority previously granted by the Commission for
16 the issuance and sale of Common Stock in Order No.35862 in Case No.AVU-U-23-02 entered
17 July 25, 2023, under which 584,042 shares remain authorized but unissued.

10 (c) General description of business,,property, and territory served:

12 Avista is a public utility which owns and operates property in Northern Idaho, Eastern
13 Washington. Central and Southwest Oregon and Western Montana. Avista is engaged
14 in the generation, transmission, distribution, and sale of electric energy, which it sells
15 at retail to approximately 422,000 residential, commercial, and industrial customers in
16 Northern Idaho,Eastern Washington and Western Montana, and at wholesale to public
17 utilities, municipalities and others. The Company's electric properties are operated as
18 a unified system and are interconnected with adjacent electric utilities. The electric
19 energy sold by Avista is generated in power stations, which it owns in whole or in part,
20 or obtained by purchase or exchange from other utilities and governmental agencies.
21 Avista is also engaged in the distribution and sale of natural gas to approximately
22 383,000 residential, commercial and industrial customers in Northern Idaho, Eastern
23 Washington and Central and Southwest Oregon.

27 Pursuant to IDAPA 31.01.01 Rule 142 of the Rules of Practice and Procedure, the
28 Company hereby tiles the application filed with the Washington Utilities and
29 Transportation Commission as Exhibit"D-1" in lieu of the application required by Rule
30 141. Applicant further states that:
31 (1) Applicant has published or will have published within seven days of the date of
32 filing this Application a notice in those newspapers listed in Rule 141.08 of the
33 Rules of Practice and Procedure of the Idaho Public Utilities Commission that are
34 in general circulation in Applicant's Idaho service area.
