MNL-T-24-01 MILLENNIUM NETWORKS, LLC TO ) DEMONSTRATE SATISFACTION OF ) ORDER NO. 36484 REQUIREMENTS TO HOLD CPCN ) CERTIFICATE NO. 494 ) On December 17, 2024, Millennium Networks, LLC ("Company") submitted a Petition to the Idaho Public Utilities Commission ("Commission") to demonstrate that it still meets the requirements necessary to hold its Certificate of Public Convenience and Necessity("CPCN")No. 494 ("Petition"). This Petition was in response to the Commission's review of an asset transfer between the Company and CTC Telecom, Inc. ("CTC") and the Commission's subsequent Order. See Order No. 36077. BACKGROUND On May 26, 2023, CTC applied to amend its CPCN No. 348 to relinquish the right to provide voice and broadband services via fiber in Ada County, Idaho. In support of this request, CTC disclosed that it had sold the telecommunications equipment and facilities used to provide those services in Ada County to the Company. In response, Commission Staff ("Staff') recommended the Commission open a new case to review the asset transfer in light of Idaho Code § 61-328 and previous Commission orders. In a subsequent Commission order, the Company was ordered to file this Petition, with supporting materials, to demonstrate that it still satisfies the requirements for operating under a CPCN after purchasing all the assets of CTC. Order No. 36077 at 6. THE PETITION The Company reported serving over 4,000 residential and commercial customers across multiple counties. The Company stated that it primarily uses fiber optic facilities. The Petition explained that the Company is a Wyoming limited liability company—with proper registration as a foreign entity in Idaho. The Petition included required details about service territory, corporate officers, financial information, and other documentation to comply with regulatory requirements. ORDER NO. 36484 1 STAFF ANALYSIS Staff analyzed the Petition and believed that the Company meets and understands Commission requirements for telecommunication services in Idaho. Staff stated that the Company successfully demonstrated the financial, managerial, and technical qualifications needed to maintain CPCN No. 494 for competitive local exchange telecommunications services. Staff noted that CPCN No. 494 was originally granted on March 17, 2010,pursuant to Order No. 31027. Staff also stated that the Company has continuously operated under CPCN No. 494 since that time. COMMISSION FINDINGS AND DECISION Having reviewed the record and the Company's Petition, the Commission finds that the Company has complied with Order No. 36077. We confirm that the Company is qualified to provide its services under CPCN No. 494. ORDER IT IS HEREBY ORDERED that the Company's qualifications to operate under CPCN No. 494 are hereby confirmed. THIS IS A FINAL ORDER. Any person interested in this Order may petition for reconsideration within twenty-one (21) days of the service date of this Order about any matter decided in this Order. Within seven (7) days after any person has petitioned for reconsideration, any other person may cross-petition for reconsideration.Idaho Code § 62-619.
