Dear Ms. Jewell:

Please accept this letter as notification that William Koca ("Koca"), President of
Integrated Services, Inc. ("ISI") is transferring control to Larry Gilleland ("Gilleland"). ISI’s
long distance tariff was accepted by Idaho on June 18, 2006.

Pursuant to the Stock Purchase Agreement, Larry Gilleland will acquire control of
ISI through the purchase of 100% of the issued and outstanding stock of William Koca. The
company will continue to operate as Integrated Services, Inc. and only the underlying
ownership of ISI will change as a result of this transaction. The transaction will not result in
a change in the manner in which ISI provides services to its customers, in that it will
continue to provide service under the rates, terms and conditions it currently offers to its
customers.
