Box 83720 4 72 West Washington Boise, Idaho 83720-0074 RE:Frontier Communications Notification of a Parent Company Transaction Dear Ms. Jewell: As you know, Frontier Communications Corporation ("Frontier ) and Verizon Communications Inc. ("Verizon ) undertook a transaction ("Transaction ) in which Frontier was to acquire Verizon s local telephone operations in Idaho and local telephone operations in several other states through a parent company merger. Frontier is pleased to inform the Commission that the transaction closed today, July 1 2010. The Transaction affects the Idaho service territory and services provided by Verizon s Idaho incumbent local exchange carrier, Verizon Northwest Inc. Frontier has become the parent of Verizon Northwest. Verizon Northwest Inc. serves approximately 101 000 lines in Idaho. Frontier s existing Idaho ILEC, Citizens Telecommunications ofldaho dba Frontier Communications of Idaho, with approximately 18 000 lines, will continue to operate in the state as a separate, indirect subsidiary of Frontier. On March 31 , 2010 New Communications Online and Long Distance Inc. ("NewLD") filed a registration with the Idaho Public Utilities Commission to provide long distance services in the state. Verizon s long distance customers residing within the Verizon Northwest's footprint were transferred to NewLD. At close of the Transaction, NewLD also became a subsidiary of Frontier. Verizon Northwest's tariffs and price lists will not change as a result of the Transaction nor will wholesale and retail agreements that existed at close of the Transaction. In the coming days, Frontier will change the names of the transferred Verizon operating companies. Verizon Northwest Inc. will become Frontier Communications Northwest Inc. New Communications Online and Long Distance will become Frontier Communications Online and Long Distance Inc. At that time, Frontier will issue new tariffs and price lists (retaining same rates , terms and conditions) reflecting the name changes and cancel the former tariffs and price lists applicable to the transferred companies.
