COMES NOW, Idaho Power Company ("Idaho Power" or "Company"), and in
response to the First Production Request of the Commission Staff ("Commission" or
"Staff") dated November 29, 2024, herewith submits the following information:
IDAHO POWER COMPANY'S RESPONSE TO THE FIRST PRODUCTION REQUEST OF THE
COMMISSION STAFF - 1
REQUEST FOR PRODUCTION NO. 1: Please provide the signed Purchase and
Sale Agreement that details the "Intentionally Deleted" portions for the following sections:
a. 3.1.3;
b. 3.2;
c. 8.2;
d. 8.3.1;
e. 8.3.3;
f. 8.7; and
g. 8.8
RESPONSE TO REQUEST FOR PRODUCTION NO. 1: Please see Attachment
1 to the Application for a copy of the signed Purchase and Sale Agreement. Idaho Power
utilizes a standard Purchase and Sale Agreement template whenever possible. Because
Sections 3.1.3, 3.2, 8.2, 8.3.1, 8.3.3, 8.7, and 8.8 were not applicable to this transaction,
these items were removed from this Purchase and Sale Agreement. The following
summarizes the title of the previously identified sections that may apply to other purchase
and sale agreements and therefore is included in the Company's template:
• 3.1.3 — Title Condition. Buyer shall have approved the condition of the title
to the Property subject only to the Permitted Exceptions as further set forth
in Section 6, below.
• 3.2 — Title Policy. The Title Company (defined below) shall be prepared to
issue the Title Policy (Defined below) as of Closing subject only to the
Permitted Exceptions (defined below).

• 8.2 — Escrow Agent. The escrow agent for this transaction shall be
(Attention: ) whose address is
("Escrow Agent").
• 8.3.1 — Title Policy. An ALTA Owner's Policy of Title Insurance (current
version) in the full amount of the Purchase Price insuring fee simple title to
the Property (including any appurtenant easements) is vested in Buyer or
Buyer's assignee, subject only to the Title Company's standard printed
exceptions and the Permitted Exceptions ("Title Policy").
• 8.3.3 — Non-foreign Person Affidavit. A non-foreign person affidavit
pursuant to Section 1445 of the Internal Revenue Code, in form and
substance acceptable to Buyer, duly executed.
• 8.7— Pro-rations. The following items shall be prorated as of Closing: (i) real
property taxes, any other taxes, and water assessments, using the last
assessments available prior to Closing; and (ii) utilities. If the actual
amounts of any items are not known at Closing, such items shall be
apportioned as of Closing based on estimates and pro-rated when actual
amounts are determined.
• 8.8— Escrow Agent's Obligations. Escrow Agent shall record the documents
to be recorded in the order required by the parties and shall carry out
Closing in strict compliance with instructions provided by the parties.

REQUEST FOR PRODUCTION NO. 2: Please provide a list of all assets, including
land and improvements, included in the transfer by ID, year in service, installed valuation,
and current book value.
RESPONSE TO REQUEST FOR PRODUCTION NO. 2: In 1985, Idaho Power
purchased 150.03 acres of land in Valley County, Idaho, from the Union Pacific Railroad
Company. This land is associated with Idaho Power asset identification number
000000036435 with an original cost of $100,126.00 reflecting the $100,000.00 purchase
price of the land and $126.00 in related transaction costs. A copy of the original Purchase
and Sale Agreement is included in Attachment 1 to the Company's Response to Request
for Production No. 4.
There are no additional assets associated with the transaction and there have
been no improvements to the land since Idaho Power's initial purchase. The Company
has, however, conveyed portions of the 150.03 acres of land since the original purchase
therefore the current book value of the remaining 58.17 acres of land is $62,428.43.

REQUEST FOR PRODUCTION NO. 3: Please indicate whether additional
transfers are planned in the general vicinity of this proposed transfer. If so, please provide
an explanation of potential transfers, location, and when they may occur.
RESPONSE TO REQUEST FOR PRODUCTION NO. 3: No additional transfers
are planned in the general vicinity of this transaction as no additional property owners
have approached Idaho Power about the potential purchase of land.

Agreement with Union Pacific Railroad Company and the Response to Staff Request No.
4 — Attachment 2 for a copy of the Quick Claim Deed.

REQUEST FOR PRODUCTION NO. 5: Please indicate whether any of the land
referred to in this case is currently used and useful.
RESPONSE TO REQUEST FOR PRODUCTION NO. 5: The land referred to in
this case is classified within Federal Energy Regulatory Commission ("FERC") Account
105, Electric Plant Held for Future Use. The Company has plans to utilize portions of this
Valley County land acquired from Union Pacific Railroad Company for future transmission
lines in the coming years. At times, the Company must acquire land in advance of
construction to continue to provide safe, efficient, and reliable electric service to
customers.

REQUEST FOR PRODUCTION NO. 6: Please indicate whether there are current
plans to use the easement rights in the future.
RESPONSE TO REQUEST FOR PRODUCTION NO. 6: Currently, Idaho Power
does not have specific plans to utilize the transmission easement rights associated with
the land subject to sale. However, the Company will retain the associated easement
rights, with an estimated historical value of $574.17 (see the Company's Response to
Request for Production No. 10), for potential future use.

REQUEST FOR PRODUCTION NO. 7: Please indicate how the value of
$1,148.33 was calculated for electric plant held for future use.
RESPONSE TO REQUEST FOR PRODUCTION NO. 7: The value of $1,148.33
for the land subject to sale was derived based upon the current cost per acre of the
remaining land asset. The current book value of the remaining 58.17 acres of land is
$62,428.43, resulting in a $1,073.21 per acre value. Applying the $1,073.21 per acre
value to the 1.07 acres subject to sale yields the $1,148.33 transaction value.

REQUEST FOR PRODUCTION NO. 8: Please explain how the values of $30 for
closing costs and $800 for selling costs were determined. Please provide supporting
documentation.
RESPONSE TO REQUEST FOR PRODUCTION NO. 8: The $30 in closing costs
represents the Company's estimated cost for recording the deed. Costs for deed
recording are based upon the number of pages, with the price of the first page is $15 and
each additional page is $3 per State of Idaho recording requirements.
The $800 in selling costs represents estimated internal real estate labor costs
associated with coordinating and facilitating the sales transaction. An hourly labor rate of
$80 was applied to the estimated 10 labor hours, yielding approximately $800 in
estimated internal labor costs to be associated with this sales transaction.

REQUEST FOR PRODUCTION NO. 9: Please explain how the market value of
$1,900 for the land that is the subject of the Real Estate Purchase and Sale Agreement
was determined. Please explain if the Company obtained a property appraisal from a
certified real estate appraiser, and if not, why not?
RESPONSE TO REQUEST FOR PRODUCTION NO. 9: The agreed upon sale
price of $1,900 was developed based upon an estimate of agricultural land in Valley
County, which appears to be in the range of$3,500—$7,500 per acre. Due to the irregular
shape of the property and Idaho Power's reserved transmission easement, the market
value of the property subject to sale is substantially reduced to an amount closer to the
agreed upon $1,900 sales price for 1.07 acres.

REQUEST FOR PRODUCTION NO. 10: Please explain how the value of the
easement of $574.17 was calculated. Please provide supporting documentation
RESPONSE TO REQUEST FOR PRODUCTION NO. 10: The estimated value of
the easement to be retained by Idaho Power is based upon the Company's remaining
historical book value of the land and estimated transmission line easement valuation. To
value transmission line easements, the Company applies a 50 percent reduction to the
land owned in fee valuation. Applying this 50 percent reduction to the Company's
remaining historical book value of the associated land asset subject to sale of $1,148.33
(see the Company's Response to Production Request No. 7) yields the $574.17
estimated historical value of the transmission easement to be retained by Idaho Power.

Dear Mr. Biaggne :
This letter is to confirm the understandings reached
between Union Pacific Railroad Company (Union Pacific) and Idaho
Power Company (Purchaser) covering possible conveyance by Union
Pacific to the Purchaser of certain property (Property) , as
hereinafter defined, in Valley County, Idaho .
The undersigned is willing to recommend to Union
Pacific' s Management, a sale of the Property subject to the
following terms and conditions:
( 1) Description of Property:
The Property to be conveyed shall consist of various
parcels, totaling approximately 150 . 03 acres, as shown
shaded yellow on the print attached hereto marked
Exhibit "A" . The area to be conveyed has been determined
from a preliminary review of existing deed and title
records . In the event the Purchaser requires a legal
description based on a field survey of the property,
such field survey shall be performed by the Purchaser at
its sole cost and expense.
(2) Consideration - Sale Price:
The sale price ( Sale Price) for the Property shall be
one hundred thousand dollars ($100, 000. 00) .
(3) Conveyance:
The Property will be conveyed by a Quitclaim Deed,
substantially in the form attached hereto as Exhibit
"B" , subject to all conditions, restrictions, reserva-
tions, easements and encumbrances, of record, applicable
to the Property.
(4) Title Insurance:
Union Pacific will not furnish Title Insurance nor an
Abstract of Title to the Property.
(5) Improvements:
The Property to be conveyed is land only and no improve-
ments shall be conveyed. It is understood that certain
licenses and/or leaseholds may presently encumber the
Property. Union Pacific is agreeable to either furnish-
ing appropriate notices of termination to such tenants
in accordance with existing documents or assigning all
of its right, title and interest in and to such docu-
ments to the Purchaser.
(6) Minerals and Mineral Rights:
It is understood that Union Pacific has previously
transferred all of its right, title and interest in and
to the minerals and mineral rights applicable to the
Property. Thus, no minerals or mineral rights will be
conveyed.
(7) Submission to Union Pacific Management:
Following receipt of the Purchaser' s acceptance and
approval of this Letter of Understanding, I will submit
this proposal to Union Pacific ' s Management for review
and approval . If the Letter of Understanding and the
sale contemplated herein is approved by Management, I
will arrange for appropriate documentation and a closing
date will be established. -
(8) Closing:
This transaction shall close within three months of the
acceptance hereof. The Sale Price mentioned herein is
contingent upon the closing of this transaction on or
before the close of such three-month period. In the
event this transaction has not closed on or before such
date, then the parties hereto may renegotiate such Sale
Price, but in no event shall the Sale Price be lower
than the figure provided for herein.
If the foregoing reflects your understanding of the
arrangement reached between Union Pacific and the Purchaser with
respect to the purchase/sale of the Property, please secure the
execution of this Letter of Understanding and return to me the
copy of this letter marked "Duplicate Original-Railroad Company"
advising the correct legal identification for the entity in which
the Purchaser desires to take title to the Property.

Valley County, Idaho, and being all that certain tract of land
heretofore acquired by the Idaho Northern Railway Company
