PacifiCorp is a wholly-owned indirect subsidiary of Berkshire Hathaway Energy Company (`BHE"). BHE is a subsidiary of Berkshire Hathaway, Inc. RC Willey is also a subsidiary of Berkshire Hathaway, Inc., thus creating an affiliated interest relationship between PacifiCorp and RC Willey. PacifiCorp is building a 40-mile double circuit 345-kilovolt transmission line from Limber to Terminal in Utah. The line's route will cross through existing RC Willey land(tax parcels nos. 14-01-151-007-0000, 14-01-151-009-0000 and 14-01-176-001-0000). Securing access to these parcels by the purchase of easements is critical for completing the proposed route. The cost of this transaction is based on the anticipated rates for land in the area derived from commercial land valuations. PacifiCorp will pay $2,815,000.00 for the perpetual easements as contracted. Obtaining the easements is in the public interest as it will increase capacity and improve system reliability thereby benefiting the electric grid in the region.Without the easements, PacifiCorp cannot meet its obligation to continue to provide safe and reliable electric service. As the property owner, RC Willey is the only entity that can provide the easements to PacifiCorp. The purpose (the "Easement's Purpose") of the Easement is to allow Grantee to, and Grantor does hereby grant to Grantee, at Grantee's sole cost and expense, the right to, construct, reconstruct, operate, maintain, relocate, enlarge, alter and remove electric power lines, communication lines and related equipment, including supporting towers and poles, guy anchors, conductors, wires, cables and other lines and all other necessary or desirable equipment, accessories and appurtenances thereto on, over, and under the Easement Area. In the event any such reconstruction or relocation is necessary, Grantee shall provide to Grantor reasonable advance notice thereof, accompanied by a reasonable explanation and justification therefor. Grantor makes no representation or warranty of any kind under this instrument regarding the Easement, including, without limitation, any representation or warranty as to the condition of the Easement Area or as to the suitability of the Easement Area for Grantee's intended purposes. Grantee takes the conveyance in this instrument subject to the "as is" condition of the Easement Area and title thereto. 2. Access. Grantee shall have a right of access along the northly line of the Easement Area as reasonably required, and within the Easement Area, to carry out the Easement's Purpose. Grantor may not fence the Easement Area or prevent access to pole and structure locations by persons,vehicles or equipment of Grantee, except as otherwise agreed to in writing by Grantee. The foregoing right of access is intended to run with and burden the Easement Area unless expressly released in writing by Grantee.Any action taken by Grantee pursuant to this instrument shall be performed in a good and workmanlike manner, diligently prosecuted to lien-free completion and paid for in full as and when due. Concurrently with the completion of any activities on the Easement Area, Grantee shall, in a good and workmanlike manner, restore all property (including all surface and other improvements) affected to reasonably the same condition as existed prior to the commencement of such activities, using the same type and quality of materials Page 1 of 6 previously used, and clean up any construction debris, excepting: (a) any improvements not allowed in the Easement Area as described in Paragraph 4; and (b)any landscaping or surface improvements surrounding poles and structures that impede Grantee's ability to inspect, maintain and repair its facilities. 3. Indemnification: Liens. Grantee shall indemnify,defend and hold harmless Grantor and its officers, directors, employees, agents, successors and assigns from and against any claim, liability, loss, damage, cost or expense (including, without limitation, reasonable attorneys' fees and costs) caused by or arising out of Grantee's exercise of its rights under this instrument, including, without limitation, any personal injury,death or property damage,whether resulting from any initial or subsequent work performed pursuant to this instrument, or any breakage, malfunction, settling or other occurrence following any such work. Grantor shall indemnify, defend and hold harmless Grantee and its officers, directors, employees, agents, successors and assigns from and against any claim, liability, loss, damage, cost or expense (including, without limitation, reasonable attorneys' fees and costs) caused by or arising out of Grantor's exercise of its rights under Paragraph 4 of this instrument, including,without limitation,any personal injury, death or property damage. Within thirty(30)days following the imposition of any lien resulting from such exercise, Grantee shall cause such lien to be released of record by payment of money or posting of a proper bond. 4. Grantor's Use of the Easement Area. Grantor reserves the right to use the Easement Area for any purpose that will not interfere with the Easement's Purpose. Specifically, Grantor shall have the right to construct and maintain any non-building improvements on the Easement Area, including, without limitation, landscaping, sidewalks, walkways, trails, bike paths, driveways, curb and gutter, parking lots and other utilities that do not interfere with Grantee's utilities, and to have pedestrian and vehicular ingress and egress and vehicular parking on, over and across the Easement Area; provided, that Grantor shall not, within the Easement Area: (a)construct any building or structure of any kind or nature; (b)excavate closer than fifty(50)feet from any pole or structure; (c)excavate anywhere within the Easement Area in a manner that undermines or removes lateral support from any Grantee pole or structure, or that prevents or impairs Grantee's access to any such pole or structure; (d) store or stockpile materials of any kind, including flammable or hazardous materials; (e) use or park any equipment, vehicles or trailers that exceed fourteen (14) feet in height; (f)materially increase tine existing ground elevation; (g) light any fires;or(h)otherwise use the Easement Area in any manner that violates the National Electrical Safety Code or Grantee's safety clearance standards, as may be amended from time to time. 5. Vegetation Management.Grantee shall have the right to prune or remove vegetation within the Easement Area which, in its reasonable opinion, interferes with, or is causing or may cause a threat of harm to, its facilities or improvements. Grantee shall also have the right to prune or remove vegetation outside the Easement Area that may grow within twenty-five (25) feet of the transmission line conductor. 6. Miscellaneous Provisions. 6.1 Attornevs' Fees. If either Party brings suit to enforce or interpret this instrument, the prevailing Party shall be entitled to recover from the other Party the prevailing Parry's reasonable attorneys' fees and costs incurred in any such action or in any appeal from such action, in addition to the other relief to which the prevailing Party is entitled. 6.2 Applicable Law:Jurisdiction.This instrument shall be governed by,and construed and interpreted in accordance with, the laws (excluding the choice of laws rules) of the state of Utah. The Parties subject themselves to the exclusive jurisdiction of the courts of the state of Utah and agree to commence and maintain any lawsuit related to this instrument in such courts.The Parties further agree that such courts are a convenient forum. Page 2 of 6 6.3 Counterparts. This instrument may be executed in any number of duplicate originals or counterparts, each of which when so executed shall constitute in the aggregate but one and the same document. Signature pages may be detached fi-om the counterparts and attached to a single copy of this instrument to physically form one document. 6.4 Authorization. Each Party represents and warrants that (a) such Party was duly formed and is validly existing and in good standing Under the laws of the state of its formation, (b) such Party has the requisite power and authority under applicable law and its governing documents to execute, deliver and perform its obligations under this instrument, (c) the individual executing this instrument on behalf of such Party has full power and authority under such Party's governing documents to execute and deliver this instrument in the name of, and on behalf of, such Party and to cause such Party to perform its obligations under this instrument, (d) this instrument has been duly authorized, executed and delivered by such Party,and(e)this instrument is the legal,valid and binding obligation of such Party,and is enforceable against such Party in accordance with its terms. 6.5 Amendments. This instrument may be amended only by recordjng in the Office of the County Recorder an instrument in writing reciting the terms of the amendment and bearing the signatures of the Parties or their successors or assigns. 6.6 No Waiver. The failure to enforce or perform any provision set forth in this instrument shall not be deemed a waiver of any such right. 6.7 Successors and Assigns. All rights and obligations contained herein or implied by law are intended to be covenants running with the land and shall attach, bind and inure to the benefit of the Parties and their respective successors and assigns. 6.8 Jury Waiver. To the fullest extent permitted by law, tine Parties each waive any right they may have to a trial by jury in respect of litigation directly or indirectly arising out of, under or in connection with this instrument. Miscellaneous Provisions. 6.1 Attorneys' Fees. If either Party brings suit to enforce or interpret this instrument, the prevailing Party shall be entitled to recover from the other Party the prevailing Party's reasonable attorneys' fees and costs incurred in any such action or in any appeal from such action, in addition to the other relief to which the prevailing Party is entitled. 6.2 Applicable Law:Jurisdiction.This instrument shall be governed by,and construed and interpreted in accordance with, the laws (excluding the choice of laws rules) of the state of Utah. The Parties subject themselves to the exclusive jurisdiction of the courts of the state of Utah and agree to commence and maintain any lawsuit related to this instrument in such courts. This instrument may be executed in any number of duplicate originals or counterparts, each of which when so executed shall constitute in the aggregate but one and the same document.
