Washington St. Boise, Idaho 83702 RE:Notice of Transfer of Control of ALEC, Inc. Dear Ms. Jewell On behalf of ALEC, Inc. ("ALEC"), a competitive telecommunications provider authorized to provide local exchange and long distance telecommunications services pursuant to Certificate No. 489 (Case No. ALE-09-, Nov. 13 2009), with its parent SinglePipe Communications, Inc. ("SinglePipe ), I am writing to inform the Commission of a transfer of control whereby the ownership of ALEC's parent, SinglePipe, has been transferred to Integrated Broadband Services, LLC ("IBBS") as of August 4 2010. As a result ofthe transaction, SinglePipe is now a direct, wholly-owned subsidiary of IBBS, and ALEC an indirect subsidiary ofIBBS. However, ALEC remains a direct, wholly- owned subsidiary of SinglePipe, and in fact continues to operate as ALEC in Idaho, offering the same rates, terms and conditions of service in the state. The transaction has not affected the day- to-day operations of ALEC or adversely affected the services currently provided by it. ALEC currently has one business customer in Idaho , and will continue to provide service to that customer without interruption, consistent with its existing tariffs and applicable law. Specifically, the transaction did not involve a change in the entity actually providing regulated services in Idaho, nor has it changed any of the rates, terms or conditions of such service, and there has been no detrimental change in customer service. Indeed, the transaction was entirely transparent to ALEC's business customer in Idaho, as well as the general public. In connection with its transfer of control, the parties had filed an application for a domestic Section 214 License Transfer with the Federal Communications Commission ("FCC" which was subsequently released on the FCC's Public Notice on June 23 , 2010, DA 10-1119 under WC Docket No. 10-129. As noted in the Public Notice, the application was accepted as a streamlined application, and was deemed granted on July 24, 2010.
