LETTER OF CREDIT
To: YMax Communications Corp.
From: Daniel Borislow
Through this letter, Daniel Borislow ("Lender ) hereby establishes, in favor of YMax
Communications Corp., a letter of credit in the amount of Five Million Dollars ($5 000 000)
lawful money of the United States of America, to be used for the purpose of funding YMax
Communication s Corp.'s telecommunications start-up costs.
YMax Communications Corp. may draw upon this letter of credit at any time and from
time to time, by delivering a Letter of Credit Notice, which specifies the amount to be drawn and
which shall be signed by an official designated and duly authorized by YMax Communications
Corp. Promptly after the delivery of such notice, the Lender hereby covenants and agrees to
deliver, by wire or other mutually acceptable method of delivery, the requested draw amount.
This letter of credit shall be deemed automatically renewed at December 31 unless
cancelled by Lender without amendment for successive one-year periods.
The Lender hereby represents and warrants that he is qualified and authorized to issue
this letter of credit.
As at June 20, 2006 approximately One Million Nine Hundred Fifty Thousand Dollars
($1 950 000) has been drawn against this Letter of Credit
