NOTICE OF CONSUMMATION
Dear Ms. Jewell:
On behalf of Zayo Group, LLC ("Zayo"), the successor in interest to 360networks (USA)
inc. ("360networks") (together, the "Company"), this letter notifies the Commission that
the Zayo Pro Forma Transactions described in the above-referenced filing were
completed. The Onvoy Pro Forma Transaction (as defined in the Notification), however,
has not yet been completed but is expected to be completed in the future and the parties
will notify the Commission of the completion of the Onvoy Pro Forma Transaction at
that time.
An original and seven (7) copies of this letter are enclosed for filing. Please date-stamp
the extra copy and return it in the envelope provided. This notification has also been
