Account Codes - Optional, Customer-defied digits that alow the Customer to identi the individual user, department or client associated with a cal. Account Codes appear on the Customer bil. Advance Payment - Par or all of a payment requied before the stat of service. Authorized User - A person, fim, corporation, or any other entity authorid by the Customer to communcate utiing the Company's service. Business - A class of servce provided to individual engaged in business, fi, partnerships, corporations, agencies, shops, works, tenats of offce buidigs, and individual practicig a profession or operatig a business who have no offces other than their residences and where the use of the service is priary or substatialy of a business, professional or occupational nature. Commission - Idaho Public Utities Commsion. Company or Carer - Velocty The Greatet Phone Company Ever, Inc., uness otherwe clearly indicate by the context. Customer - The person, fim, corporation or other entity which orders, cancels, amends or us servce and is responsible for payment of charges and complice with the Company's ta. Deposit - Refers to a cash or equivalent of cash sety held as a guarante for payment of the charges. Dial Pulse (or "DP") - The pule tye employed by rotary di station sets. Dual Tone Multi-Frequency (or "DTMF") - The pul tye employed by tone dia station sets. End User - Any person, fi, corporation, parership or other entity which uses the servces of the Company under the provisions and regulations of th ta. The End User is responsible for payment uness the charges for the services utied are accepted and paid for by another Customer. End Ofice - With respet to each NP A-NXX code prefi assigned to the Company, the location of the Company's "end offce" for purposes of th tari shal be the point of interconnecon associate with that NP A-NXX code in the Local Exchange Routig Guide ("LERG"), issued by Bellcore. Hearng Impaied - Those persons with communcation impaiments, includig those hearing impaired, deaf, deaf/blid, and speeh impaied persons who have an impaiment that prevents them from communcatig over the telephone without the aid of a telecommuncations device for the deaf. Hunting - Route a cal to an idle station lie in a prearranged group when the caled station lie is busy. In-Only - A servce attibute that restrcts outward dia access and routes incomig cal to a designted anwer point. IXC or Interexchange Carer - A long ditace telecommuncations servces provider. No. 2- Telephone Original Page 8 SECTION 1.0 - DEFINITIONS (CONTINUED) LATA - A Local Access and Tranport Area establihed pursuant to the Modifcation of Final Judgement entered by the United States District Cour for the Distrct of Columbia in Civil Action No. 82-0192; or any other geographic area designted as a LATA in the National Exchge Carer Assocation, Inc. Tarif F.c.c. No.4. LEC - Local Exchange Company Miimum Point of Presence ("MPOP") - The mai telephone closet in the Customer's building. Monthly Recurng Charges - The monthy charges to the Customer for services, facilties and equipment, which contiue for the agreed upon duration of the service. Multi-Frequency or ("MF") - An inter-machie pulse tye usd for signalig between telephone switces, or between telephone switches and PBX/key systems. Non-Recurng Charge ("NRC") - The intial charge, usually assessed on a one-tie basis, to intiate and establih servce. Other Telephone Company - An Exchange Telephone Company, other than the Company. PBX - Private Branch Exchange Premises - A buidig or buildigs on contiguous propert. Recurng Charges - The monthy charges to the Customer for services, facilties and equipment which contiue for the agreed upon duration of the servce. Residence or Residential - A class of servce fuhed to a Customer at a place of dwellg where the actual or obvious use is for domestic puroses. No. 2- Telephone Orginal Page 9 SECTION 1.0 - DEFINITIONS (CONTINUED) Servce Commencement Date - The fist day followig the date on which the Company noties the Customer that the requested service is avaiable for use, uness extended by the Customer's refual to accept service which does not conform to stadards set forth in the Servce Order and th taif, in which case the Service Commencement Date is the date of the Customer's acceptace. The Company and Customer may mutualy agree on a substitute Service Commencement Date. Servce Order - The wrttn request for services exected by the Customer and the Company in the format devised by the Company. The signg of an Order by the Customer and acceptace by the Company intites the respective obligations of the parties as set fort therein and pursuant to th tarif, but the duration of the service is calculated from the Servce Commencement Date. Telecommunications Company or Provider - Used thoughout th ta to mean Velocity The Greatest Phone Company Ever, Inc. uness clearly indicated otherwe by the text. TBD - To Be Determied. Two Way - A service attibute that includes outward dial capabilties for outbound cal and can also be used to carry inbound cal to a central point for futher processing. Usage Based Charges - Charges for miutes or messages traversing over local exchange facilties. User or End User - A Customer, Joint User, or any other person authorid by a Customer to use service provider under th tariff. No. 2- Telephone Orginal Page 10 SECTION 2.0 - RULES AND REGULATIONS 2.1 Undertakng of the Company 2.1.1 Scope The Company undertaes to fuh communcations service pursuant to the terms of th taif in connection with one-way and/or two-way inormation tranmision origitig from points with the State of Idaho, and termiatig with a local callg area as defied herein. The Company is responsible under th ta only for the servces and facilties provided hereunder, and it assumes no responsibilty for any servce provided by any other entity that purchases access to the Company network in order to origiate or termate its own servces, or to communcate with its own Customers. 2.1.2 Shortage of Equipment or Facilities (A) The Company reserves the right to lit or to alocate the use of exitig facilties, or of additional facilties offered by the Company, when necessary beause of lack of facilties, or due to some other cause beyond the Company's control. (B) The fuhig of servce under th taif is subject to the availabilty on a contiuing basis of al the necessary facilties and is lited to the capacity of the Company's facilties as well as facilties the Company may obta from other cariers to fuh service from tie to tie as requied at the sole dicretion of the Company. No. 2- Telephone Original Page 11 SECTON 2.0 - RULES AND REGULATIONS (CONT'D) 2.1 Undertaking of the Company, (Contd.) 2.1.3 Term and Conditions (A) Service is provided on the basis of a mium period of at least one month, 24hours per day. For the purpose of computig charges in th tarif, a month is considered to have thty (30) days. (B) Customers may be required to enter into writtn servce orders which shal conta or reference a specifc desription of the servce ordered, the rate to be charged, the duration of the servces, and the terms and conditions in th taif. Customers wi alo be required to execte any other documents as may be reasonably requested by the Company. (C) Except as otherwe stated in the ta, at the expiration of the intial term speced in each Service Order, or in any extension thereof, service shal contiue on a month to month basis at the then current rates uness termated by either par upon proper notice. Any termation shal not relieve the Customer of its obligation to pay any charges incued under the service order and th tari prior to termiation. The rights and obligations which by their nature extend beyond the termition of the term of the service order shal survve such termation. (D) Service may be termiated upon written notice to the Customer if: (1) the Customer is using the servce in violation of th ta; or (2) the Customer is using the servce in violation of the law. (E) Th tarif shal be interpreted and governed by the laws of the State of Idaho without regard for its choice of laws provision. (F) Any Oter Telephone Company may not interfere with the right of any person or entity to obta service diectly from the Company. No person or entity sha be requied to make any payment, incu any penalty, moneta or otherwe, or purchase any servces in order to have the right to obta service direcy from the Company. (G) Reserved for futue use. (H) The Company hereby reserves its rights to establih servce packages specifc to a particulr Customer. These contracts mayor may not be assocted with volume and/ or term discounts. No. 2- Telephone Orginal Page 13 SECTON 2.0 - RULES AND REGULATIONS (CONT'D) 2.1 Undertakig of the Company, (Contd.) 2.1.4 Limtations on Liabilty (A) The liabilty of the Company for damages arising out of the furnhig of its Service, including but not liited to mistakes, omisions, interruption, delay, or errors, or other defects, representations, or use of these services or damages arising out of the failure to furnh the service, whether caused by acts or omision, shall be lited to the extension of allowances for interruption as set forth in 2.7. The extension of such allowances for interruption shall be the sole remedy of the Customer and the sole liabilty of the Company. The Company wil not be liable for any direct, indirect, incidental, special, consequential, lost profits, exemplary or puntive damages to Customer as a result of any Company service, equipment or facilties, or the acts or omissions or negligence of the Company's employees or agents. (B) The Company's liabilty for will misconduct, if establihed as a result of judicial or admintrative proceedings, is not lited by this tarif. The Company's liabilty, if any, with regard to delayed intallation of Company facilties or commencement of service, shall not exceed $1,000. With respect to any other claim or suit, by a Customer or by any others, for damage associated with the ordering (including the reservation of any specifc number for use with a service), intaation (including delays thereof), provision, termination, maintenance, repai, interruption of restoration of any service or facilties offered under th tari, and subject to the provisions of Setion 2.7, the Company's liabilty, if any, shall be lited as provided herein. (C) The Company shall not be liable for any delay or failure of performance or equipment due to causes beyond its control, including but not lited to: acts of God, fire, flood, explosion or other catastrophes; and law, order, regulation, direction, action or request of the United States government or of any other government, including state and local governents having or claimg jurisdiction over the Company, or of any department, agency, commission, bureau, corporation or other intrmentality of anyone or more of these federal, state, or local governents, or of any mitary authority; preemption of existig service in compliance with national emergencies; inurrections; riots; wars; unavailabilty of rights-of-way or materials, or strikes, lockouts, work stoppages, or other labor dificulties. (D) The Company shall not be liable for (a) any act or omission of any entity furnhig the Company or the Company's Customers facilties or equipment used for or with the services the Company offers; or (b) for the acts or omisions of common carriers or warehousemen. Except in 31.41.01 Rule 501, 502, and 503 oftheIDAPA. (E) The Company shall not be liable for any damages or losses due to the fault ofnegligence of the Customer or due to the failure or malfction of Customer- provided equipment or facilties. (F) The Customer shall indemn and hold the Company harmless from any and all loss, claim, demands, suits, or other action, or any liabilty whatsoever, whether sufered, made, intituted, or asserted by any other party or person(s), and for any loss, damage, or destrction of any property whether owned by the Customer or others, caused or claimed to have been caused directly or indirectly by the intallation, operation; failure to operate, maintenance, removal, condition, location, or use of intallation provided by the Company. The Company reserves the right to require each Customer to sign an agreement acknowledgig acceptance of the provisions of th section as a condition precedent to such intallations. (G) The Company shal not be liable for any defacement of or damage to Customer premies resultig from the fuhing of servces or equipment on such premies or the intallation or removal thereof, uness such defacement or damage is caused by gross negligence or wil miconduct of the Company's agents or employees. No agents or employees of other participatig carriers shall be deemed to be agents or employees of the Company. (H) Notwithtadig the Customer's obligations, the Company shall be indemned, defended, and held harmless by the Customer or by others authorized by it to use the service againt any claim, loss of damage arising from Customer's use of services furnhed under th tariff, including: claim for libel, slander, invasion of privacy or iningement of copyright arising from the material, data, inormation, or other content tranmitted via the Company's service; and patent iningement claim arising from combing or connectig the service offered by the Company with apparatus and systems of the Customer or others. All other claims arising out of any act or omision of the Customer or others, in connection with any service provided by the Company pursuant to th tariff. (I) The entie liabilty of the Company for any claim, loss, damage or expense fromany cause whatsoever shall in no event exceed sums actually paid to the Company by Customer for the specifc services giving rise to the claim, and no such action or preceding againt the Company shall be commenced more than one year after the servce is rendered. 0) The Company makes no warranties or representations, express or implied, including warranties of merchantabilty or fitness for a particular use, except those expressly set forth herein. (K) The Company shall not be liable for any act or omission of any other company or companes furnihig a porton of the service, or for damages associated with service, channels, or equipment which it does not furnih, or for damages which result from the operation of Customer-provided systems, equipment, facilties or services which are interconnected with Company services. Except in 31.41.01 Rule 501, 502, and 503 of the IDAP A. (L) The Company does not guarantee nor make any warranty with respect to service intallations at locations at which there is present an atmosphere that is explosive, prone to fie, dangerous or otherwise unsuitable for such intallations. (b) The Company is not responsible for any inringement or invasion of the right of privacy of any person or persons, caused or claimed to have been caused, directly or indirectly, by the intallation, operation, faiure to operate, maintenance, removal, presence, condition, occasion or use of emergency 911 service features and the equipment associated therewith, or by any services fuhed by the Company including, but not lited to, the identication of the telephone number, address or name associated with the telephone used by the party or parties accessing emergency 911 service, and which arise out of the negligence or other wrongfl act of the Company, the Customer, its users, agencies or municipalities, or the employees or agents of anyone of them. (N) The Company's liabilty arising from errors or omisions in Directory Listigs, other than charged litig, shall be lited to the amount of actual impairment of the Customer's service and in no event shall exceed one-half the amount of the fixed monthy charges applicable to exchange service affected during the period covered by the directory in which the error or omission occurs. In cases of charged Directory Listigs, the liabilty of the Company shall be lited to an amount not exceeding the amount of charges for the charged litigs involved during the period covered by the directory in which the error or omision occurs. By subscribing to service under this tarif Customer acknowledges and agrees with the release of inormation as described above. (P) The included tariff language does not constitute a determination by the Commsion that a liitation of liabilty imposed by the Company should be upheld in a court of law. It is alo the court s responsibilty to determie the validity of the exculpatory clause. 2.1.5 Notication of Servce-Afecting Actvities The Company wi provide the Customer reasonable notication of servce-afectig activities that may occu in normal operation of its business. Such activities may include, but are not lited to, equipment or facilties additions, removal or rearangements and routie preventative maitenace. Generaly, such activities are not specifc to an individual Customer but afect many Customers' services. No specifc advance notication period is applicable to al servce activities. The Company wi work cooperatively with the Customer to determie the reasonable notication requiements. With some emergency or unplaned servce-afectig conditions, such as an outage resultig from cable damage, notication to the Customer may not be possible. Customer shall be relieved of al obligations to make payments for charges relatig to any blocked Servce and shal indemn the Company for any clai, judgment or liabilty resultig from such blockage. 2.2.4 A Customer, joint usr, or authorid user may not assign, or tranfer in any maner, the service or any rights associated with the servce without the wrttn consnt of the Company. The Company wi permit a Customer to tranfer its existig service to another entity if the existig Customer has paid al charges owed to the Company for regulated communcations services. Such a tranfer wi be treated as a diconnection of exitig service and intallation of new servce, and non-recrig intation charges as stated in th tarif wi apply. Any and all costs associated with the obtag and maintag the rightsof-way described herein, including the costs of alterig the strctue to permt intallation of the Company provided facilties, shal be borne entiely by, or may be charged by the Company, to the Customer. The Company's services are designated priary for the tranmision of voice-grade telephonic signls, except as otherwe stated in th ta. A user may tranmit any form of signal that is compatible with the Company's equipment, but the Company does not guarante that its servces wi be suitable for purposes other than voice-grade telephonic communcation except as specifcally stated in th ta. 2.4.2 Station Equipment (A) Terml equipment of the user's premi and the electrc power consumed by such equipment shall be provided by and maitaed at the expense of the user. The user is responsible for the provision of wiing or cable to connect its termal equipment to the Company MPOP. (B) The Customer is responsible for ensurig that Customer-provided equipment connected to Company equipment and facilties is compatible with such equipment and facilties. The magntude and character of the voltages and currents impressed on Company-provided equipment and wig by connection, operation, or maintenace of such equipment and wig shall be such as not to cause damage to the Company-provided equipment and wiing or injury to the Company's employees or to other persons. Any additional protetive equipment requied to prevent such damage or injury shall be provided by the Company at the Customer's expense, subject to prior Customer approval of the equipment expense. (B) Any special interface equipment necessar to achieve compatibilty between the faciltiesand equipment of the Company. used for fuhig Communcations Services and the chanels, facilties, or equipment of others shal be provided at the Customer's expnse. (C) Communcations Services may be connecd to the servces or facilties of other communcations carers only when authorized by, and in accordance with, the terms and conditions of the tarifs of the other communcations carers which are applicable to such connections. (D) Facities fuhed under th ta may be connected to Customer provided termial equipment in accordance with the provisions of th tari. Al such termil equipment shal be regitered by the Federal Communcations Commsion pursuant to Part 68 of Title 47, Code of Federal Reguations; and all user-provided wiing shall be intalled and maintaed in compliance with those reguations. (B) If the protetive requirements for Customer-provided equipment are not being complied with, the Company may tae such action as it deems necessary to protet its facilties, equipment, and personneL. The Company wi noti the Customer promptly if there is any need for fuer corrective action. With ten days of receiving th notice, the Customer must tae th corrective action and noti the Company of the action taen. If the Customer fail to do th, the Company may take whatever additional action is deemed necessary, includig the suspension of servce, to protet its facilties, equipment and personnel from harm. The Customer is responsible for the payment of federal excise taxes, state and local sales and use taes and simar taxes imposed by governental jurdictions, al of which shal be separately designated on the Company's invoices. Any taxes imposed by a local jurisdiction (e.g., county and muncipal) wi only be recovered from those Customers residing in the afected jurdictions. 2.6.2 Billng and Collection of Charges The Customer is responsible for payment of al charges incued by the Customer or other users for services and facilties fuhed to the Customer by the Company. (A) Non-recrring charges are due and payable with th (30) days afer the date the invoice is maied to the Customer by the Company. (B) The Company shal present invoices for recrrg chrges monthy to the Customer, in advance of the month in which service is provided, and recring charges shal be due and payable with th (30) days afr the date the invoice is maied to the Customer by the Company. When bilg is based upon Customer usage, usage charges wi be biled monthy for the preceding bilg period. (q When service does not begi on the fist day of the bilg period, or end of the last day of the bilg period, the charge for the fraction of the month in which servce was fuhed wi be calculated on a pro rata basis. For th purpose, every month is considered to have thty (30) days. (D) Bilg of the Customer by the Company wi begi on the Service Commencement Date, which is the day on which the Company noties the Customer that the servce or facilty is avaiable for use, except that the Service Commencement Date may be postponed by mutual agreement of the parties, or if the servce or facilty does not conform to stadards set fort in th ta or the Servce Order. Bilg accrues though and includes the day that the servce, circut, arangement or component is dicontiued. (E) If any porton of the payment is not received by the Company with 30 days of receipt of th bil, or if any portion of the payment is received by the Company in fuds which are not imediately available upon presentment, then a late payment charge of 1.5% per month shall be due to the Company. A late payment charge is not applicable to subsequent rebilg of any amount to which a late payment charge has aleady ben applied. Late payment charges are to be applied withoutdicrition. (F) the Customer should noti the Company of any diputed items on an invoice with sixty (60) days of receipt of the invoice. If the Customer and the Company are unable to resolve the dipute to their mutual satifacton, the Customer may fie a complait with the Commsion in accordance with the Commsion's rues and procedure. Upon the Company's dicontiuance of servce to the Customer under Setion 2.6.3(A) or 2.6.3(B), the Company, in addition to all other remedies that may be avaiable to the Company at law or in equity or under any other provision of th ta, may declare all future monthy and other charges which would have ben payable by the Customer durg the remainder of the term for which such services would have otherw ben provided to the Customer to be imediately due and payable. No. 2- Telephone Origial Page 34 SECTION 2.0 - RULES AND REGULATIONS, (CONTINUED) 2.6 Payment Arangements, (Contiued) 2.6.6 Changes in Servces Requested If the Customer makes or requests material changes in circut engieerig, equipment specifcations, service parameters, premies locations, or otherwe materialy modies any proviion of the application for servce, the Customer's intaation fee shal be adjusted accordingly. 2.6.7 Bad Check Charge A service charge of $20.00 wi be assesed for al checks returned by a ban or other fiancial intitution for: Inufcient or uncollected fuds, closed account, apparent tampering, mising signatue or endorsement, or any other inufciency or dicrepancy necessitatig retu of the intrent at the dicretion of the drawee ban or other fiancial intitution. 2.7 Allowances for Interrptions in Servce 2.7.1 General Credit for Interruptions: When the use of service or facilties furnihed by the Company is interrupted due to any cause other than the negligence or wil act of the Customer, or the operation or failure of the facilties or equipment provided by the Customer, pursuant to IDAPA 31.41.01 Rules 502 and 503 subject to interruption wi be allowed for the service and facilties rendered useless and inoperative by reason of the interruption, whenever said interruption contiues for a period of 24 hours or more from the tie the interrption is reported to or known to exist by the Company, except as otherwe specifed in the Company's taris. If the Customer reports a service, facilty or circuit to be inoperative but declies to release it for testig and repair, it is considered to be impaired, but not interrupted. For calculatig credit allowances, every month is considered to have 30 days. A credit allowance is applied pursuant to IDAPA 31.41.01 Rules 502 and 503 based on the rates specified hereunder for Local Line or Local Tru Service and is dependent upon the lengt of the interruption. Ony those facilties on the interrupted porton of the circuit wi receive a credit. Credit allowances for service outages that exceed 24 hours in duration wi be rounded up at the next whole 24 hours. These charges shal beome due and owig as of the effective date of the cancelltion or termition and be payable with the period set forth in Setion 2.6.2. 2.8.1 Termination Liabilty Customer's termtion liabilty for cancellation of service shall be equal to: (A) all unpaid non-recurrg charges reasonably expended by Company to establih service to Customer, plus; (B) any diconnection, early cancellation or termition charges reasonably incured and paid to thd pares by Company on behalf of Customer, plus; (C) all recg charges speifed in the applicable Service Order for the balance of the then cuent term disounted at the prie rate anounced in the Wall Street Journal on the thd business day followig the date of cancelltion; (D) mius a reasonable alowance for costs avoided by the Company as a direct result of Customer's cancelltion. Where there are no regulations, notication wil be made in a manner appropriate to the circumstaces involved. A Customer can request that the Company disconnect service that is provided under the Flexible Pricing due to a price increase. Each Basic PBX Tru is provided with touch-tone signalg and may be confgued into a hunt group at no additional charge with other Company-provided Basic PBX Tru. The signal is an analog signal at the DSO leveL. 5.8 Reserved for Futue Use 5.9 Direct Inward Dialing (DID) Servce Direct Inward Diag ("DID") permts cal incomig to a PBX system or other Customer Premies Equipment to be routed to a speifc station without the assistace of an attndant. DID cal are routed directly to the station associated with the called number. DID servce as offered by the Company provides the necessar tr, telephone numbers, and out-pulsing of digits to enables DID servce at a Customer s location. DID service requies specia PBX softare and hardware not provided by the Company. Such hardware and softare is the responsibilty of the Customer. Presubscription does not prevent a Customer who has presubscribed to an IntraLATA or InterLATA toll carrier from using carrier access codes or additional dialig to direct call to an alternative long distance carrier on a per call basis. 11.1.2 Presubscription Options - Customers may select the same carrier or separate carriers for intraLAT A and interLAT A long distace.
