However, new pages are occasionally added to the Price List. When a new page is added between pages already in effect, a decimal is added. For example, a new page added between pages 14 and 15 would be 14. Page Revision Numbers - Revision numbers also appear in the upper right corner of each page. These numbers are used to determine the most current page version on file with the Commission. For example, the 4th revised page 14 cancels the 3rd revised page 14. Paragraph Numbering Sequence - There are six levels of paragraph coding. Each level coding is subservient to its next higher level: 1.1 (A) 1.1 (A). 1 1.1 (A).1.a Check Sheets - When a Price List filing is made with the Commission, an updated check sheet accompanies the Price List filing. The check sheet lists the pages contained in the Price List, with a cross reference to the current revision number. When new pages are added, the check sheet is changed to reflect the revision. Business Customer: A Business Customer is a Customer whose use of the Service(s) are for a business, professional, institutional, or occupational purpose. CAP: CAP is an acronym for Competitive Access Provider. Commission: Commission refers to the Idaho Public Utilities Commission. Company: Company refers to Uni- Tel Communications Group, Inc. Customer: The Customer is a person or legal entity which subscribes to Service(s) from the Company and thereby assumes responsibility for the payment of charges and compliance with the Company s Price List regulations. IntraLATA Call: An intraLATA call is any call that originates and terminates within the same LATA. IXC: IXC stands for Interexchange Carrier. LATA: LATA is an acronym for Local Access Transport Area which is a geographic area established for the provision and administration of communications service as provided for in the Modification of Final Judgment and any further modification thereto. LEC: LEC is an acronym for Local Exchange Carrier. MA TR: MA TR is an acronym for Minimum Average Time Requirement. If average call duration for inbound Service( s) is less than the MA TR, call duration will be calculated as the number of calls times the MA TR. Modification of Final Judgement: Modification of Final Judgement refers to that decision of the United States District Court for the District of Columbia appearing at 552 F. Supp 131 (1982). N is a number between 2 and 9. X is a number between 0 and 9. NP A Centroid: NP A Centroid is the rating center which is sometimes used to calculate mileage for inbound 800 calls and calling card calls. PBX: PBX is an acronym for Private Branch Exchange. PIC: PIC is an acronym for Primary Interexchange Carrier. POP: POP is an acronym for Point-of-Presence and is the central office of the DUC or the Company where the LEC or CAP hands off the traffic of the Company s Customers to the DUC or the Company or where the Customer s facility interconnects with the DUC or the Company. c.: P.Ue. stands for Idaho Public Utilities Commission. Rate Center: A Rate Center is a specified geographical location used for determining mileage measurements. Residential Customer: A Residential Customer is a Customer whose use of the Company Service(s) are substantially of a social and domestic nature. State: State refers to the State of Idaho. Switched Access: If the Customer s location has a transmission line that is switched through the LEC or CAP to reach the long distance network, the access is switched. Switched Access facilities are also referred to as shared use facilities. Underlying Carrier: Underlying Carrier refers to the interexchange carrier that provides the long distance services the Company resells. V &H: V &H is an acronym for vertical and horizontal. Services are offered subject to the availability of facilities and the terms and conditions of this Price List. The Company resells the services of facility based carriers subject to the terms of any applicable interstate offering or arrangement between the DUC and the Company. This Price List is on file with the Commission and copies may be inspected during normal business hours at the Company s principal place of business which is located at 618B West Fifth Avenue, Naperville, IL 60563. The Company reserves the right without liability to discontinue offering Service(s), or limit the use of Service(s) in either case when necessitated by conditions beyond its control, or when the Customer is using Service(s) in violation of the law or the provisions of this Price List. Prior written permission from the Company and approval pursuant to Paragraph 14 are required before any assignment or transfer of Service(s). All regulations and conditions contained in this Price List shall apply to all such permitted assignees or transferees, as well as all conditions for Service(s). No. Original Page 13 Issued: July 13, 1998 Effective: July 24, 1998 SECTION 2 - RULES AND REGULATIONS Liabilities of the Company Conditions under which the Company may refuse or terminate Service(s) without liability include but are not limited to: non-payment of any sum owing to the Company; or insufficient or fraudulent billing information, invalid or unauthorized telephone numbers, or pre-arranged account code numbers; or any violation by a Customer related to the request for such Service(s) of either the provisions of this Price List or any laws, rules, regulations, or policies; or of any order or decision of a court or other governmental authority which prohibits the Company from offering such Service(s); or if the Company deems such refusal necessary to protect itself or third parties against fraud or to otherwise protect its personnel, agents, or Service(s); or use or misuse of Company s or DUC's network or for any unlawful or criminal purpose; or refusal by Customer to allow Company reasonable access to the Customer facilities to provision Service(s). No. Original Page 14 Issued: July 13 , 1998 Effective: July 24, 1998 SECTION 2 - RULES AND REGULATIONS Liabilities of The Company (Con 3.4 The liabilities of the Company for damages arising out of mistakes, omissions interruptions, delays, errors or defects occurring in the course of providing Service(s) hereunder and not caused by the negligence or intentional acts of the Customer shall in no event exceed an amount equivalent to the initial period charge to the Customer according to this Price List for the call during which such mistake, omission, interruption, delay, error or defect in the course of offering Service( s) hereunder occurs, except in cases of willful misconduct by the Company. The Company is not liable for any act or omission of any other company or companies furnishing a portion of any Service(s). The Company is not liable for any defacement of, or damage to, the equipment or premises of a Customer resulting from the provision of Service(s) when such defacement or damage is not the result of the Company s negligence. No contractors, agents, or employees of connecting, concurring or other participating carriers or companies shall be deemed to be contractors, agents, or employees of the Company without written authorization. Abuse or fraudulent use of Service(s) includes but is not limited to: the use of Service(s) to transmit a message or to locate a person or otherwise to give or obtain information, without payment of the charge applicable for Service(s); or the obtaining, or attempting to obtain, or assisting another to obtain or to attempt to obtain Service(s) by rearranging, tampering with, or making connection with any Service(s) components of the Company or the DUC, or by any trick, scheme, false representation, or false credit device, or by or through any other fraudulent means or device whatsoever, with intent to avoid the payment, in whole or in part, of the regular charge for such Service(s); or the use of Service( s) of the Company for a message or messages anonymous or otherwise, if in a manner reasonably to be expected to frighten, abuse, torment, or harass another; or the use of Service(s) in such a manner as to interfere unreasonably with the use of Service(s) by one or more other customers. No. Original Page 16 Issued: July 13 , 1998 Effective: July 24, 1998 2.3 SECTION 2 - RULES AND REGULATIONS Liabilities of The Company (Con 2.4 The Company s liability shall be limited to that expressly assumed in Paragraph 3 hereof. The Company shall not be liable for any other direct, indirect consequential, special, actual, or punitive damages, or for any lost profits of any kind or nature whatsoever arising out of any furnishing of, or interruption in Service(s) provided hereunder, absent a determination of willful misconduct by judicial or administrative proceedings. With respect to Service(s) provided hereunder, the Company hereby expressly disclaims, without limitation, all warranties not stated in this Price List, whether express, implied or statutory, and in particular disclaims all implied warranties of merchantability and fitness for a particular purpose. The above language does not constitute a determination by the Commission that a limitation of liability imposed by the Company should be upheld in a court of law. Acceptance for filing by the Commission recognizes that it is a court' responsibility to adjudicate negligence and consequential damage claims. It is also the court s responsibility to determine the validity of the exculpatory clause. Use of Service(s) The Customer may not use Service(s) provided under this Price List for any unlawful purpose. No. Original Page 17 Issued: July 13 , 1998 Effective: July 24, 1998 SECTION 2 - RULES AND REGULATIONS Obligations of the Customer The Company shall be indemnified and held harmless by the Customer against: claims for libel, slander, infringement of patent or copyright, or unauthorized use of any trademark, trade name, or service mark arising out of the material, data, information, or other content transmitted by the Company; violation of any other literary, intellectual, artistic, dramatic, or musical right; violations of the right to privacy; claims of patent infringement arising from combining or connecting Company s facilities or the facilities ofthe DUC with apparatus and systems of the Customer; all lost or stolen calling cards, except as described in Paragraph 2. any other rights whatsoever relating to or arising from message content or the transmission thereof; all other claims arising out of any act or omission of the Customer in connection with Service(s) provided by the Company. No. Original Page 18 Issued: July 13, 1998 Effective: July 24, 1998 SECTION 2 - RULES AND REGULATIONS Obligations of the Customer (Con 5.4 The Customer shall be responsible for the payment of all charges for Service(s) provided under this Price List and for the payment of all excise, sales, use or other similar taxes that may be levied by a governing body or bodies in conjunction with or as a result of Service(s) furnished under this Price List. The Customer is responsible for paying for all Service( s) the Company provides to or from the Customer s telephone number(s), regardless of whether the Customer s facilities were used fraudulently. The Company shall not be required to consider any Customer claim for damages or statutory penalties, or adjustments, refunds or cancellation of charges unless the Customer has notified the Company of any dispute concerning charges within three (3) years, or the basis of any claim for damages, within sixty (60) calendar days after an invoice is rendered or a debit is effected by the Company for the call giving rise to such dispute or claim. Any such notice must set forth sufficient facts to provide the Company with a reasonable basis upon which to evaluate the Customer s claim or demand. In the event that the Customer is not satisfied with the Company s resolution of any dispute, the Customer may contact the Commission for review and disposition of the matter by calling toll free (800) 432-0369 or by writing to Idaho Public Utilities Commission, attn: Consumer Assistance, Statehouse, 472 West Washington, Boise, Idaho 83702. The Company s failure to provide or maintain Service(s) under this Price List shall be excused by the Customer for all circumstances beyond the Company reasonable control. No. Original Page 19 Issued: July 13 , 1998 Effective: July 24, 1998 SECTION 2 - RULES AND REGULATIONS Obligations of the Customer (Con The Customer shall indemnify and save the Company harmless from any and all liability not expressly assumed by the Company in Paragraph 2.3 and arising in connection with the provision of Service( s) to the Customer, and shall protect and defend the Company from any suits or claims alleging such liability, and shall pay all expenses (including attorneys' fees) and satisfy all judgments which may be incurred by or rendered against the Company in connection therewith. Lost Or Stolen Calling Cards Or Authorization Codes The Customer is responsible for all charges including all calls placed by use of Customer assigned authorization or calling card code(s). Upon knowledge of facts which would alert a reasonable person to the possibility that an unauthorized person is using Customer authorization or calling card code, the Customer shall alert and give notice to the Company of such facts. The Customer shall be excused from liability only with respect to calls placed after receipt of such notice by the Company. No. Original Page 20 Issued: July 13 , 1998 Effective: July 24, 1998 SECTION 2 - RULES AND REGULATIONS Obtaining Service Application for Service( To obtain Service(s), the Company may require an application in the form of a completed Service Agreement, a Letter of Agency, or any other written documents as may be in effect from time to time. The applicant must also establish credit satisfactory to the Company as provided in Paragraph 2. 7.2 Establishment of Credit (A) Applicant Pursuant to Paragraph 2.1 and prior to accepting the applicant's Service Agreement, the Company reserves the right to examine the credit record and check the references of the applicant. In the case of refusal to establish Service, the Company shall notify the Applicant in writing of the reason for such refusal. (B)Customer If the conditions of Service(s) or the basis on which credit was originally established have materially changed, an existing Customer may be required to establish additional credit. The Company reserves the right to examine the credit record and check the references of any Customer at any time. No. Original Page 21 Issued: July 13, 1998 Effective: July 24, 1998 SECTION 2 - RULES AND REGULATIONS Obtaining Service (Con Customer Deposits (A) General Any applicant whose credit is not acceptable to the Company as provided in Section 2.2 hereof may be required to make a deposit to be held as a guarantee of payment of charges. In addition, an existing Customer may be required to make a deposit or to increase a deposit presently held by the Company in the event that the conditions of Service( s) or basis on which credit was originally established have materially changed. The Customer deposit will be held by the Company. (B) Amount of Deposit The amount of any deposit shall not exceed the estimated charges for two months' Service. The Company shall determine the amount of the deposit. (C) Interest on Deposits The Company will pay interest on deposits in accordance with Commission rules. Notwithstanding the foregoing, prior to the return, deposits will be applied to any outstanding charges of the Customer for Service(s) and only the excess, if any, will be returned. No. Original Page 23 Issued: July 13 , 1998 Effective: July 24, 1998 SECTION 2 - RULES AND REGULATIONS Rendering and Payment of Bills General The Customer is ultimately responsible for payment of all charges for Service(s) provided by the Company. Billing Period The billing period is one month. Rendering Bills Bills are sent to the current billing address no later than thirty (30) days following the close of billing. 8.4 Payment of Bills Payments are due twenty five days from the invoice date. The due date is disclosed on the bill. Checks should be made payable to the Company as named on the bill and are sent to the address as listed on the bill. Late Charge If a Customer s bill is not paid within thirty (30) days from the date on the invoice, the Company may impose a late charge of 1.25% per month on the delinquent amount. No. Original Page 24 Issued: July 13, 1998 Effective: July 24, 1998 SECTION 2 - RULES AND REGULATIONS Rendering and Payment of Bills LEC Billing F or those Services that are billed through the local exchange company, the rules of the local exchange company with respect to rendering and payment of bill will apply in lieu of those set forth in this Section. Suspension of Service Service may be temporarily suspended immediately where instances of fraud or abuse as described in section 2.3 are discovered by the Company or reported to the Company by the Customer or, with five (5) days written notice to the Customer for non-payment. If the call is an emergency, Company employees are available on a standby basis to assist a Customer with a service difficulty. Billing Inquiries Billing inquiries may be referred to the Company s Customer Service organization as indicated in paragraph 2.1 above. If the Customer is not satisfied with the Company s resolution of a billing inquiry, the Customer may make application to the Commission for review and disposition of the matter. A notice of service termination will be sent to the Customer five (5) days prior to service termination. 11.3 Termination Without Notice However, in the event of emergency or threatened or actual disruption of service to other Customers, the Company may terminate service without notice. The Company does not have an installation connection, or monthly service charge for the intrastate portion of the service. 13 Taxes In addition to the charges specifically pertaining to the Service(s), certain federal, state, and local surcharges, taxes, and fees will be applied to these Service(s). These taxes surcharges, and fees are calculated based upon the amount billed to the end user for the Company s intrastate Service(s). All state and local taxes, surcharges, and fees (i., sales tax, gross receipts tax, municipal utilities tax) are listed as separate line items and are not included in the quoted rates listed in the Price List. 14 Transfer or Assignment The Company s intrastate Service(s) may not be transferred or assigned to a new Customer unless the new Customer s credit is approved. Chargeable time begins when connection is established between the calling station and the called station. Chargeable time ends when the calling station "hangs up . Calculation of mileage is in accordance with the V &H coordinate system. The distance is measured using the V &H coordinates associated with either the rate centers of the originating and terminating stations or the V &H coordinates associated with the originating and terminating POP of the DUC. The type of access determines which V coordinates are used. Before giving such notice, the Customer shall ascertain that the interruption is not being caused by any action or omission by the Customer within the Customer s control, or is not in wiring or equipment, if any, furnished by the Customer. 21.Usage Sensitive Service(s) Credit allowances for the interruption of Service(s) are subject to the general liability provisions set forth in Paragraph 2.3 preceding. 22 Restoration of Service(s) The use and restoration of Service( s) in emergencies shall be in accordance with the priority system specified in Part 64, Subpart D of the Rules and Regulations of the Federal Communications Commission. 2.23 Special Promotional Offerings The Company may from time to time engage in Special Promotional Offerings or trial Service offerings limited to certain dates, times, or locations designed to attract new subscribers or to increase subscriber awareness of a particular Price List offering.
