Time Warer Cable Information Services (Idaho), LLC, d//a Time Warer Cable
("Applicant"), by and through its attorneys, hereby submits this application for a
Certificate of Public Convenience and Necessity ("Certificate") to provide competitive
facilities-based local and interexchange telecommunications services statewide within the
State of Idaho. Applicant respectfully requests that the Idaho Public Utilities
Commission ("Commission") grant the Certificate pursuant to Sections 61-526 through
-528, Idaho Code, Commission Rule of Procedure 111 and Order No. 26665.

The Applicant asserts that a formal hearing is not necessar in this matter and
respectfully requests that its Application be processed by Modified Procedure under the
Commission's Rules of Procedure 201-204, IDAPA 31.01.01.201-.204.
1. NAME, ADDRESS AND FORM OF BUSINESS
A. Applicant is a competitive telecommunications company that intends
to offer intrastate telecommunications services for commercial and
wholesale customers statewide. Such services may include point-
to-point, private line, access and transport services.
B. Applicant is a Delaware limited liability company.
C. Applicant's principle place of business is: 290 Harbor Drive,
Stamford, Connecticut 06902-8700.
D. See attached Applicant's Certificate of Formation (Exhibit 1).
E. See attached Certificate of Good Standing issued by the Secretary of
State for the State of Delaware (Exhibit 2(a)); Certificate evidencing
Applicant's registration in Idaho as a foreign limited liability company
(Exhibit 2(b)); Certificate of Existence from the Idaho Secretar of
State (Exhibit 2(e)); and Certificate of Authority to do business as
(d//a) Time Warner Cable (Exhibit 2(d)).

Drive, Stamford, Connecticut 06902-8700. The stock of Time Warer
Cable, Inc. is publicly traded on the New York Stock Exchange under
the symbol TWC. A complete organizational char, including Applicant,
Time Warner Cable Inc. and related entities is attached hereto as
Exhibit 3(a). The Applicant also notes that it is curently in the process
of completing an internal restructuring transaction through which there
will be a structural separation of Time Warer Cable Inc. from Time
Warner Inc. (the "Transaction"). Specifically, the Transaction provides
that Time Warer Inc. wil distrbute to some or all of its shareholders
all of the shares it holds in Time Warer Cable Inc., so that such Time
Warer Inc. shareholders will hold these shares of Time Warer Cable
Inc. directly rather than indirectly as they do today. The Transaction
wil not result in any substantial change in control of TWC or any TWC
subsidiar, including the Applicant. Rather, the public shareholders of
Time Warer Inc. wil retain ultimate control of Time Warer Cable Inc.
and its subsidiares (including the Applicant) and, as a result of the Time
Warner Inc. . distribution, will exercise that control through their direct
ownership of Time Warner Cable Inc., not indirectly though Time
Warner Inc. At present, approximately 84 percent of the common stock
of Time Warer Cable Inc. (representing a 90.6 percent voting interest)
is owned indirectly by Time Warer Inc., which is a widely held public
company with no shareholder holding a ten percent or greater equity or
voting interest. Thus, the current public shareholders of Time Warer

Inc. ultimately control the Applicant and wil continue to do so (through
their control of Time Warer Cable Inc.) after the Transaction is
complete. Ilustrative charts depicting the corporate structure of the
Applicant before and after this transaction are attached hereto as Exhibit
3(b). The Transaction wil be seamless and transparent to the Applicant
and its business plans. The Applicant wil continue to operate under the
same name, wil continue to develop its plans to provide service to its
customers under the same name, and wil continue to be led by its
existing, experienced management team.

2. TELECOMMUNICATIONS SERVICE
Pursuant to the Commission's grant of a Certificate, the Applicant intends to
provide facilities-based wholesale and retail intrastate telecommunications
services to commercial customers. Applicant wil rely on facilities owned by
its cable affliate, Time Warer Cable, Inc., as appropriate. Applicant cannot
yet identify the exact facilities that wil be required to provide its services, as
the architecture will depend upon future customer location, customer demand
and the outcome of interconnection agreement ("ICA") negotiation with

incumbent local exchange cariers ("ILECs"). The capacity of facilities to be
provisioned will correspond to the demand for the telecommunications
services to be provided by the Applicant.
3. SERVICE TERRTORY
Applicant seeks authority to provide retail and wholesale facilities-based
intrastate telecommunications services to commercial customers in all existing
telephone exchanges in the State of Idaho. Because Applicant seeks statewide
authority, it is not attaching service area maps.
4. FINANCIAL INFORMATION
Applicant's source of capital fuds that wil be used to provide
telecommunications services in Idaho are all of the resources of Time Warer
Cable Inc. A letter signed by an officer of Time Warer Cable Inc.
memorializes the corporation's financial support of its affiliate and is attached
hereto as Exhibit 4. Time Warer Cable Inc.'s financial information is
attached hereto as Exhibit 5.
5. SERVICE TERRTORY
Applicant seeks authority to provide telecommunications services statewide in
Idaho and as a result is not attaching service area maps.
6. TARFF FILINGS
Applicant is filing a proposed initial Price List to reflect services to be offered
under Title 62 authority in compliance with the appropriate Commission rules.

8. INTERCONNECTION AGREEMENT
Applicant plans to initiate interconnection negotiations with Verizon and
Qwest.
9. COMPLIANCE WITH COMMISSION RULES
Applicant has reviewed all of the Commission rules and agrees to comply
with said rules, as applicable, unless otherwise ordered.

CONCLUSION
The Application and supporting exhibits demonstrate that it would be in the
public interest to grant Time Warer Information Services (Idaho), LLC a Certificate of
Public Convenience and Necessity to provide competitive facilities-based local and
interexchange telecommunications services within the State of Idaho.

Rules of Procedure;
2. Grant Applicant's request for a Certificate of Public Convenience and
